The Consignee must try to sell the consignments at the best possible prices after obtaining the approval of the Consignor as to price, term, etc.

A Time of Payment to Consignor 寄售人付款时间
Consignor agrees that Consignee shall require and receive full payment on the sale of the consigned property prior to any obligation of Consignee to remit payment to Consignor for the same. Upon receiving full payment for such sale, Consignee shall remit, in currency or a check drawn on a bank, the amount due to Consignor under this Agreement:
寄售人同意, 代售人应在其推行付款义务前, 要求或接收在销售过程中寄售货物全额付款。在收到全部货款后出售, 代售人应该汇款, 以 货币或者以 银行开出支票, 与寄售人在此协议以下:
For each item sold, no later than 30 days following the date of full payment for each item.
对于每一商品出售, 全额支付每项商品日期不得晚于30日。
It is agreed that “full payment’, as used above, shall be construed to mean and include the day of the clearing of any monetary instrument by Consignee’s bank.
双方都同意上述“全额支付”应被解释为包含代售人银行任何货币工具清算日子。
B. Amount of payment to Consignor支付给寄售人总额
Consignor and Consignee agree that an amount of %of the selling price shall be due and payable to Consignor upon the sale of the property subject to this Agreement. Consignee shall provide a monthly written statement listing all sales made of the property subject to this Agreement including the dates of such sales, the total amount received and the amount due to Consignee.
寄售人和代售人一致同意应该向寄售人支付基于销售本协议下货物销售总额 %。代售人应该每个月提供一次全部货物销售额、 已收款项、 数量清单书面汇报。

7.In case the Consignors supply the trademark, patent, etc., in relation to intellectual property for production, they shall provide the Consignees with the certificate(s) attesting their legal right of using and shall then be responsible for all disputes arising therefrom.

8. This consignment agreement shall be governed by and construed in accordance with the law of the

9. Exceptions:免责条款
A. The expenses incurred for performing the consignment agreement will have to be borne by the consignor side.

B. Consignee shall collect the shipping documents including B/L from the Consignor’s bank against Trust Receipt duly signed by the Consignee.
代售人应该搜集货运单据包含来自寄售人银行提货单和代售人立刻签发信托收据。
C. Consignor shall absorb insurance premium and warehousing charges up to the date of delivery to customers.
寄售人应该负担保险费和仓储费直到向用户交货日期。
D.If appear infringement of intellectual property rights, product quality problems and violating the local laws and regulations issues by the consignor.
假如出现知识产权侵权, 产品质量问题和违反当地法律、 法规问题由寄售人负担。
E.Legal damages and product quality recalled in law issues by the consignor.
法律赔偿以及产品质量召回等法律上问题由寄售人负责。
F.Consignor should take back all the disqualified goods and compensate us for the value of the goods plus all losses sustained due to return of the cargo, such as freight, storage charges, insurance premium, interest, and inspection charges.
寄售人应召回不合格产品, 并赔偿代售人货物价值以及全部因退货造成损失, 比如运费、 仓储费、 保险费、 利息和检验费。
G. If Consignor fail to deliver the goods according to the agreed time, Consignor must hold responsible for all the losses caused by the delay in delivery of the goods.
假如寄售人没有根据约定时间交货, 寄售人必需负担因为拖延交货所遭受到全部损失。
H.Consignee has suffered a loss on the selling price because of the inferior quality of the products Consignor sent Consignees. Consignor is responsible to compensate us for the loss Consignee has suffered. And all expense including inspection fee and losses arising from the return of the goods and claims should be borne by Consignor.
代售人遭受因为寄售人发送给代售人产品质量不合格而产生售价损失, 寄售人有责任赔偿代售人由此而产生损失, 费用包含检验费、 退货而引发损失及索赔。
10. Arbitration:仲裁
Any dispute arising from or in connection with Agreement shall be settled through friendly negotiation. In case no settlement is reached, the dispute shall be submitted to China International Economic and Trade Arbitration Commission (CIETAC), for arbitration in accordance with its rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties.
任何与本协议相关争议双方应友好协商。若协商不成争议应被提交到中国国际经济贸易仲裁委员会处理, 仲裁适用申请仲裁时已生效规则。仲裁是终局而且对双方含有拘束力。
11.This Agreement is not assignable and may not be modified other than by a written modification agreed to and signed by both parties.
本协议不可转让和修改, 除非经过双方书面同意。
12. This Agreement is in copies , effective since being signed/sealed by both parties.
此协议一式 份, 签署后二者含有相同法律效力。
