项目投资协议书
PROJECT INVESTMENT AGREEMENT

甲方：长春汽车产业开发区管理委员会
Party A: Administrative Committee of Changchun Automotive Industries Development Area
乙方：卡斯马汽车系统（上海）有限公司
Party B: Cosma Automotive (Shanghai) Co., Ltd.

经甲、乙双方反复磋商，本着双赢的原则，在平等互利的基础上，甲方同意乙方在甲方辖区内投资建设汽车零部件项目（以下简称“本项目”），具体达成如下协议（以下简称“本协议”）：
Party A has agreed, through several consultations between the parties and on the principle of equality and mutual benefits, that Party B will invest into and develop an automobile parts and components project (the Project) in the jurisdiction of Party A. The Parties have reached the following agreement (the Agreement):
乙方拟建项目用地位于以下范围地块内（以下简称“项目用地”）（详见附件一：卡斯马长春项目用地位置图）：
The land to be used for the proposed Project of Party B (the Project Land) (details of which are specified in Schedule 1: Map of the Land of Cosma Changchun Project) will be located as follows:
丙九街以东、 捷达大路以南、常兴街以西、丙八路以北；面积约7万平方米。
To the east of Bing Jiu Street, to the south of Jie Da Road, to the west of Chang Xing Street, and to the north of Bing Ba Road, with the area of approximately 70,000 square metres.
甲方另为乙方二期预留地块内剩余的约4万平方米土地，保留日期截止至2012年末。乙方可根据业务需求进一步购买部分或全部的预留土地。
Party A will reserve the rest of the land with an area of about 40,000 square metres for Phase 2 of the Project until the end of 2012. Party B may buy part or all of the reserved land pending on business needs.
该项目用地按净地通过招标、拍卖、挂牌方式出让，乙方须以竞买方式取得该项目用地的国有土地使用权。
The Project Land shall be granted in the form of a land ready for development by way of bidding, auction or listing. Party B shall acquire the State-owned land use right of the Project Land by way of competitive purchasing.
该项目用地规划用途为工业，土地出让年限初步确定为50年，最终以签订《国有土地使用权出让合同》确定的年限为准。
The Project Land is planned for the industrial use.  The term of use of the Project Land is 50 years for the time being, subject to such term as set out in the State-owned Land Use Right Grant Contract.
甲方于2010年5月5号卡斯马长春工厂项目工作（扩大）会议中对卡斯马项目所作的所有承诺是乙方购买项目用地和投资本项目的前提条件之一。甲方的该等承诺详见附件二：20100505会议纪要。该附件为本协议的一部分，与本协议具有同等法律效力。
The purchase of the Project Land and the investment to be made into the Project by Party B shall be conditional upon, among others, all the commitments made by Party A for the Project at the Cosma Changchun Project Meeting on 5 May 2010. Details of Party A's commitments are set out in the meeting minutes dated 5 May 2010 and attached hereto as Schedule 2.  This Schedule shall be an integral part of this Agreement and have the legal effect equal to this Agreement.
项目用地购买价格以乙方成功拍得后的实际成交价格为准，乙方须根据《国有土地使用权出让合同》按时全额交纳土地出让金。
The purchase price of the Project Land shall be the actual "strike price" of Party B's successful bid. Party B shall pay the land premium in full on time in accordance with the State-owned Land Use Right Grant Contract.
该项目用地建筑容积率为≥0.7，局部建筑高度不超过24米，乙方须严格执行。
The floor area ratio of the Project Land shall be no less than 0.7. The height of any parts of buildings shall be no more than 24 metres. Party B shall strictly comply with these requirements.
乙方应在本协议签订后二十个工作日内，向甲方交纳本协议履约意向金人民币（大写）贰佰万元（RMB2,000,000.00元）。如乙方未购得项目用地或本协议因故终止，则甲方应在收到乙方书面通知之日起10日内全额无息返还该履约意向金；如乙方购得项目用地，则甲方应在乙方支付土地出让金前将履约意向金全额无息返还给乙方。
Party B shall pay to Party A RMB Two Million (RMB 2,000,000.00) as the deposit to guarantee the performance of this Agreement within 20 working days from the date of this Agreement. If Party B fails to acquire the Project Land or if this Agreement is terminated due to whatever reason, Party A shall refund the deposit in full without interest within 10 days from the date of receipt of a written notice from Party B. If Party B acquires the Project Land, Party A shall refund the deposit in full without interest to Party B before Party B pays the land premium.
土地出让具体时间以《长春市国有土地使用权拍卖（挂牌、招标）出让公告》为准。
The specific date for grant of the land shall be subject to the Announcement on Grant of State-owned Land Use Right by Auction (or Listing or Bidding) in Changchun.
乙方全额支付土地出让金和相关税费后，甲方应协助乙方办理相关部门审批，并协助乙方尽快获得国有土地使用权证以使乙方能按计划在2010年10月破土动工。
After Party B pays the land premium and relevant taxes in full, Party A shall assist Party B in handling relevant government approval formalities and assist Party B in obtaining the State-owned Land Use Right Certificate as soon as possible to allow Party B to start construction in October 2010 as planned.
在乙方全额支付土地出让金和相关税费后的五个工作日内，甲方向乙方交付平整好的（与周围道路标高差及项目用地内高度差在50公分内）、无任何建筑物及垃圾、无任何遗留的劳动力安置及土地征用费用问题、符合附件二会议纪要中相关条件的项目用地。
Within 5 working days after Party B pays the land premium and relevant taxes in full, Party A shall deliver to Party B the levelled Project Land (the difference between the elevation of the surrounding roads and the height of the Project Land, and the height difference within the Project Land, being no more than 50 centimetres) with no buildings and rubbish, and no outstanding issues relating to fees charged for workforce placement and land requisition, and in compliance with relevant conditions set out in Schedule 2 of this Agreement.
该项目开发期限为26个月左右，开发日期自2010年10月至2012年 12月。如乙方未能于2010年10月11日之前取得项目用地的国有土地使用权证，则开发期限的起止日期应相应顺延。
The development term of the Project shall be approximately 26 months, from October 2010 to December 2012. If Party B fails to obtain the State-owned Land Use Right Certificate of the Project Land before 11 October 2010, the commence date and expiry date of the development term shall be postponed accordingly.
甲方免除乙方应缴纳的全部市政公用设施配套费。
Party A shall exempt Party B from all public utility equipment using fees payable.
甲方免除乙方应缴纳的全部消防设施配套费。
Party A shall exempt Party B from all the fees payable for public fire control facilities.
甲方负责免费将上水（每年用水9400立方米以上）、下水、通信、道路、天然气（每年用气600,000立方米以上）、供电（8000KVA,10KV）、供热等配套设施按乙方要求的位置接至距乙方项目用地红线1米之内。甲方应保证各项配套设施须满足乙方要求。在本协议生效后五个工作日内，甲方负责向乙方提供下列由政府相关部门出具的最新有效的地块信息：1）管网图；2）管线参数及供热参数；3）规划管网建设时间表；4）地块规划设计要求（附地块规划红线图）；5）地块周边道路标高；6）房屋土地权属调查报告书。
Party A shall connect water supply (of 9,400 cubic metres or more each year), drainage, telecommunication, roads, natural gas (of 600,000 cubic metres or more each year), electricity supply (8,000KVA, 10KV), heating supplies and other supporting facilities to such points as required by Party B within 1 metre from the boundary of the Project Land of Party B. Party A shall ensure that all the supporting facilities shall satisfy requirements of Party B. Within 5 working days after this Agreement comes into effect, Party A shall provide Party B with the following updated and valid information about the land issued by the relevant government authorities: (1) the pipeline network plan; (2) parameters of pipelines and heating supplies; (3) timeline of establishment of planned pipeline networks; (4) land planning and design requirements (with the attachment of the land planning maps); (5) the elevation of roads surrounding the land; and (6) investigation report of the ownership of properties.
乙方需将运营本项目的分公司在甲方辖区内进行工商注册及税务登记，并根据企业所得税法、增值税法等各项税收法律规定按属地缴纳或汇总缴纳各项税款。
Party B shall handle the company registration and tax registration of its branch to operate the Project in the area under the administration of Party A, and pay all the taxes either on the territoriality principle or on a consolidated basis in accordance with all the tax laws including the corporate income tax law and the value added tax law.
甲方在封闭管理范围内为乙方提供优质的服务，协助乙方办理各种审批手续，确保本项目能按时开工建设。
To the extent of its administration, Party A shall provide Party B with good-quality services, assist Party B in handling all the approval formalities, and ensure that the development of the Project shall commence on schedule.
该项目用地主要用于汽车零部件项目及采用相关工艺制造的其它机械零部件，乙方不得单独转让土地使用权。如乙方擅自改变土地用途，甲方将要求相关土地主管部门按《中华人民共和国土地管理法》及相关法律法规规定，依法收回土地使用权。
The Project Land will be primarily used for the project in connection with automobile parts and components and other mechanical parts and components manufactured by use of relevant technologies. Party B shall not transfer the use right the Project Land.  If Party B changes the purpose of the Project Land without authorisation, Party A will require the relevant land authority to recover the land use right in accordance with the Land Administration Law of the People's Republic of China and relevant laws and regulations.

本协议未尽事宜甲乙双方可另行协商达成书面补充协议，补充协议与本协议具有同等法律效力。
The Parties may separately enter into written supplementary agreements to settle matters not covered in this Agreement. The supplementary agreements shall have the legal effect equal to this Agreement.
因本协议产生或与本协议有关的任何争议，应通过双方的友好协商解决。如该争议在30天内无法通过友好协商解决，则任何一方可将该争议提交中国国际经济贸易仲裁委员会，根据申请仲裁时该会现行有效的仲裁规则进行仲裁。
Any disputes arising from or in connection with this Agreement shall be settled by the parties through friendly consultation. If such dispute fails to be settled through friendly consultation within 30 days, either party may submit such dispute to China International Economic and Trade Arbitration Commission for arbitration which shall be conducted in accordance with the Commission's arbitration rules in effect at the time of applying for arbitration. 
本协议的订立、效力、解释和履行，均适用中国的法律、法规和规定，并受之保护。
The entry into, validity, interpretation and performance of this Agreement shall be governed and protected by law of the People's Republic of China.
本协议经双方签字、盖章后生效。本协议经双方协商一致可立即终止。
This Agreement shall come into effect after the parties sign and affix seals to this Agreement. This Agreement may be terminated immediately after agreed by the parties.
本协议以中、英两种文字书就，一式四份，甲乙双方各执二份，具有同等法律效力。
This Agreement shall be written in Chinese and English. This Agreement shall be made in four copies, either party holding two copies. Each copy shall have the equal legal effect.

项目投资补充协议书
SUPPLEMENTARY AGREEMENT TO THE PROJECT INVESTMENT AGREEMENT

甲方：长春汽车产业开发区管理委员会
Party A: Administrative Committee of Changchun Automotive Industries Development Area
乙方：卡斯马汽车系统（上海）有限公司
Party B: Cosma Automotive (Shanghai) Co., Ltd.

甲方承诺乙方在甲方辖区内投资建设汽车零部件项目所需项目用地应付的土地出让金按110元/平方米的标准收取，乙方实际支付的土地出让金超出该标准的部分由甲方在项目建设过程中按乙方指定的时间及要求支付给乙方指定的施工单位。
Party A undertakes that the land premium relating to the Project Land for the automobile parts and components project invested by Party B in the jurisdiction of Party A shall be charged at the rate of RMB110 per square metre. The portion of the land premium actually paid by Party B in excess of the said rate shall be reimbursed by Party A by paying such amounts to construction companies designated by Party B at the time required by Party B in accordance with requirements of Party B.

甲方承诺乙方获得政府相关部门允许乙方在开发区新的污水处理厂建成及投入运行前可将符合GB 8978-1996三级排放标准的生产及生活污水直接排放至开发区内的污水管道，并无需承担相关责任及额外费用。
Party A undertakes that the local authorities allow Party B to discharge the production and living waste water meeting the class III limits of GB8978-1996 directly to the existing sewer pipe lines without penalty before the new waste water treatment plant is built and up running in the area.

本协议为甲乙双方于2010年___月___日签订的《项目投资协议书》的补充协议，以中、英两种文字书就，一式四份，甲乙双方各执二份，具有同等法律效力。
This Agreement is supplementary to the Project Investment Agreement dated on _______ 2010 entered into between the parties. This Agreement is written in English and Chinese. This Agreement shall be made in four copies, either party holding two copies. Each copy shall have the equal legal effect.
