Chongqing GuangXian Law Offices (“Guangxian”), a recorded law firm under laws of Peoples Republic of China of which address is 162 3rd Zhongshan Lu, Enrich Intl Plaza 16/F, Yuzhong District, Chongqing, 400015, Peoples Republic of China重庆广贤律师事务所（以下简称广贤），系根据中华人民共和国法律成立的注册律师事务所，地址位于重庆市渝中区中山三路162号中安国际大厦16层，邮编：4000151.3. Client and Guangxian shall hereinafter be referred to individually as the Party and collectively as the Parties. 当事人和广贤可单独称为“一方”，合称为“双方”。2. Backgrounds缔约基础2.1. In accordance with the Lawyers Act and Contract Act of the Peoples Republic of China, Client engages Guangxian as its retained Attorneys to deal with legal affairs in its business operation.根据中华人民共和国律师法和中华人民共和国合同法，当事人聘请广贤处理法律事项。2.2. Services Rendered by Guangxian to Client 广贤的服务内容与责任3.1. Important Contract Review or Draft重大合同审查或起草According to Clients request Guangxian shall legally review or draft contract documents for any kind of routine business including but not limited to the guarantee contract, loan contract, construction contract, technology contract, intellectual property transfer or license contract, materials procurement contract, product sales agreement, service contract, labor contract etc. for Client without specialized project contract;应当事人要求，对当事人拟签订各类重要合同，包括但不限于担保合同、贷款合同、建设工程合同、技术合同、知识产权转让、许可使用合同、物资的采购协议、产品经销协议、产品服务协议、劳动合同、劳务合同，进行法律审查或起草合同文本，但属于专项法律服务内容的除外；3.2. Internal Rules and Regulations Review 制度审查According to Clients request Guangxian shall review any important internal rules and regulations relevant to its employees, sales contributor, supplier or based on any legal or regulatory rules including environmental protection, fire fighting, accounting or financial issues;应当事人要求，就当事人内容涉及当事人与其员工、经销商、供应商或根据法律法规或监管规则（例如：环境法规、消防法规、会计法或会计规则、财政税法等）要求建立的，重要规章制度进行法律审查。3.3. Attorneys Opinions 法律意见According to Clients request, Guangxian shall submit opinions for any issue revolved in Clients business and internal management. 应当事人要求，就当事人业务活动和内部经营管理中涉及的法律问题提供法律意见。3.4. Attorneys Letter发出律师函According to Clients request, to resolve all relevant disputes of both internal and outside business with Attorneys Letter to Clients debtor or relevant party.应当事人要求，就当事人在业务活动及内部经营管理活动中出现的各类纠纷提供咨询意见或建议，发出律师函。3.5. Legal Training法律知识培训In accordance with Clients request, Guangxian shall provide legal training for Clients relevant employees.应当事人要求，对当事人的相关人员进行法律知识和运用技巧的培训或举办法律讲座。3.6. Documents Legal Review文件的法律审查In accordance with Clients request, review or draft any documents with legal binding force or take any obligation, including but not limit to post, publicity, representation, advertisement words, external promise or bids;应当事人要求，就当事人对外发布的具有法律约束力或以承担一定义务为内容的文件，包括但不限于公告、公示、声明、广告语、对外承诺、招标文件等，进行法律审查或拟定相关文本。3.7. Deals IntroductionIn accordance with the request of Client, recruit and introduce any partner or investment for Client, supply any operational project or relevant information; 根据当事人的要求，招募并引荐合营或合作伙伴或投资者(以下简称引荐客户)，招募并引荐经营项目或提供相关信息；3.8. Monthly ReportProvide legal information pertained to the business of Client. Such kind of report shall be delivered monthly. 为当事人经营活动按月提供法律信息。此类报告应当按月提供。4. Litigation or Arbitration Service诉讼和仲裁服务4.1. Guangxians service shall exclude litigation or arbitration. Client may consult Guangxian for general analysis of any litigation before brings lawsuit or within three days after receiving a court summons. Guangxian shall supply legal consulting service based hereunder.广贤律师提供的其它法律事务服务不包括诉讼仲裁业务，当事人诉讼业务（起诉前或接到法院传票后3日内）向广贤提出一般性咨询请求，广贤应当按照本条约定的范围提供法律咨询服务。4.2. If Client needs Guangxian for lawsuit representation, Guangxian could supply a 20% discounted fee, but for any lawsuit case another minimum 8,000RMB should be paid to Guangxian. 当事人需要广贤代理诉讼与仲裁业务具体收费标准双方可参照广贤收费标准的80%收取，至少不低于人民币捌仟元。5. Obligations of Client当事人的义务5.1. Pay attorneys fee to Guangxian; 支付律师费给广贤；Any fees due and payable shall be paid within fifteen (15) days following invoice.律师应在发票开具后十五天内支付。5.2. Client shall give convenience to the work of Guangxian and specially appoint a person to keep regular contact with the counsels of Guangxian.当事人应为广贤提供工作便利，并特别指定一名工作人员与广贤保持经常性的联络。5.3. Client shall offer Guangxian the oportunity to attend Clients business meetings when any pertinent legal matters are concerned.当事人应为广贤提供参加有关商务会议提供便利。 6. Fee and Payment顾问费用与支付6.1. Attorneys Fee and Payment法律顾问服务费用与支付6.2. Annual fee for all above mentioned service shall be 60,000RMB plus 5,000RMB travel cost deposit and 5,000RMB translation cost deposit which shall be paid within seven days execution of this Contract. The travel cost within Chongqing downtown should be two (2) yuan/km, and the translation cost shall be calculated on the basis of fifteen cents (0.15RMB)/ Chinese character. Both expense shall be calculated and reimbursed monthly and Guangxian shall supply detailed information list to Client. 年度法律顾问费为人民币陆万元加上交通费用预存伍仟元（2元每公里，据实结算），翻译费用预存伍仟元（150元每千字）。前述费用于本合同签署后七日内支付。广贤应按月向当事人提供费用清单，按月报销。6.3. Client shall pay any other expense associated with the service including those charged by any governmental agency or rate agreed to by the parties. 对于其他服务事项，当事人应根据双方协商标准另行支付费用。 7. Work Implementation 工作方式7.1. To save Clients expense, both parties agree that Guangxian may supply legal service by telephone, email, fax etc all of which were displayed on the first page of this Agreement.为减少甲乙双方费用，双方同意广贤提供法律服务主要通过电话、电子邮件、传真方式进行沟通，具体联系方式见本合同首页。 7.2. If Client submit its requirements of legal service by phone calls, emails and fax which should be sent by the specified contact person and sent to Guangxian.当事人通过电话、电子邮件、传真方式提出的法律服务需求，应当由本协议中当事人指定的联系人发出，且应当及时发送至广贤处。7.3. If Client requests Guangxian to work at a specific place, then Client shall supply the internet access or any other conditions necessary for the work itself.如当事人要求广贤到指定办公场所提供法律服务，则当事人应当提供电子网络等办公条件和能够达到保密与安全要求的办公环境。7.4. Guangxian shall set up files for service to Client for record keeping purposes. 广贤应当就其提供的法律服务为当事人建立档案备查。8. Remedies 违约责任8.1. The Parties shall strictly abide by this Contract and neither party shall unilaterally terminate this Contract; otherwise the defaulting party shall be responsible for breaching liabilities. 双方应严格遵守本合同，不得单方终止合同；否则违约方应向守约方承担违约责任。 8.2. If Client fails to pay the service fees on time, Guangxian shall have the right to collect the punitive damages which shall be calculated each day with 5 times the outstanding payment. 若当事人未能按期向广贤支付服务费的，则应按每天千分之五的标准支付违约金。9. Supplementary Agreements 补充协议The Parties can reach supplementary agreements in writing for any other matter concerned which is not included herein.本合同未尽事宜，双方可另行书面订立补充协议。10. Miscellaneous一般约定10.1. Guangxian specifies Attorney Su Xiaojun to be in charge of Clients service team.广贤指派苏晓军律师为本事务的承办律师团队负责人。10.2. Client agrees that Guangxian and its attorneys might render part of work to assistant or other lawyers. In case any affairs which require investigation or any other investigation affairs (including but not limited to audit, assessment and notarizing which could be completed by qualified institutes. 当事人同意广贤及其律师在认为必要时可将本事务的部分工作交由广贤的助理人员或其它律师协助完成；其中若有需要调查的事务及其所衍生的其它必要取证事务（包括但不限于审计、鉴定、公证等）更可转委托适当的专门机构协助完成。10.3. Any document supplied by Guangxian shall have at least one copy of editable format of Microsoft word; 广贤提交的所有文件均需至少提供一份可编辑的Microsoft word电子文本。10.4. Client confirms that all copyright of Guangxians documents shall belong to Guangxian itself. However, no legitimate rights of Client shall be infringed upon while Guangxian carries out its own copyright. 当事人确认广贤为完成委托事项所起草之所有文件的著作权均属广贤所有，但广贤在行使其著作权时不得侵犯当事人的合法权利。 Client Guangxian 第 9 页 共 12 页10.5. Without Clients agreement no legal opinions and documents shall be used for any other purposes 非经广贤同意，当事人不得将广贤提供的法律意见和其他有关文件用于其他目的。10.6. The term of this Agreement shall be one year commencing on the date of execution of this Agreement. Without 30 days prior notice of termination or amending this Agreement before expiration date, the term of this Agreement shall automatically be renewed for one year on its anniversary date.本合同有效期为壹年，自甲乙双方签字或盖章之日起开始计算。有效期届满前一个月内，若任何一方均未提出终止或者修改合同的，本合同效力则自动延续一年，以后年度亦参照执行。10.7. Any dispute(s) arising from this Agreement shall be settled with amicable discussion. In case no agreement concludes within reasonable time any party might submit the dispute to the Chongqing Arbitration Commission. The arbitration adward shall be final and have binding force on both parties.本合同或任何依据本合同签署的合同引发的甲乙双方之间的争议，均应尽可能以友好协商的方式解决。若在合理期间不能达成一致意见，任何一方均可将争议提交重庆仲裁委员会解决。仲裁结果是终局的，对双方有约束力。10.8. This Agreement was made with two originals and each party held one copy with the same legal effect. 本合同一式贰份，双方各执壹份，具有同等法律效力。Signatory page follows签署页附后(No text on this page本页无正文)IN WITNESS WHEREOF, the Parties hereto have caused this Contract to be duly executed and delivered as of the day and year first above written.有鉴于此，双方特此按首页所注日期正式签署并送达本合同。Client当事人Chongqing Guangxian Law Offices重庆广贤律师事务所代理记帐业务约定书甲方: (以下简称甲方)乙方： (以下简称乙方) 经甲乙双方友好协商，自愿达成以下乙方为甲方提供会计代理服务相关事项的业务约定：一、 乙方为甲方提供以下会计代理服务：建账、记账(总分类账、二级明细账)、填制财务报表、税务报表、国税申报、地税申报(含网上申报)。甲方如有其他服务要求，需在约定书中注明，口头商定无效。 二、甲方在每月25日至次月15日前，按时将本单位所发生合法的经济业务票据传给乙方(乙方可上门取送票据，每月壹次)并提供纳税申报所需要的各种印章(公章、财务章、人名章等)。因甲方票据传递、提供各种印章及税务机关要求的其他资料不及时，造成乙方延误各种纳税申报的，责任由甲方自负。三、在甲方按时传递经济业务票据及按时提供各种印章的情况下，乙方应按时为甲方代理纳税申报，造成延误各税种申报的, 责任由乙方负责。四、乙方丢失票据，书写、计算错误而引起的税务罚款及滞纳金，责任由乙方负责；甲方账外逃税、提供的虚假票据、提供原始凭证不符合规定引起的税务责任，由甲方负责。 五、甲方的出纳每月应主动与乙方会计核对银行账及现金账余额。六、甲方在签订业务约定书的同时付款，否则无效，到期后乙方接受甲方付款的视为约定延续，若到期后未续约付款的，约定终止，双方不再相互承担责任。七、甲方在业务约定期间内如有地址、电话、开户银行及账号、税务登记、工商登记等发生变化应在非报税期内三天、报税期内(每月25日至次月15日)当天通知乙方，不能及时通知乙方由此而产生的后果，由甲方自负。 八、业务约定到期或终止时，如果甲方聘用乙方工作人员，乙方对业务约定期间的凭证、账目、税务出现的问题概不负责。 九、甲方为：1.纯地税户 2.国地税户3.一般纳税人，每月凭证不超过一本，无特殊核算要求(超出要求范围的，服务费另行协商)。十、约定期限： 年 月至 年 月，付款方式：每 ，另每会计年度账本及报表资料费贰佰元，工商年检代理费贰佰元，残保金代理费贰佰元； 年 月 日合计收取 元。十一、本业务约定书一式两份，双方各持一份，经双方签字盖章付款后生效。本约定书未尽事宜，甲乙双方应本着友好协商的态度进行协商解决。十二、会计每月25日至次月1日联系取票据，以下列举部分单据： 1、企业本月开具的发票及与之相对应的收款凭证(进账单、现金送款单、现金收入凭单、出库单、发票领用存情况等)；2、企业取得的购货发票及与之相对应的支出凭证(支票根、电汇单、现金支出凭单、入库单等)；3、企业取得的费用发票(交通费、差旅费、通讯费、广告费、业务宣传费、房租、水电费、办公费、运费、汽油费、保险单据等)及与之相对应的支出凭证(支票根、电汇单、现金支出凭单等)；4、银行缴税税票，利息单，进账单，支票存根，电汇单及其它各种银行票据；5、企业自制原始凭单：工资单，折旧单等；6、一般纳税人发票汇总表(一套)，作废发票(联次齐全)，抵扣票认证清单，金税卡；7、其它需要的资料_8、凭证报表由乙方暂存，待工作完成后，年度终了时返还客户。 注意：月末取票后企业如开具收入发票须立即通知乙方。甲方： 乙方： 联系人： 联系人：联系电话： 联系电话：电子邮件/ QQ: 地址： 第 12 页 共 12 页
