Party B shall be responsible to provide Party A with lease car and the relevant driver service. Based on the friendly consultation of Parties A and B, both parties have entered into the Contract as follows:第一条 承运人要求ARTICLE I Requirements for Carriers乙方必须具备履行本合同所要求的营运资质和相应设备、设施、人员等条件。Party B shall possess the qualifications such as operation qualification, relevant equipment, facilities, and staff, required by this contract.第二条承运车辆ARTICLE II Cars for Leasing乙方向甲方提供 （厂牌车辆类型等级） 辆厂包车，车号为 ，载客数 座，车辆每日运行圈次为 圈。Party B shall be responsible to provide Party A with_(brand, type, grade)_(number) cars; cars NO._; seat capacity_seats; daily number of runs_.车辆附属设施配制要求。Requirements for the attached facilities _.甲方需要增加使用其他车辆的，乙方应尽力配合，双方另行签订合同。Party B shall meet needs raised by Party A in using more cars as far as possible.In such case, the two parties are required to sign another contract.第三条 包车期限ARTICLE III Term of Lease包车期限为年（月），自 年 月 日起至 年 月 日止。Term of lease: _year(s)/(months), from_(month)_(day), _(year) to_(month)_(day), _(year).第四条 司机人员配备ARTICLE IV Requirements for Drivers1、乙方应指定 名身体健康并持有营运车辆从业资格证的司机驾驶车辆。1.Party B shall assign_(number of drivers) healthy drivers with operation qualification.2、乙方应将司机详细情况列表交甲方，须经甲方认可。2. The detailed information of the drivers shall be listed in forms and sent to Party A by Party B, and shall be confirmed by Party A.3、乙方需调整司机人员或调整司机对应车辆安排的，应提前 日告知甲方，并提供调整后的司机详细情况。3. In case such factors as Party B have to change the drivers or adjust the arrangement between drivers and their corresponding lease cars, Party A shall be notified prior to_days and be provided with detailed information of the new drivers.4、乙方司机必须服从甲方管理人员的管理，同时保证工作期间服装统一、礼貌待人、语言文明，有较强的服务意识，熟练的驾驶技术，灵活地处理车辆故障及交通紧急事故的能力。4. Drivers shall comply with the arrangement of Party A, ensuring to wear unified clothes, and to be courtesy and ardor while working. In addition, drivers shall have a strong sense of service, skilled driving technique and the ability to deal with breakdowns and any emergency.5、乙方应定期对司机进行交通安全、车辆卫生、服务态度、文明用语等相关服务要求进行教育和检查。甲方管理人员会同乙方定期对乙方司机进行评价，对多次遭甲方乘车员工投诉且评价不合格的司机，甲方有权要求乙方更换。乙方应在接到甲方更换要求后立即更换该司机，并不得再行任用该司机为甲方服务。5.Education and examination regarding traffic safety, vehicle hygiene, service attitude, and civilized language shall be carried out on drivers by Party B on a regular basis. The administrators of Party A, together with Party B, shall make assessment on the drivers on a regular basis, and Party A has the right to claim for a replacement of driver under the condition that the driver receives complaints from staffs and fails in the assessment. Party B shall promise to change the driver upon the request and shall never assign the same driver to provide service to Party A.第五条 车辆状况要求和检验ARTICLE V Requirements and Inspection of Cars1、承运车辆必须具有完备的商业保险，其中必须包含承运人责任险等强制性保险。1. Lease cars shall be equipped with complete commercial insurance, including the compulsory insurance, such as carrier liability insurance.2、乙方应在车辆交付承运前向甲方提供车辆状况全部资料，甲方有权对车辆状况进行检验。2. Party B shall provide all the information regarding the condition of the cars to Party A before they come to operation. Party A has the right to inspect the cars.3、为保证车辆正常、安全行驶，乙方应按照车辆保养维护规定进行车辆的正常维修保养，保证车辆及附属设施、设备性能完好，甲方有权对车辆维修保养记录进行不定期抽查。3. Party B shall make a regular maintenance on the cars in accordance with the relevant rules regarding the vehicle maintenance so as to ensure a sound and safe travel. The maintenance will cover the functions of cars, their attached facilities and equipment. Party A has the right to inspect the record of maintenance.4、承运车辆因各种原因无法继续使用的，乙方应立即更换同品牌、同型号、同配置车辆，经甲方同意的，可更换其它同等车辆。4. The car, under various factors which make it impossible for Party B to continually provide service to Party A, will be substituted by other cars with same brand, type and equipment under Party As approval.第六条 承运工作要求ARTICLE VI Requirements for Working1、甲方应在车辆交付承运前日向乙方提供运行线路、站点和运行时间列表，经乙方确认后作为本合同附件。乙方应严格按照列表安排运行。甲方运行方案有变更的，应提前日通知乙方，并经双方管理人员确认后调整运行。1. The lists of routes, stations and operation time shall be provided to Party B by Party A_days before the lease cars come to operation, and shall finally become the appendix of this Contract after the confirmation by Party B. The new operation shall be approved by both parties.2、甲方需要临时安排车次的，应提前日（小时）通知乙方，乙方接到通知后应告知甲方是否接受。乙方接受临时通知的，应按本合同各条款要求提供承运服务并承担与正常车次相同的责任。2. Party B shall be notified by Party A prior to_days (hours) with any temporary arrangement of lease cars, and has the obligation to inform Party A whether Party B accept it or not. Upon the temporary notification, Party B shall provide operation service as well as assume the same responsibilities as the regular lease cars in accordance with the clauses of this Contract.3、乙方车辆应提前 分钟到达本次线路班车的起始站点并做好例行车辆检查工作，以保证本次线路班车安全、准时的发车和到达终点。当因发生道路交通堵塞影响到班车无法准时到达甲方公司时，乙方应及时报告甲方。3.The shuttles are required to arrive at the starting stations of the respective routes_minutes in advance and make all the regular inspections to make the operation safe and punctual. In case factors such as traffic jam that makes the shuttles impossible to arrive at the company on time, Party A shall be notified in time by Party B.4、乙方应严格按照既定线路时间表停靠每个站点，无特殊情况，不得提前或迟到超过分钟。4. The shuttles are required to stop at every station stated in route schedule. _minutes ahead of/ later than the schedule is not permitted if nothing special happens.5、乙方在接送甲方员工上、下班时，不得搭载任何非甲方公司的人员或物品，乙方员工也不得带无关人员乘坐班车。5.Persons or articles that do not belong to the company of Party A shall not be allowed in the shuttles during working hours.6、空调要求乙方车辆应在每年 月 日至 月 日期间或车外温度超过 时启动制冷空调。每年 月 日至第二年 月 日期间或车外温度低于 时启动制暖空调。6. Requirements for air conditioningsThe refrigerating air conditioning of the car shall be started up by Party B from _(month)_(day) to_(month)_(day) or the outside temperature is over_. The heating air conditioning shall be started up by Party B from_(month)_(day) to_(month)_(day) or the outside temperature is below _.7、乙方车辆于营运间歇时间内必须整齐停放于甲方指定停车位置。7. The lease car shall be parked in the areas marked out by Party A in order.第七条中途故障、发生事故的应急处理ARTICLE VII Emergency Measures for Breakdowns and Accidents承运车辆在运营途中发生车辆故障的，乙方司机应及时修复。In case that breakdown happens on the way, the drivers of Party B are required to fix the car as soon so possible.如因故障严重无法立即修复或发生交通事故或其它事故无法运行的，乙方应立即指派备用车辆载运甲方员工，因此造成到达延误的，应通知甲方。In case such factors as serious breakdowns beyond immediate fixing, traffic accidents or other accidents that make the operation impossible, Party B shall be responsible to assign other cars to transport the staff of Party A. Any delay caused by these factors shall inform Party A.第八条 乘车要求ARTICLE VIII Requirements for the Passengers甲方乘车员工必须提前 分钟到达乘车点，因甲方员工迟到而未能坐上班车的，乙方不承担责任。The staff of Party A shall arrive at the stations _minutes in advance. Party B will not assume responsibilities under the condition that the staff of Party A fails to catch the shuttle due to his or her own fault.甲方安排乘车员工不应超过承运车辆核定载客人数，甲方员工应文明、有序乘车，不得干扰乙方司机的驾驶。The number of the passengers shall not overnumber the maximum passenger capacity. The passengers are required to obey relevant rules and shall not interfere with the driver while driving.第九条 包车费用及支付方式ARTICLE IX Expenses and Terms of Payment1、甲方支付包车费用按每天 圈进行结算，每圈元人民币。1. Party A shall pay the lease car in_runs a day, _RMB a run.2、包车费用与油价挂钩，以年月日油价为基准，油价每上、下浮动达 ，则单次班车价格相应上、下浮动 元。2. The expenses of the lease car shall be linked to oil prices. Set the oil price of _(month)_(day)_(year) as a criterion. In case that the oil price is _% up/lower, the expense of each shuttle shall be adjusted _RMB up/lower accordingly.3、甲方按每月实际用车次数计算包车费用，于次月 日前支付至乙方指定账户。3. The expenses of lease cars shall be calculated according to the number of the actual usage of the cars every month. Party A shall pay to the account of Party B no later than_(date) of next month.4、甲方以本条第1项规定的基准单价为依据计算支付每月包车费用，因油价浮动所发生的班车价格浮动在每一合同年度的最后一个月由双方核准结算调整。4. Party A shall calculate the monthly expenses of lease cars in accordance with the criterion unit price under the first clause of this article. The fluctuation of the expenses of shuttles due to the fluctuation of the oil prices shall be evaluated and adjusted by both parties at the last month of each contract year.5、因车辆运营产生的油费、过路费、停车费等各项费用、有关税收和乙方司机工资均由乙方自行承担。5. Party B shall pay for the oil prices, tolls, parking expenses, taxes, drivers pay, etc.第十条 交通事故和其它事故的处理ARTICLE X Treatment of the Traffic Accidents and Other Accidents1、乙方车辆在运行过程中发生交通事故或其它事故的，由乙方负责处理，造成甲方乘车员工伤亡的，甲方协同处理伤亡救治事宜。1. Party B shall be responsible to deal with the traffic accidents and other accidents of lease cars during working hours. Party A shall cooperate with Party B to tackle the damages and casualties of Party A.2、乙方车辆发生交通事故或其它事故致车外第三人损害的，由乙方负责。2. Party B shall be responsible for the damages on the third party caused by traffic accidents or other accidents of its lease cars.3、乙方车辆发生交通事故或其它事故致甲方乘车员工或物品发生损害的，由乙方负全部赔偿责任。3. Party B shall assume all the responsibilities of compensation for losses and damages of Party A caused by traffic accidents or other accidents of its lease cars.4、因车外第三人侵权导致交通事故或其它事故的，不影响乙方对甲方乘车员工或物品按人身损害赔偿法定标准和物品实际损失进行赔偿。乙方赔偿后可向第三人追偿，甲方予以必要的协助。4. Traffic accidents or other accidents caused by the third partys infringement shall not affect Party Bs compensation for the losses and damages of the passengers. After compensation, Party B shall have the right of recourse on the third party, and Party A shall be required to offer necessary aid.第十一条 合同解除的条件ARTICLE XI Conditions for the Termination of the Contract1、双方建立违规通报制度，乙方发生本条第2项违规情形的，甲方以书面形式向乙方发出违规通报。乙方在一个自然月度内被通报达次以上或累计通报达 次以上的，甲方有权单方解除合同。1.The reporting System for regulation violation shall be established between the two parties. In case that Party B involves in the cases oh the second clause of this article, Party A shall give a written notice for regulation violation to Party B.2、乙方违规情形：2. Cases of regulation violation of Party B（1）乙方未按甲方规定或已接受的临时通知安排车辆。（1）Party B does not arrange the shuttle in accordance with the rules set up by Party A or the temporary notice received.（2）乙方车辆无特殊原因迟到或提前超过 分钟而未能全载甲方员工或弃置甲方员工的。（2）The shuttles of Party B abandon or fail to pick up the passengers of Party A because the shuttles are over _minutes ahead of/later than the schedule without reasonable reasons.（3）乙方在行车过程中搭载甲方乘车员工及物品以外的人员或物品的。（3）Persons or articles that do not belong to Party A are found on the shuttles during working hours.（4）乙方在行车过程中未按约定开启空调的。（4）Air conditioning is not started up in accordance with the rules during working hours.（5）乙方存在违反车辆管理相关法律、法规、规定的行为。（5）Party B breaches the relevant laws, regulations or rules regarding the vehicle management.（6）乙方车辆在运行线路上抛锚或发生交通事故的。（6）Shuttles have breakdowns or traffic accidents en route.（7）乙方司机不具备相应的从业资格。（7）The drivers of the Party B are not possessed of relevant qualifications.（8）乙方车辆的车辆状况、附属设备设施状况、保险状况等不符合约定。（8）The conditions of the shuttles, attached facilities and equipments, and insurance do not meet with the agreement.3、乙方在行车过程中发生乙方司机负全责或主要责任的交通事故，或因可归责于乙方的原因发生其它事故，造成甲方乘车员工人身伤亡的，甲方有权单方解除合同。3. In case that the drivers of Party B are responsible or partially responsible for the traffic accidents or other accidents that cause the casualties of Party A, Party A shall have the right to unilaterally terminate the Contract.4、甲方逾期支付包车费用达日的，乙方有权单方解除合同。4. In case that the expenses of lease cars are_days overdue, Party B shall have the right to unilaterally terminate the Contract.第十二条 违约责任ARTICLE XII Responsibilities Regarding Regulation Violation1、乙方发生违规通报情形或其他情形达 次以上的，每增加一次，应向甲方支付违约金元。1. In case that the cases of regulation violation have reached more than _(number), Party B shall pay default fine of _RMB to Party A for each case.2、因乙方原因致承运车辆未能按时送载甲方乘车员工的，乙方承担甲方员工采用其他途径上、下班所发生的交通费用（不高于出租车标准）。2. In case that the shuttles fail to pick up the passengers of Party A due to Party Bs fault, Party B shall assume all the transportation fee of the passengers to go to work. (not higher than the taxi standard.)3、甲方逾期支付包车费用的，每逾期一日，按应付金额的 支付违约金。3. In case that the expenses of lease cars are overdue, Party A shall pay default fine _% of the actual expense for every single day.4、任何一方无故终止合同的，应按终止前 月包车费用标准支付违约金。终止前不足 月的，按实际费用折算 月。4. In case that either party terminates the contract without any reason, this party shall pay default fine in accordance with the expense standard set up _months before the termination. In case the period before termination is less than _months, it shall be converted into _months according to the actual expenses.第十三条 免责条款ARTICLE XIII Exemption Clause因严重交通堵塞或自然灾害等不可抗拒的因素造成承运班车延误的，乙方不承担责任。In case that the delay of the shuttles is caused by the event of force majeure such as traffic jam or natural disaster, Party B shall not assume any responsibility.第十四条争议解决方式ARTICLE XIV Dispute Settlement因本合同产生争议的，双方协商解决。协商不成的，可提交 人民法院裁判。All the disputes arising from or in connection with this Contract shall be settled through amicable consultations between the parties. In case of no settlement, such disputes shall be submitted to _peoples court for litigation.第十五条合同生效ARTICLE XV Effectiveness of Contract本合同经双方签字盖章后生效。The Contract shall come into force after signatures by both parties.第十六条其它ARTICLE XVI Others1、本合同一式两份，甲乙双方各执一份。1. The Contract is made in two copies, with each party holding one copy respectively.2、合同期满后双方续约的，应提前 月提出，另行协商续签事宜。2. In case that the two parties are willing to renew the Contract after the expiration date, they shall put forward _ months in advance and negotiate issues concerning contract renewing.3、行车线路、停靠站点、车次列表是本合同附件，与本合同条款有同等法律效力。3.
