终止协议函（1）关于终止营销和推广服务委任协议的函北京X有限公司：（Beijing Co.,Ltd,hereinafter as “WRYK”）我 方（以下简称“Rotta”）与贵司于2002年12月16日签订了关于贵司为Rotta产品在中国大陆进行营销和推广活动的委任协议，依据协议条款之规 定，该协议已于2004年12月16日到期终止。现就相关事宜，向贵司致函如下：1. 该协议有效期届满后，我们双方继续进行合作至今，现因Rotta在华机构及业务将进行调整，故，Rotta依原协议条款之约定，提前3个月通知贵司如下内 容：Rotta将于2005年 月 日（以下简称“终止日期”）终止对贵司的委任。2. 在终止日期前，我们双方仍按原委任协议条款执行。3. 在终止日期后 天内，贵司应向Rotta管理层授权的代表提交终止日期前所发生的费用明细清单并配合接受相关财务审核，经审核无误后，Rotta将按原委托协议之约定向 贵司支付相关费用。4. 在终止日期后 天内，贵司应向Rotta管理层授权的代表移交贵司在为Rotta提供营销和推广服务中所使用与Rotta相关的重要文件，并应Rotta的要求，给予充 分的解释说明。该文件包括但不限于：4.1 贵司所持有Rotta产品所有客户名单；4.2 贵司所采取的营销和推广方案报告书；4.3 其他涉及Rotta商业利益的文件。5. 终止日期后，若贵司未经Rotta授权而仍进行涉及Rotta的业务活动，所产生的任何责任将由贵司承担。6. 对于在合作期内贵司所雇佣的Rotta产品专门营销队伍成员，Rotta将在终止日期前30天内向贵司告知Rotta的意见，该意见可能包括以下几点：6.1 Rotta选择部分医药代表或管理人员，希望他们与另一Rotta所指定的公司重新签订劳动合同，他们在贵司的工作年限将被视为在Rotta所指定的公司 的工作年限；6.2 对于Rotta未选择的人员，Rotta可依相关法律之规定向其支付辞职经济补偿金，或者由贵司与其继续履行劳动合同至劳动合同期限届满。7.本 终止委任协议信函自送达贵司时生效。贵司若对本终止委任协议信函有任何疑问，可与Rotta管理层授权的代表联系。Beijing WXCo.,Ltd (hereinafter referred to as the “WFYK”):WFYK and we (hereinafter referred to as the “Rotta”) executed on December 16th, 2002 the agreement to entrust marketing and promotion in the Mainland China of Rotta products (“the Agreement”). Under the conditions and terms of the Agreement, the Agreement shall expire and terminate on December 16th, 2004. Rotta hereby notify WFYK of relevant matters as follows:1. Since the expiration of the effective term of the Agreement, both of us have been cooperating with each other to this day. Now because Rotta wishes to make adjustments to its institutions and business in China, Rotta hereby gives a three months prior notice to WFYK, under the provisions of the Agreement, that Rotta will terminate such entrustment to WFYK on this _ day of _, 2005: (hereinafter referred to as “the Expiration Date”)2. Prior to the Expiration Date, both of us will still implement the conditions and terms of the original entrustment agreement.3. Within _ days after the Expiration Date, WFYK shall submit the detailed list for expenses incurred prior to the Expiration Date to the representatives authorized by the management of Rotta and provide cooperation for and accept the relevant financial auditing. After such detailed list is examined to be correct, Rotta will pay the relevant expenses to WFYK under the terms of the original entrustment agreement.4. Within _ days after the Expiration Date,WFYK shall submit, to the representatives authorized by the management of Rotta, major documents in relation to Rotta used in the rendering by WFYK of marketing and promotion service for Rotta, and, at the request of Rotta, make full explanations therefor. These documents include but are not limited to:4.1 the name list for all clients of Rotta products possessed by WFYK;4.2 the reports on the marketing and promotion plannings adopted by WFYK; and4.3 other documents relating to Rottas commercial interests.5. In the event that, after the Expiration Date, WFYK still carry out business activities relevant to Rotta without authorization by Rotta, WFYK shall bear all responsibilities so caused.6. With respect to the members of special marketing team for Rotta products employed by WFYK within the cooperation period, Rotta will make known to WFYK the opinions thereon within 30 days prior to the Expiration Date which may contain the following points:6.1 Rotta will select some medicine representatives or managers in the hope that they could sign new labor contracts with another company designated by Rotta. The time when they work with WFYK will be deemed as that when they will work with another company designated by Rotta;6.2 With respect to the persons that will not selected by Rotta, Rotta may pay them the economic compensation for dismissal under the provisions of relevant laws or WFYK may continue to perform each labor contract with each of them until the expiration of each labor contract period.7. This Letter to terminate the entrustment agreement shall become effective upon its service on WFYK.For any question on the Letter to terminate the entrustment agreement, contact the representatives authorized by the management of Rotta
