1、TENANCY AGREEMENT租 赁 协 议This Tenancy Agreement is made on this Date by and between (hereinafter referred to as Landlord), and Oracle(China) Software Systems Co., Ltd. (hereinafter referred to as Tenant). 本承租协议于 年 月 日由 (下称“出租方”)和甲骨文(中国)软件系统有限公司 (“承租方”)签署。Landlord and Tenant hereby mutually agree, pur

2、suant to the terms and conditions of this Agreement, as follows:出租方和承租方在此根据本协议的条款条件一致同意达成下列协议:1.Grant of Tenancy租赁Landlord hereby agrees to let to Tenant in clean and tenantable condition, and Tenant hereby agrees to take, in accordance with and subject to the terms and conditions of this Agreement,

3、 all that premises set out in Appendix A, attached to this Agreement and incorporated in it (hereinafter referred to as the Premises).根据本协议的条款和条件,并以此为前提,出租方在此同意以整洁和可租用的条件向承租方出租本协议附件A所规定的出租场所(下称“出租场所”),而承租方在此同意承租该出租场所。The Premises shall also include the fixtures, fittings and furnishings as set out i

4、n Appendix A. 出租场所还应包括附件A规定的固定装置、装备及家具设备等。2.Rent, Security Deposit and Management Fee租金、押金和管理费In consideration of its use of the Premises, Tenant agrees to pay Landlord the rent specified in Appendix A. Tenant further agrees to pay or provide Landlord, upon the execution and delivery of this Agreeme

5、nt, the security deposit referred to in Clause 9 below (“Security Deposit”).作为其使用出租场所的对价,承租方同意向出租方支付附件A具体规定的租金。承租方还同意在签署本协议后,向出租方支付本协议第九条规定的押金(“押金”)Landlord is obligated to pay the property management fees and the club subscription fees as specified in Appendix A.出租方须按照附件A之规定支付物业管理费和和住户会员的家庭会所会员费。3.

6、Form of Payment付款方式All payment of rent as specified in Appendix A shall be made in RMB to Landlord by wire transfer or bank draft to Landlords bank account specified in Appendix A.附件A规定的租金须全部以人民币并以电汇或银行汇票方式支付至附件A具体规定的出租方银行帐户中。The above rent, unless otherwise expressly provided, shall be inclusive of

7、 all applicable property management fees, club subscription fees, ADSL installation, the TV channel fees, lawn maintenance and all other outgoings whatsoever imposed or charged on the said Premises by the relevant lawful authority that is designated to be payable by Landlord which Landlord shall pay

8、 when due but shall not include water, gas, electricity fee, telephone fee and other utilities charges.除非另行明确规定,否则上述租金应包含全部有关的物业管理费、住户会员的家庭会所会员费、ADSL安装费、卫星电视收视费、花园维护费及法规规定出租方应付的一切费用,出租方须在前述费用或款项到期应付后支付,上述租金并不包含水、气、电、电话等类似的公用设施的费用。4.Agreements by Tenant承租方同意Tenant agrees with Landlord as follows:承租方向

9、出租方保证并同意:(a)to pay to Landlord amounts due under this Agreement, and shall pay charges for telephone, water, gas, electricity etc. when due in accordance with Clause 4.2 of Appendix A of this Agreement (the payment notice and official invoice shall be delivered to Tenant before thirty (30) days of t

10、he due payment date.). If such payment shall be due and unpaid for fourteen (14) days due to Tenants fault exclusively, and if such failure is not remedied by Tenant within the seven (7) days after Landlords written notice has been given, Landlord shall be entitled to charge the interest of the outs

11、tanding payment at the rate of 0.01 per day;按照附件A第4.2条规定向出租方支付本协议项下到期的应付款项并及时支付租期内的电话费和水费、气费、电费,出租方应将准确无误的付款通知及正式发票在付款日到期前三十(30)日交至给承租方。如果因承租方自身原因逾期付款超过十四(14)天且在收到出租方书面通知后的七日之内仍未缴纳,每逾期一日,承租方应按欠款金额的0.5%0.01缴纳滞纳金;(b)to maintain the non-structural interior of the Premises excluding all concealed wiring

12、 and pipes in good and tenantable condition, reasonable wear and tear or inherent defects excepted;保持出租场所的内部非结构部分(不包括所有暗线和暗管)呈良好及可租用状态,合理的磨损或潜在的瑕疵不包括在内;(c)to indemnify Landlord for material damage to the Premises arising from the intentional act or misconduct of Tenant, with a maximum of RMB100,000;

13、赔偿出租方由于承租方故意或不当行为造成的出租场所的严重损坏,但累计赔偿最多不超过10万元;(d)to permit Landlord or its authorized representatives to enter the Premises at reasonable times and upon prior confirmed notice to Tenant, to repair any such loss or damage as referred to in (c) above at the reasonable expenses of Tenant with a maximum

14、of RMB100,000;允许出租方或其授权代表在合理时间经提前通知承租方并获同意后进入出租场所对上述(c)款所述的任何损失或损坏进行修理,承租方承担合理维修费用但累计最多不超过10万元, (e)to permit Landlord and persons authorized by Landlord, at reasonable times and upon prior confirmed notice, to enter the Premises to repair fixtures and furnishings provided by Landlord;允许出租方及出租方授权的人员在

15、合理时间经提前通知承租方并获同意后进入出租场所维修出租方提供的固定装置和设备。(f)to permit Landlord, during the last 6010 days prior to the expiration of this Agreement, to show the Premises to prospective tenants or purchasers of the Premises. All such showings shall be at reasonable hours and on prior confirmed notice to Tenant;允许出租方在本

16、协议期满前最后6010天内带出租场所的潜在租户或买主参观出租场所。所有此类参观均须在合理的时间内进行,并须提前给予承租方合理的通知并经承租方同意;(g)not to erect, install or remove any fixture or partitioning or to make any structural additions or alterations to the Premises without first obtaining Landlords prior written consent, which consent shall not be unreasonably

17、withheld. Tenant acknowledges that any such fixtures, partitioning and the like must be consistent with rules and regulations as established and maintained by the property management company;在获得出租方书面同意(该同意不得无理拒绝)之前,不得安装、设置或移动出租场所的固定装置或隔断,或增加、改变出租场所的结构,墙面不得钉钉子及涂抹图画。(h)to use the Premises exclusively

18、as a residence for any of the employees, representatives, officers, licensees, visitors and contractors of Tenant and/or any of its associates, subsidiaries, holding companies, contractors and/or subcontractors and the family members, domestic servants and visitors of such employees, representatives

19、, officers, licensees, visitors and contractors (an “Affiliate” or collectively, the “Affiliates”) and not to permit or suffer the Premises to be used for any other purpose without first obtaining Landlords prior written consent, which consent shall not be unreasonably withheld;只能将出租场所用于其雇员、代表、管理人员、

20、被许可人、客人及签约人或任何其分支机构或控股公司的该等人员以及雇员、代表、管理人员、被许可人、客人及签约人的家属、家政人员和客人(“关联人”)的住宅,未经出租方事先书面同意(该同意不得无理拒绝),不得将其用于除此之外的其它用途;(i)not to assign, sublet or otherwise part with the possession of the Premises, or any part thereof, without first obtaining prior written approval of Landlord, which approval shall not

21、be unreasonably withheld, provided, however, that Landlord is reasonably satisfied as to the financial responsibility, character, and reputation of the proposed assignee or subtenant;未经出租方事先书面批准,不得将出租场所或其任何部分转让、转租或以其它方式出让,该批准不得无理拒绝,但前提是出租方对拟受让人或转承租方的财务能力和声誉合理地满意;(j)to comply with and adhere in the u

22、se of the Premises with all applicable laws, rules, and regulations of China and the property management company, and specifically not to permit or suffer the Premises to be used for any unlawful purpose;遵守并且在使用出租场所中遵守中国所有相关的法律、条例和规定以及物业管理公司的规定,尤其是不得将出租场所用于任何非法目的;(k)not to affix or display any signb

23、oard or other device visible from outside the Premises without first obtaining Landlords prior written consent, which consent shall not unreasonably be withheld;未经出租方事先书面同意(该同意不得无理拒绝),不得在出租场所外部安装或展示任何广告牌或其它装置 (l)at the expiry or early termination of this Agreement, to process the delivery of the Pre

24、mises to Landlord promptly. Fair wear of the Premises shall not affect the delivery of the Premises. Tenant shall remove all Tenants chattel and fixtures from the Premises.; and本协议期满或提前终止时,应及时与出租方办理“出租场所”交还手续,“出租场所”的合理磨损不应影响交还手续的办理。承租方应从出租场所中搬走承租方的一切物品和承租方的固定装置。(m)Landlord and Tenant hereby agree th

25、at telephone facilities, including but not limited to telephones, telephone lines and numbers are provided by Landlord in the Premises and registered under the name of Landlord and are for the sole use by Tenant during the term of this Agreement, but that upon the mutual agreement, Tenant may transf

26、er the telephone lines to his own name during the term of this Agreement and pay the required fees and expenses to the relevant authorities in China. Landlord and Tenant agree that notwithstanding such transfer and payment, Tenant will not transfer, remove or permit any of the telephone facilities,

27、including but not limited to the telephones, telephone lines and numbers, to be transferred or removed from the Premises without the prior written consent of Landlord at any time during the term of this Agreement or upon the termination of the same. 出租方和承租方在此同意,电话设备,包括但不限于电话机、电话线和电话号码1,由出租方为出租场所提供,并

28、以承出租方的名义登记,在本协议期限内供承租方专用,但经双方一致同意后,承租方可以在本协议期限内将电话号码转至其自己的名下,并向中国有关部门支付必需的费用。出租方和承租方同意,尽管进行了上述转让和付款,但未经出租方事先书面同意,承租方在本协议期限内任何时间或本协议终止后,不得将电话设备,包括但不限于电话机、电话线和电话号码,转让或从出租场所中移走,也不得允许他人将其转让或从出租场所中移走。5.Agreements and Covenants by Landlord出租方同意Landlord agrees and covenants with Tenant as follows:出租方向承租方保证

29、并同意:(a)during the term of this Agreement, to protect Tenants exclusive right to use the leased Premises and shall not re-lease the Premises to any third party;在本协议期限内,保护承租方对出租场所的独家使用权,不得将出租场所转租任何第三方;(b)to ensure that the connections are provided directly to the Premises for the supply of water, elec

30、tricity, gas, telephone, and other utilities under this Agreement;保证将本协议项下的水、电、气、电话和其它公用设施直接接入出租场所;(c)to maintain the structure, walls, roof, sanitary and plumbing facilities, drains, pipes, and cables (including electricity and telephone) in or leading to or from the Premises and all concealed wiri

31、ng and pipes in safety, good and tenantable conditions and shall promptly repair or remedy any defect therein after being notified of such defect by Tenant. Landlord shall enter the Premises to do necessary installation or maintenance only at reasonable times and on advance notice to Tenant and subj

32、ect to Tenants consent;维护出租场所内或连接出租场所的结构、墙壁、房顶、卫生洁具、下水道、水管和缆线(包括电源线和电话线)以及所有暗线、暗管,使其处于安全、良好和可租用状态,并且在承租方通知其出租场所的任何瑕疵后立即修理或弥补该些瑕疵。出租方只有在合理的时间并且在事先通知承租方后并获同意后方可进入出租场所进行必要的安装或维修;(d)to maintain the heating system, air conditioning system, and electrical system, fire and security services equipment and o

33、ther facilities of the Premises in proper working order;维护出租场所的供热、空调和电气系统、防火和保安设备以及其它设施,使其处于正常工作状况;(e)Landlord represents and warrants that it has the full right, legal capacity, power and authority to own and/or to lease the Premises to Tenant for the entire lease term under this Agreement as such

34、term or agreement may be extended from time to time by agreement of Landlord and Tenant. Landlord further represents and warrants that Tenant shall enjoy the exclusive, uninterrupted and unimpaired use of the Premises during the term of this Agreement for the purpose set forth herein;出租方陈述并保证,其拥有在本协

35、议项下整个租期及该租期或协议经出租方和承租方同意不时地续延后续展期内将拥有出租场所及将出租场所租给承租方的全部权利、法律权限、权力和授权。出租方进一步陈述并保证,本协议期限内承租方将出租场所用于本协议规定之目的应享有对出租场所的独家的、不受干扰的和不受损害的使用权;(f) Tenant is not responsible for collecting any tax with respect to the rent payable under this Tenancy Agreement. All the taxes shall be borne by the Landlord. Landl

36、ord hereby undertakes to indemnify and hold Tenant indemnified from any such requirement;承租人没有义务就本协议项下的租金交税,出租人应承担所有相关税费。出租人在此保证其将赔偿承租人因该等缴税要求所受的损失。(g) to observe and comply with all relevant PRC national, provincial and local laws, regulations, rules and measures relating to the owning, using and l

37、easing of the Premises;在出租场所的拥有、使用和出租方面,遵守执行中国所有有关的国家、省和地方的法律、规定、条例和办法;(h)to warrant and ensure that the Premises are not encumbered with mortgage before the effective date of this Agreement and it has obtained and will continue to maintain throughout the term of this Agreement all necessary governm

38、ent approval and permits including but not limited to Premises Ownership Certificate for the entering into and performance of this Agreement;承诺并保证其已获得并将在本协议的整个期限内继续保有签署和履行本协议所必需的全部政府批文和许可,包括但不限于出租场所的所有权证书;(i)if Landlord transfers or assigns its land use rights or any ownership interest in and to the

39、 Premises to any third party, it shall ensure that such transfer or assignment is made subject to, and such transferee or assignee consents in writing to adhere to, the term of this Agreement;如果出租方将其对出租场所的土地使用权或任何所有权益转让或出让给任何第三方,其须保证该转让或出让受本协议条款的约束,并且取得该受让人或被出让人书面同意遵守和履行本协议的条款;(j)to indemnify Tenant

40、 for any loss or damages arising from the negligent act, omission or misconduct of Landlord, or any loss or damages caused by the deficiencies of the premises or any equipment or furniture therein; 赔偿承租方因出租方的疏忽、不作为或不当行为或因出租场所及其中任何设施、设备、家具存在的质量或安全问题造成的任何损失;(k)to indemnify Tenant from and against all

41、claims and demands made by any person in respect of ownership of the Premises and against all costs and expenses incurred by Tenant in respect of such claim or demand;赔偿承租人因任何人就承租场所的所有权而提出的任何主张或要求所遭受的损失,并补偿承租人因此所发生的全部费用;(l) to pay all applicable taxes and charges payable on the Premises under this A

42、greement, as designated by any relevant government authority or other lawful authority to be payable by Landlord;支付任何有关的政府部门或其它合法机构就出租场所指定应由出租方支付的所有有关的收费和税费;(m)to indemnify Tenant for any loss or expenses suffered by Tenant due to Landlords breach of any and all relevant PRC Laws and Regulations wit

43、h regard to the leases of the Premises;赔偿承租方因出租方违反中国关于出租场所的租赁的任何和所有法律法规而遭受的任何损失或费用;(n)to provide Tenant with the appropriate official invoices 30 days before the due date of such payment; all the PRC tax liability related to the lease will be responsible by the Landlord and Landlord will provide Ten

44、ant with appropriate official invoices in accordance with the above sentence. The Tenant will not be liable for any delay of the payment due to Landloards failure to provide the accurate invoices as provided above.在相关款项到期应付前提前30日向承租方提供准确无误的付款通知和正式税务发票;出租方负责履行所有与该租赁相关的纳税申报义务并按前述约定向承租人提供相应的税务发票。如因出租方未

45、能履行前述义务导致付款迟延的,承租方不承担责任。(o)to ensure that the activities conducted by it and/or its servants, agents and licensees shall not reasonably be nuisance to Tenant; and 保证其和/或其服务人员、代理人和被授权人从事的活动不得对承租方造成损害;(p)to procure, piror to the Commencement Date and maintain, through the term of this tenancy, all pro

46、perty policies that are applicable for the Premises, including but not limited to theft insurance, fire insurance and the third party liability insurance.在交房日前购买并在租赁期间持续拥有适用于该房屋的一切保险,包括但不限于盗窃,火险及第三者责任险。6.Force Majeure不可抗力If because of any event of force majeure, including without limitation, explosi

47、on, fire, lightning strike, earthquake, hurricane, war, riot, civil disturbance or strike, or the enactment, rescission or amendment of any law, regulation, rule or decree of any Chinese Government authority, a party is unable to continue to operate or otherwise perform its obligations hereunder for

48、 a period of more than thirty (30) days, then the other party may terminate this Agreement by thirty (30) days prior written notice to the affected party, provided that the cause for termination has not been remedied within the thirty (30) days period of notice. Upon such termination, Tenant shall be entitled to a refund of the rent for the remainder of the then current rental period from the date on which the force majeure has commenced, for which Tenant has already pa
