EPC总承包合同书范本
1. 引言
本合同由甲方(项目业主)和乙方(承包商)签署,旨在明确双方在工程、采购、施工(EPC)项目中的权利和义务,达成合作共赢的目的。
2. 合同主体条款
2.1 项目描述
甲方委托乙方进行XXX项目的设计、采购、施工等工程,并保证提供必要的支持和配合。项目的具体范围、工期和成果要求详见附件一《项目技术要求书》。
2.2 总承包价格
根据项目范围和技术要求,乙方承诺按照合同约定的总承包价格提供服务。合同价款包括设计费、采购费、施工费等各项费用,详细计价方式和支付方式详见附件二《付款条款》。
2.3 设计要求
乙方应符合国家相关法规、标准和甲方的技术要求,设计方案应满足项目的功能、经济性和安全性,并在合同规定的时间内提交设计文件。
2.4 采购和供应
乙方负责采购所需材料和设备,并保证合同约定的质量、规格和交货期。乙方应建立健全的供应链管理制度,优化采购成本,并确保项目进度不受影响。
2.5 施工管理
乙方应组建专业的施工团队,负责项目的施工、监理和质量检验等工作。乙方应制定详细的工程计划和施工方案,确保工程质量和进度符合合同约定。
3. 合同变更和索赔
3.1 双方如需对合同内容进行变更,应书面协商并达成一致意见。变更后的条款应经双方签字确认后生效。
3.2 如因不可抗力等原因需要延期或中止履约,应及时通知对方,并根据实际情况协商解决方案。
3.3 在履约过程中如发生纠纷或索赔事件,双方应友好协商解决。如无法达成一致意见,应提交仲裁委员会进行裁决。
4. 保密条款
双方应保护对方的商业秘密和机密信息,未经对方书面同意不得泄露或披露。合同解除后仍应履行保密义务,直至解除保密协议。
5. 合同解除和违约责任
5.1 若一方未履行合同义务,违约方应承担相应的违约责任。对于因不可抗力等原因造成的违约,免责方不承担责任。
5.2 如乙方有重大违约行为,甲方有权解除合同并要求乙方承担相应的违约责任,包括赔偿甲方因此遭受的损失。
6. 适用法律和仲裁条款
本合同适用中华人民共和国法律,双方在履行合同过程中如发生争议,应提交中国国际经济贸易仲裁委员会进行仲裁,仲裁裁决对双方均具有法律约束力。
7. 其他条款
7.1 本合同自双方签字生效,有效期为XX年。合同期满前如需续签或变更,需双方书面协商一致。

EPC General Contract Template
1. Introduction
This contract is signed by Party A (Project Owner) and Party B (Contractor) to clarify the rights and obligations of both parties in the Engineering, Procurement, and Construction (EPC) project, aiming to achieve a win-win cooperation.
2. Main Clauses of the Contract
2.1 Project Description
Party A entrusts Party B to carry out the design, procurement, construction, and other works of the XXX project, and guarantees to provide necessary support and cooperation. The specific scope, duration, and deliverables of the project can be found in Annex I "Technical Requirements for the Project."
2.2 Total Contract Price
Based on the project scope and technical requirements, Party B undertakes to provide services at the agreed total contract price. The contract price includes design fees, procurement fees, construction fees, and other costs. Detailed pricing and payment methods can be found in Annex II "Payment Terms."
2.3 Design Requirements
Party B shall comply with relevant national laws, standards, and technical requirements of Party A, and shall design solutions that meet the project's functionality, economics, and safety. The design documents shall be submitted within the specified time in the contract.
2.4 Procurement and Supply
Party B is responsible for the procurement of materials and equipment, ensuring the quality, specifications, and delivery schedule as per the contract. Party B shall establish a sound supply chain management system to optimize procurement costs and ensure project progress is not impacted.
2.5 Construction Management
Party B shall organize a professional construction team, responsible for construction, supervision, quality inspection, and other works of the project. Party B shall develop detailed project plans and construction schemes to ensure that the quality and progress of the project meet the contractual requirements.
3. Contract Changes and Claims
3.1 If either party needs to change the contract, they shall negotiate in writing and reach a consensus. The revised terms shall come into effect after being signed and confirmed by both parties.
3.2 In case of force majeure or other reasons for performance extension or suspension, timely notification to the other party is required, followed by negotiating solutions based on the actual situation.
3.3 In the event of disputes or claims during the performance, both parties shall resolve them amicably. If no agreement can be reached, the matter shall be submitted to the arbitration commission for a ruling.
4. Confidentiality Clause
Both parties shall protect each other's trade secrets and confidential information and may not disclose or reveal without written permission. Confidential obligations shall be fulfilled even after the contract termination until the confidentiality agreement is revoked.
5. Contract Termination and Default Liability
5.1 In case of a party failing to fulfill its contractual obligations, the defaulting party shall bear the corresponding liability. The defaulting party is not liable for breaches caused by force majeure reasons.
5.2 If Party B commits a major breach, Party A has the right to terminate the contract and demand Party B to bear the corresponding liability, including compensating Party A for the losses incurred.
6. Applicable Law and Arbitration Clause
This contract is governed by the laws of the People's Republic of China. In the event of a dispute during contract performance, the matter shall be submitted to the China International Economic and Trade Arbitration Commission for arbitration, and the arbitration award shall be binding on both parties.
7. Other Clauses
7.1 This contract shall come into effect upon signature by both parties, with a validity period of XX years. If renewal or changes are required before the contract expires, both parties must negotiate and agree in writing.
7.2 This contract is made in duplicate, with each party holding one copy, both having equal legal effect.
