第五条 不可抗力
因不可抗力因素导致无法履行本协议的一方应及时通知对方，并在合理范围内减少损失。出现不可抗力情况，本协议可暂时中止，待不可抗力因素消除后恢复履行。
第六条 协议解除
1. 双方经协商一致，可以解除本协议。解除协议后，应确认各自的权利义务，继续履行完毕未完成部分的服务事项。
2. 在下列情况下，任何一方有权解除本协议：
（1）发生严重违约行为；
（2）另一方破产、清算或解散等情形。
第七条 争议解决
在履行本协议过程中产生的争议，双方应友好协商解决。如无法协商解决，应提交本协议签订地相关仲裁机构进行仲裁。
第八条 其他约定
1. 本协议经双方签署生效，不得转让或出售给第三方。
2. 本协议未尽事宜，双方可另行协商确定具体条款。

In accordance with the Contract Law of the People's Republic of China and relevant regulations, Party A and Party B reach this agreement on the provision of supply chain management services by Party A to Party B through equal negotiation, and agree to comply with relevant laws and regulations. The rights and obligations of both parties are as follows:
Article 1 Service Content
1. Party A provides supply chain management services to Party B, including but not limited to supplier management, inventory management, and logistics management.

Article 2 Service Term
This agreement shall take effect from the date of signing by both parties and shall terminate upon the expiry of the agreed service period. If an extension of the service period is required, the parties may negotiate separately to determine.
Article 3 Service Fee
1. Party B shall pay the service fee as per the agreed fee standard in a timely manner. In case of delayed payment, Party B shall bear corresponding responsibilities.

Article 4 Confidentiality
1. All business secrets, technical information, and data under this agreement are confidential. Both parties shall keep such information confidential and shall not disclose it to any third party without written consent from the other party.

Article 5 Force Majeure
In case of force majeure factors that lead to the impossibility of performing this agreement, the party affected shall promptly notify the other party and reduce losses within a reasonable scope. In the event of force majeure, this agreement may be temporarily suspended until the force majeure factors are eliminated.
Article 6 Termination of Agreement
1. The agreement may be terminated by mutual agreement of both parties. After the termination of the agreement, the parties shall confirm their respective rights and obligations and continue to fulfill the unfinished service items.
2. Either party has the right to terminate this agreement under the following circumstances:
(1) Serious breach of contract occurs;
(2) The other party goes bankrupt, liquidates, or dissolves.
Article 7 Dispute Resolution
Any disputes arising in the performance of this agreement shall be resolved through amicable negotiation between the parties. If no resolution can be reached, the dispute shall be submitted to the relevant arbitration institution at the place where this agreement is signed for arbitration.
Article 8 Other Agreements
1. This agreement shall take effect upon being signed by both parties and shall not be transferred or sold to any third party.
2. For matters not covered by this agreement, the parties may negotiate and determine specific terms separately.
