华南理工大学讲座教授聘任合同
Employment Contract for Chair Professor
at South China University of Technology

聘任方：华南理工大学 （简称甲方）
受聘方： （简称乙方）
Employer: South China University of Technology (hereinafter shortened as SCUT and referred to as Party A)
Employee: (hereinafter referred to as Party B)

为进一步实施人才强校战略，保证我校讲座教授工作顺利实施，保障甲乙双方合法权益，根据《中华人民共和国教师法》、《华南理工大学讲座教授聘任办法》相关规定，经甲乙双方协商订立本合同。
In order to further implement the University policy of “Strengthening the University by Recruiting Talented People”, to ensure that the chair professor undertake his/her duties successfully, and to guarantee the legitimate rights and interests of both parties, the two parties have reached the following agreements in accordance with The Teacher’s Law of the People’s Republic of China and Rules and Regulations for Employing Chair Professors at SCUT.

第一条 聘期
Article I. Employment Terms
甲方聘任乙方为我校讲座教授，岗位聘期为三年。
聘期自20 年 月 日至20 年 月 日。
聘任期满，聘任合同自动解除。
Party A employs Party B as chair professor at SCUT for three years starting from _______ (date) of (month), (year) to (date) of (month), ________ (year). Upon the agreement expiration, the contract is automatically terminated.

第二条 乙方在聘期内工作任务
Article II. Duties and Tasks of Party B
1．教学任务（包括承担核心课程讲授任务，开设本学科前沿领域课程或讲座等）：
1. Teaching (which includes teaching core and frontier courses in the related fields, and lectures and presentations.)

2．科研任务（包括以甲方为第一作者单位，并以第一作者或通讯作者身份发表SCI收录论文，或以甲方教师名义出版论著，以甲方为依托单位主持或参与科研项目等）：
2. Scientific research (which includes SCI journal papers with Party A as the first author’s affiliation or the contact author’s affiliation; or books with the author’s affiliation to Party A; or research projects headed by Party B or Party B’s participation with Party A as his/her affiliation.)

3．学科建设任务（包括协助甲方相关学科建设，对学科发展方向和研究重点提供重要建议，扩大甲方相关学科国际影响力）：
3. Discipline Construction (which includes assisting Party A in related discipline construction, putting forward suggestions on discipline development and on research priorities, and helping Party A to enhance its international influence and status in the related disciplines.)

4．人才培养任务（组建或参与组建科研团队，联合培养博士、硕士研究生，指导博士后研究人员、青年教师，互派高级访问学者等）：
4. Personnel cultivation (which includes setting up or helping setting up scientific research teams, joint-supervising PhD candidates and MA/MSC candidates, supervising postdoctoral researchers and young teachers, and helping with organizing exchanging visiting scholars.)

5．国际交流合作（包括促进甲方与国外科研机构或企业在科研项目合作、学术互访、学生联合培养等方面合作，邀请知名外国专家来校访问等）：
5. International communications and cooperation (which includes promoting cooperation between Party A and international research institutes and enterprises on scientific and research projects, academic visits and joint-cultivation of students, and inviting renowned foreign experts to SCUT).

第三条 权利和义务
Article III. Rights and Obligations
一、 甲方权利
1. Rights of Party A
甲方根据学校有关规定，对乙方进行管理；甲方依照合同约定工作目标及任务，对乙方进行考核。
Party A is entitled to supervise Party B in accordance with relevant University rules and regulations, to assess Party B’s performance on the basis of the contract.

二、 甲方义务
2. Obligations of Party A
1．依法维护乙方应享有各项权利。
A. To guarantee relevant rights of Party B in line with the contract.
2．为乙方提供工作和生活条件：
B. To provide Party B with the following working and living conditions:
（1）乙方来校工作期间，甲方为乙方提供讲座教授周转公寓，入住期间发生水电煤气费等由乙方自行缴纳，学校按专家公寓房租标准收取租金；
a. To provide Party B with appropriate apartment with standard school rent. Party B needs to pay for the rent according to the standard of SCUT, as well as the utility fees (including water, electricity, and gas, etc.).
（2）甲方为乙方在聘期内购买一份保额拾万左右国内意外伤害商业保险；
b. To purchase accident insurance of 100,000 RMB for Party B.
（3）在聘期内,甲方根据讲座教授工作需要提供科研活动经费贰拾万元(主要用于国际差旅费)。
c. To provide Party B with scientific research fund of 200,000 RMB (which includes travel expenses) during the employment.

三、 乙方权利
3. Rights of Party B
1．甲方根据乙方实际来校工作时间（附护照出入境记录及来校机票复印件），按人民币 肆 万元/月（税前）标准计算薪酬。
A. Party A shall pay Party B pre-tax salary of 40,000 RMB per month in accordance with his/her actual stay at SCUT.
2．享受甲方为其提供工作和生活条件。
B. Party B has the right to enjoy work and living facilities provided by Party A.

四、乙方义务
4. Obligations of Party B
1. 认真遵守国家法律、法规和甲方各项规章制度。
A. To abide by the laws and regulations of the People’s Republic of China and those of Party A.
2. 聘期内保证每年在甲方讲座教授岗位上工作时间2个月以上。
B. To undertake to spend no less than two months each year at SCUT as chair professor during the employment.
3. 全面履行岗位职责，完成岗位工作目标及任务；聘期结束时乙方须按要求向甲方提交聘期考核表；接受甲方监督、考核及管理。
C. To fully complete the duties and tasks. Upon the expiration of the contract, Party B is requested to submit an assessment form to Party A, and to be assessed accordingly.
4. 乙方在聘期内讲座教授岗位上所取得教学、科研等成果均属职务成果，其发表有关论文、著作或申报有关奖励、专利和科研项目及经费等，均须同时署乙方及甲方名（即必须同时署作者及作者单位，作者单位署甲方名）。
D. Party B’s teaching and scientific achievements during the employment are regarded as part of on-duty achievements. Accordingly, his/her published academic papers, books or awards, patents, research projects and funds must bear the names of both Party B and Party A. In other words, they must bear the names of the author and his/her affiliation to Party A.

第四条 考核
Article IV. Assessment
1. 甲方根据聘任合同岗位目标和工作任务对乙方进行聘期考核，乙方须按要求向甲方提交考核材料，考核结果作为其绩效评估主要依据。
1. Party A is entitled to organize final assessment on Party B in accordance with the duties and tasks stipulated in the contract. It is Party B’s obligation to submit assessment materials and documents to Party A. The results of the assessment shall be regarded as the main basis of Party B’s performance.
2. 聘期考核合格，经个人提出申请，学校同意，可续聘讲座教授；考核不合格者，不予续聘。
2. The contract may be renewed upon Party B’s request and at Party A’s consent if Party B succeeds in the final assessment at the end of his/her employment. Those who have failed in the final assessment are not eligible to renew their contracts.

第五条 合同变更与解除
Article V. Alternation and Termination of the Contract
1．乙方在聘期内如不能履行本合同所规定职责，考核不合格或有违法违纪行为，甲方有权予以解聘，终止本合同。
1. Party A is entitled to sack Party B and terminate the contract should Party B failed to carry out the duties and obligations speculated in the contract, or failed in the assessment, or is involved in any criminal activities.
2．乙方在聘期内因特殊原因提出辞聘，需提前三个月向甲方提出申请，经甲方同意后方可辞聘，并视具体情况承担相应违约责任。
2. Party B must submit written notice to Party A three months in advance if he/she wishes to terminate the contract due to events beyond his/her control. Party B cannot terminate the contract without Party A’s consent. Party B is liable to breach penalties.
3．乙方在聘期内因考核不合格或因特殊原因提出辞聘，甲方视具体情况要求乙方将拨发科研活动经费退还甲方。
3. Party A is entitled to demand that Party B return the scientific research fund should Party B asked to resign due to his/her failure in the assessment or due to events beyond his/her control.
4. 聘任期间如发生双方无法预见、无法防范而致使合同无法正常履行事由，需要变更或解除合同，聘任双方应按照国家有关法律妥善处理。
4. Should there be any unpredictable or unavoidable events which prevent the contract from full implementation, the concerned parties should handle the problem in accordance with relevant state laws and regulations.

第六条 附则
Article VI. Appendix
1． 本合同一式三份，甲方、乙方以及乙方所聘学院各持一份。本合同于签字盖章之日起生效。每份合同均用中文和英文写成，两种文字版本合同于双方当事人签字后生效，具有同等效力。如中英文版本之间有任何冲突，以中文版本为准。合同期满自行失效。
1. The contract is made in triplicate. Each party and the relevant school hold one set respectively. The contract will become valid since the day of sign. This contract is made in both Chinese and English, and the contract in both languages shall have the same legal effect upon signing of the parties. Any conflict between the two language versions shall be governed by the Chinese version.
2. 除发生不可抗力因素致使合同无法履行外，双方应严格履行合同中各项条款，如发生争议，双方应协商处理，对合同有关条款变更，应征得对方同意。
2. Except for force majeure, both parties are strictly bound by all the terms speculated in the contract. Friendly discussion is encouraged to settle disagreements or disputes should there be any. Any alteration to the terms of the contract must be agreed upon by both parties.
3．本合同如有未尽事项，应由双方协商，做出补充规定。补充规定与本合同具有同等效力。
3. Other affairs not included hereof shall be made into additional regulations through friendly consultation. The additional regulations shall have the same effects as this contract.
