委托设计开发服务协议中英文

委托设计研发协议
甲方****集团(以下简称“EEG”) 与乙方*****nc. (以下简称“SF”)就在此合同第一段所述业务达成委托协议，该业务具体包括 “AAA和 BBB”品牌服装生产、加工和销售，以及该品牌服装装饰和任何相关配饰。“AAA和 BBB”是由EEG在中国市场经营。根据本协议，当事人双方同意通过增进双方知名度和商业信誉在中国市场上推广AAA和 BBB品牌，从而达到共赢目。
1. 委托雇佣范围
为了能够使EEG顺利运作，EEG应当将以下业务委托给SF，SF同意接受此委托并忠诚地履行相关义务；
1） 服装设计
（i） 按如下设计产品（于第一季度生产成品）
70种样式上衣和裤子（35种为AAA，35种为BBB）
（ii） 针对新消费者（35-50岁）为AAA和 BBB设计品牌标志
2） 任何与以上业务相关业务

2．业务移交
为了上述条款中业务顺利完成，SF应当按照以下内容行事。
原则上每季度应带AAA和 BBB设计组到往中国三次
第一次会见：针对概念和季度颜色
第二次会见：针对设计
第三次会见：针对样品核查
第一次会见：原则上，设计指导Ms. Matsumura将与<SF设计组>参加会见。
第二、第三次会见：<SF设计组>将参加会见。

3．款项，付款日期和付款方式
1）EEG应当就委托业务支付以下委托费用。
① 年度委托费：45，000，000YEN（AAA和 BBB）
以上数值是扣除EEG在中国汇款给SF所应缴纳预提所得税（如果有）后净数值。若要缴纳预提所得税，则年度委托费将自动增加从而使扣除所缴税后净数值等同于以上数值。
② 支付方式：年度委托费将被分为12次支付，EEG应当在每月最后银行工作日将款项支付给SF。EEG将承担每次付款所涉及其他费用。首次支付将于2000年1月21日起。
2） 原则上，EEG应当负责SF所有开销和安排，例如与本委托协议相关差旅费。若SF提前支付了此费用，EEG应在SF理算后要求时偿还实际费用。并且，EEG在安排航班和住宿时，将根据相应级别安排；
当事人双方明确出发地或者是日本东京或者是意大利米兰，这取决于参加在此第二段所述会晤成员所在地。
● 为Ms. Matsumura提供航班：商务仓 酒店：四星或以上质量
● 为<SF设计组>设计师提供航班：经济仓，可调换时间。酒店：四星或以上质量

4. 协议有效期
本协议有效期为两（2）年，自2000年1月21日起至2001年12月30日止。
有效期将自动延续两（2）年，除非一方当事人在本协议有效期满前至少三（3）个月通知对方当事人不再延续协议。本条件同样适用于之后期限。
本协议有效期将延续以上时间，若协议履行应为国家政策规定、动乱、战争、自然灾害、罢工、火灾以及其他当事人不可抗力原因而中止。

5. 保密义务
1）EEG和SF作为执行者将谨慎处理任何所有另一方提供或披露信息（包括由获取方所得到信息产生次级信息）（以下简称“机密信息”），并且，未经披露方书面同意，获取方不得将机密信息披露或泄露给第三方，也不得基于以下目适用机密信息
2）EEG应当保证不将受委托设计组为以下品牌提供设计事实公开。
3) 在没有对方当事人同意情况下，EEG和SF都不得利用任何由本协议而建立私人关系，除非是为了履行本协议。

6.协商
若双方当事人因本协议中未涉及事项发生争议，或因对本协议条款解释发生争议，双方应通过协商解决争议。

7.适用法律、语言和争议管辖权
本协议将受日本法律管辖。日语是本协议原本和官方语言，出现任何有关语言问题争议，以日语为标准。双方当事人同意东京地方法院将对任何相关第一审诉讼以及其他与合同相关诉讼有专属管辖权。

双方当事人就此签订协议原件复印件达成协议，协议原件EEG和SF双方各保留一份。

Business Entrustment Agreement

***** Group.（hereinafter called “EEG”）an**** Inc. (hereinafter called “SF”) enter into the agreement for entrustment of the business described in this Paragraph 1 of this agreement regarding manufacturing, development, and the sales of clothes, a clothing ornament, ornaments of dress, and any furnished accessories of the “AAA和 BBB” brand with which EEG conducts in a CHINA market. Under this agreement, both parties agree to promote AAA和 BBB business in a CHINA market through maintaining, improving both parties’ prestigious position and business credit so as to develop the mutual prosperity.

1. Scope of Commission
In order to contribute to smooth enterprise management of EEG, EEG shall entrust to SF the business described below, and SF agrees to accept such entrustment and to accomplish its obligations in sincerity;

１） Wear Design
(i) Designs of products as follow (Productized in 1 season)
Tops and Pants 70 patterns (35 patterns forAAAand 35 patterns forBBB)
(ii) proposition of brand image of AAA和 BBB towards new customers（Age35～50’s）

２） Any business that relates to the above.

2. Performance of Consignment
SF shall conduct for the accomplishment of the business in the preceding clause as follows.

To visit CHINA three times a season in principle for the meeting with AAA和 BBB design team

First Meeting：For concept, Season Color
　　Second Meeting：For design
　　Third Meeting：For sample check

***First Meeting：Creative Director, Ms. Matsumura shall attend the meeting with ＜SF Design Team＞ in principle.
***Second, Third Meeting: ＜SF Design Team> shall attend the meeting.

3. Fee Amount, Due Date and Method of Payment
　1) In consideration, EEG shall pay SF the following consignment fee of the commissioned business.
① Annual Commission Fee： 45,000,000 YEN (AAA和 BBB)

The above amount is the net amount after deducting the withholding tax (if any) imposed in CHINA when remitting to SF from EEG. When the withholding tax is imposed, the annual commission fee is automatically increased so that the net amount after the deduction of the withholding tax becomes equal to the amount of the above.

② Payment Method：annual commission fees shall be divided by twelve and EEG shall pay to SF until the end of the bank business day of every month. EEG shall bear the service charge at every payment. The first payment starts from Jan 21th, 2000.

2) In principle, EEG shall be responsible for any expenses and arrangements incurred by SF such as SF’s travel expenses which are related to this entrustment agreement. Also, if SF pays in advance, EEG shall reimburse to SF the amount of actual expenses based on the claim of SF at the later adjustment.
Also, when EEG arranges the airplane tickets and lodging, the rank will be as followed;
Both parties understand the departure cities are either Tokyo in Japan or Milan in Italy depending upon the location of members attending the meeting described in Paragraph 2 hereof.
· For Ms. Matsumura Airplane ticket: business class Hotel: 4 star and higher quality
· For designers of ＜SF Design Team＞　Airplane tickets：economic class flexible dates which allows to change date. Hotel: 4 star and higher quality

4. Period of agreement
　The term of this agreement shall be for two (2) years commencing on Jan 21th, 2000 and ending on Dec 30th, 2001.
2）The term shall be automatically renewed for another two (2) years, unless either party notifies the other party in writing at least three (3) months prior to the expiration of this agreement of its intention not to renew this agreement. The same shall apply for subsequent periods.
3）The term of this agreement shall be extended for such amount of time as the event that the performance of the Agreement is disrupted by government ordinance, riot, war, natural disaster, strike, fire or other causes beyond the reasonable control of the parties.

5. Confidentiality Obligation
1) EEG and SF shall manage cautiously any and all information (including secondary information derived from information received and processed by the receiving party) which is provided or disclosed by the other party (hereinafter the “Confidential Information”) as a good administrator, and shall not disclose or divulge the Confidential Information to any third party without written consent of the disclosing party, nor use for any purposes other than for the purposes contemplated hereunder

2）EEG shall promise not to make it public the fact that the design teams who are entrusted the design consignment have provided own designs to the following brands.

３）Without any consents of the other party, neither EEG nor SF shall use any personal relationships established through this agreement except for performing its obligations under this agreement.

6. Consultation
If any dispute arise between the parties hereto with respect to matters not provided for in this agreement or with respects to interpretation of the provisions of this agreement, the parties hereto shall settle such matters through mutual consultation.

7. Governing Law, Language and Jurisdiction
This agreement shall be governed by the law of Japan. The Japanese language is the original and official language of this agreement and in any dispute where language is a factor, the Japanese language shall prevail. The parties hereto agree that the Tokyo District Court shall have exclusive jurisdiction for the first trial over any and all lawsuits and other legal proceedings that may arise out of this agreement.

The parties hereto have caused this agreement to be executed by signing the duplicate original of this contract, retain one original for EEG and other original for SF.
