"Lessee" refers to the party that rents the leased property under this Contract. "Leased property" refers to the factory building and its附属 facilities and contents described in Article 2.1 of this Contract. "Lease term" refers to the period of time during which the Lessee has the right to use the leased property, as stipulated in Article 2.2 of this Contract. "Rental payment" refers to the amount of money paid the Lessee to the Lessor for the use of the leased property, as stipulated in Article 3 of this Contract. 1.2 application and conclusion of this contract 1.2.1 The Lessee shall submit an application to the Lessor for the lease of the leased property. 1.2.2 The Lessor shall review the Lessee's application and, if satisfied, enter into this Contract with the Lessee. 1.3 validity and amendment of this contract 1.3.2 Either party may propose amendments to this Contract, which shall be effective upon written consent of the other party. 第二章:lease object and term 2.1 lease object description 2.1.1 The leased property is a factory building located at No._____, _____, with a total area of approximately ____ square meters, including its附属 facilities and contents as listed in Exhibit A attached hereto. 2.2 lease term 2.2.1 The lease term shall be____ years, starting from the Effective Date of this Contract. 第三章:rental payment 3.1 rental amount 3.1.1 The Lessee shall pay to the Lessor a monthly rental amount of____ RMB (____ USD), calculated based on the leased property's area and the rental rate specified in Exhibit B attached hereto. 3.2 payment term and method 3.2.1 The Lessee shall pay the rental amount to the Lessor on or before the____ day of each month during the lease term. 3.2.2 The Lessee may make the rental payment bank transfer, cash, or other methods as agreed both parties. 3.3 adjustment of rental amount 3.3.1 The rental amount shall be adjusted____ years after the Effective Date of this Contract, based on the relevant market conditions at that time. 第四章:use of leased property 4.1 lessee's use of leased property 4.1.1 The Lessee shall use the leased property for____ purposes only, as specified in Exhibit C attached hereto. 4.3 lessee's obligation to maintain and repair 4.3.1 The Lessee shall be responsible for the daily maintenance and repair of the leased property, excluding thoseitems covered the Lessor's maintenance obligations. 第五章:insurance 5.1 lessee's obligation to insure 5.2 insurance coverage 5.2.1 The insurance coverage shall be equal to the replacement value of the leased property and its附属 facilities and contents. 5.3 insurance policy 5.3.1 The Lessee shall provide the Lessor with a copy of the insurance policy within____ days after the Effective Date of this Contract. 第六章:maintenance and repair 6.1 lessor's obligation to maintain and repair 6.2 lessee's obligation to maintain and repair 6.2.1 The Lessee shall be responsible for the minor maintenance and repair of the leased property, excluding thoseitems covered the Lessor's maintenance obligations. 第七章:termination of lease 第八章:damage and indemnity 8.1 lessee's responsibility for damage 8.1.1 The Lessee shall be liable for any damage caused to the leased property due to the Lessee's fault or negligence. 8.2 lessor's responsibility for damage 8.2.1 The Lessor shall be liable for any damage caused to the leased property due to the Lessor's fault or negligence. 8.3 insurance claim 第九章:transfer of lease 9.1 lessee's right to transfer lease 9.1.1 The Lessee may transfer the lease rights under this Contract to a third party, with the prior written consent of the Lessor. 9.2 lessor's consent to transfer 9.2.1 The Lessor may consent to the transfer of the lease rights if the proposed transferee meets the Lessor's requirements and is deemed suitable the Lessor. 9.3 transfer process 9.3.1 The Lessee shall provide the Lessor with the necessary documentation for the transfer, and both parties shall execute a written agreement for the transfer of lease rights. 第十章:sublease 10.1 lessee's right to sublease 10.1.1 The Lessee may sublease the leased property to a third party, with the prior written consent of the Lessor. 10.2 lessor's consent to sublease 10.2.1 The Lessor may consent to the sublease if the proposed sublessee meets the Lessor's requirements and is deemed suitable the Lessor. 10.3 sublease agreement 10.3.1 The Lessee shall enter into a sublease agreement with the sublessee, and provide the Lessor with a copy of the sublease agreement. 11.1 notice requirements 第十二章:dispute resolution 12.1 applicable law 12.1.1 This Contract shall be governed and construed in accordance with the laws of the People's Republic of China. 12.2 dispute resolution mechanism 12.2.1 Any disputes arising out of or in connection with this Contract shall be resolved through友好协商; if the parties fail to resolve the dispute through friendly协商, either party may submit the dispute to the People's Court with jurisdiction over the leased property. 第十三章:miscellaneous provisions 13.1 waiver 13.1.1 Any waiver either party of a breach of this Contract shall not be deemed a waiver of any subsequent breach. 13.2 entire agreement 13.2.1 This Contract constitutes the entire agreement between the parties with respect to the subject matter hereof, superseding all prior agreements, negotiations, and understandings, whether written or oral. 13.3 severability 13.3.1 If any provision of this Contract is held to be invalid or unenforceable, the remainder of this Contract shall remain in full force and effect. 第十四章:signature and date 14.1 execution of this contract 14.1.1 This Contract shall be signed the authorized representatives of both the Lessor and the Lessee on the date specified in Exhibit D attached hereto. 14.2 effective date of this contract 14.2.1 This Contract shall be effective as of the date of execution set forth in Article 14.1 of this Contract.
