(the "Rent"). 4.2 Payment Terms 4.2.1 The Tenant shall pay the Rent to the Landlord in advance on or before the 1st day of each calendar month during the Lease Term. 4.3 Rent Adjustments 4.3.1 The Rent shall be subject to adjustment in accordance with the terms of the Lease. 第五章:Use of Premises 5.1 Permitted Use 5.1.1 The Tenant shall use the Leased Property solely for the purpose of X. 5.2 Prohibited Use 5.2.1 The Tenant shall not use the Leased Property for any illegal or improper purpose. 第六章:Maintenance and Repairs 6.1 Tenant's Responsibilities 6.1.1 The Tenant shall be responsible for the maintenance and repairs of the Leased Property. 6.2 Landlord's Responsibilities 6.2.1 The Landlord shall be responsible for the structural integrity of the Leased Property. 6.3 Maintenance and Repairs Expenses 6.3.1 The Tenant shall bear all reasonable expenses incurred in connection with the maintenance and repairs of the Leased Property. 第七章:Insurance 7.1 Tenant's Insurance Requirements 7.1.1 The Tenant shall obtain and maintain insurance coverage for the Leased Property. 7.2 Landlord's Insurance 7.2.1 The Landlord shall obtain and maintain insurance coverage for the Landlord's interest in the Leased Property. 第八章:Damage and Loss 8.1 Tenant's Liability 8.1.1 The Tenant shall be liable for any damage to the Leased Property caused the Tenant's act or omission. 8.2 Landlord's Liability 8.2.1 The Landlord shall be liable for any damage to the Leased Property caused the Landlord's act or omission. 第九章:Subletting and Assignment 9.1 Tenant's Right to Sublet 9.1.1 The Tenant may sublet the Leased Property to a third party with the prior written consent of the Landlord. 9.2 Tenant's Right to Assign 9.2.1 The Tenant may assign its rights under this Lease with the prior written consent of the Landlord. 第十章:Termination of Lease 10.1 Termination either Party 10.1.1 Either Party may terminate this Lease upon the occurrence of a Event of Default. 10.2 Termination for Breach 10.2.1 This Lease may be terminated for breach of any term or condition hereof. 10.3 Events of Default 10.3.1 Events of Default include, but are not limited to, failure to pay Rent and failure to perform any other obligation under this Lease. 第十一章:Dispute Resolution 11.1 Mediation 11.1.1 Any disputes arising out of or in connection with this Lease shall be resolved mediation. 11.2 Arbitration 11.2.1 If mediation fails, any disputes arising out of or in connection with this Lease shall be resolved arbitration. 11.3 Legal Actions 11.3.1 If arbitration fails, either Party may bring an action in the appropriate court having jurisdiction. 第十二章:Miscellaneous 12.1 Governing Law 12.1.1 This Lease shall be governed and construed in accordance with the laws of the People's Republic of China. 12.2 Entire Agreement 12.2.1 This Lease constitutes the entire agreement between the Parties and supersedes all prior agreements and understandings, whether written or oral. 12.3 Amendments 12.3.1 This Lease may be amended or modified only a written instrument executed both Parties. 12.4 Notices 第十三章:Appendices 13.1 Lease Schedule 13.1.1 Attached hereto as Appendix A is the schedule of the Lease, which sets forth the details of the Leased Property, Rent, and other terms and conditions. 13.2 Inspection Reports 13.2.1 Attached hereto as Appendix B are the inspection reports of the Leased Property. 13.3 Consents and Approvals 13.3.1 Attached hereto as Appendix C are the consents and approvals required under this Lease. 第十四章:Signatures 14.1 Landlord's Signature [Blank space for Landlord's signature] 14.2 Tenant's Signature [Blank space for Tenant's signature] [End of Contract] 多方为主导时的,附件条款及说明 附加条款1:甲方为主导时的特殊条款 1.1 甲方有权在租赁期内对租赁物进行改善和维修,但应提前通知乙方,并在维修期间提供乙方合适的替代场所。 1.2 甲方应保证租赁物的使用权归乙方独占,不得干涉乙方的正常使用。 1.3 甲方应承担因租赁物导致的第三方索赔责任,但乙方使用不当造成的损失除外。 附加条款2:乙方为主导时的特殊条款 2.1 乙方应合理使用租赁物,并承担因使用不当造成的损坏责任。 2.2 乙方有权在租赁期内提出合理改善和维修建议,甲方应在收到建议后X个工作日内回复。 2.3 乙方不得将租赁物转租或转让给第三方,除非得到甲方的书面同意。 附加条款3:第三方中介参与时的特殊条款 3.1 中介费用 3.1.1 双方同意,中介费用为租金的X%,由甲方支付。 3.1.2 中介费用应在租金支付时一同支付,甲方未支付中介费用的,乙方有权拒绝支付租金。 3.2 中介责任 3.2.1 中介应保证租赁信息的真实性,对于因虚假信息导致的损失,中介应承担相应责任。 3.2.2 中介在合同履行过程中应保持中立,不得偏袒任何一方。 3.3 中介服务范围 3.3.1 中介应提供租赁物的介绍、带看、谈判等服务。 3.3.2 中介应在合同签订后X个工作日内提供租赁物的相关证明文件。 附件及其他补充说明 一、附件列表: 1. 附件A:租赁物详细描述及示意图 2. 附件B:租赁物验收报告 3. 乙方违约行为: 未按约定时间支付租金 使用租赁物不当导致损坏 未经甲方同意转租或转让租赁物 3. 中介违约行为: 提供虚假租赁信息 未履行中介服务职责 偏袒任何一方导致损失 三、法律名词及解释: 1. 租赁物:指本合同项下甲方出租给乙方的物业。 2. 租金:指乙方向甲方支付的租赁物的使用费用。 3. 违约行为:指违反合同约定的一方行为。 4. 维修义务:指租赁物损坏时,负责维修的一方义务。 5. 转租:指乙方将租赁物转租给第三方的行为。 6. 中介费:指中介为促成合同所收取的费用。 四、执行中遇到的问题及解决办法: 1. 问题:甲方未按约定时间交付租赁物。 解决办法:乙方应与甲方协商延迟交付时间,并根据实际情况考虑是否要求赔偿。 2. 问题:乙方未能按时支付租金。 解决办法:甲方应催促乙方支付租金,必要时可依法采取诉讼措施。 3. 问题:租赁物损坏需要维修。
