Sale & Purchase Contract for Iron Ore
This Contract (this “Contract”) is made effective as of April 2, 2012.

BY AND BETWEEN

########################, of ########################,People’s Republic of China (hereinafter referred to as the Buyer),

AND

########################., of ########################, People’s Republic of China (hereinafter referred to as the Buyer’s Agent),

AND
########################, ########################, Brazil (hereinafter referred to as the Seller);

AND

When the context so requires, jointly referred to as the Parties.

Seller agrees to sell, and Buyer agrees to buy, the following commodity (hereinafter referred to as the Goods ) in accordance with the terms and conditions of this Contract:

第1条： 商品名目
巴西铁矿粉

CLAUSE 1: COMMODITY
Commodity IRON ORE FINES (Brazil)

第2条： 交货数量和时间
装船数量： 每月十二万（120000）湿吨巴西铁矿粉，允许5%增减有卖方选择。 分两船装运，每船60000湿吨。
合作期限： 10年 (120月)
装货港： ----------- 港或任何巴西主要港口。
装货期： 第一船2012年4月2日或以前装运， 第二船在收到第二个信用证三十天内装运。
卸货港： 中国龙口港。
迟装费： 每天每湿吨USD0.01。

CLAUSE 2：DELIVERY QUANTITY AND DELIVERY PERIOD

The quantity shall be as follows:
IRON ORE FINES: 120, 000 WMT +/-5% per month at seller’ option

The delivery shall be consisted of shipments shipped by two vessels each one will be 60,000 WMT (wet metric ton) +/- 5% at sellers option .The first shipment shall be latest on/before February，28,2005,and the second shipment shall be within Thirty (30) days.

Contract Cooperation term : 10 year （120 months）
Port of Loading : Any port in Brazil
Port of Destination : LongKou, Shandong Province, China

In the event of delay in delivery, Buyer shall accept such delivery of Ore by imposing at USD0.01per WMT per day .

第4条： 价格
巴西铁矿粉
每湿吨USD 72.5中国龙口港到岸价，以含铁63.50%为基价，不足百分数整数部分，按份数计。含铁量最低不能低于63.50%，既保证值在63.5%以上。 计算价格以干吨重量记价，而干吨数字是由湿吨数字减去根据本合同第9条检定的最终自由水份值得出。

以上单价将随国际铁矿价格变化作相应调整。
信用证总金额：USD 8700000（+/-10%），按照本合同第六条的规定，与该铁矿粉由两条船分别装运相对应，分开两个信用证，每个信用证的金额为USD4350000（+/-10%）
价格条款：CFR中国龙口港。

CLAUSE 4: PRICE

IRON ORE FINES

US$72.5 (US Dollars seventy-two and fifty Cents) per dry metric ton CFR Longkou, China ,based on 63.5% Fe, fraction pro-reta. The minimal acceptable PCT of Iron (Fe) on dry basis is (62.5%). The price is based on the dry metric ton. The final dry weight shall be calculated by deducting the final free moisture Content, determined as set forth in Clause 9, from the wet weight, stated in the aforesaid certificate.

The above price is subject to (quarterly) adjustment in line with the international iron ore price.
Total L/C amount for monthly shipments: USD 8,700,000 (+/-10%).

Price term: CFR Longkou, China.

第5条：价格调整
本合同第四条所列价格，依照下面规定增或减。
巴西铁矿粉
A) 铁含量：
如果交付的货物中铁含量不符合本合同第三条规定的要求，则本合同第四条所述的价格，买方接受货物并根据本合同第九条规定所测定的铁含量，作以下调整：
-当铁含量为63.50%以上时，每增加1%，价格每干吨增加USD0.60，如非百分比整数时，按份数计算。
-当铁含量为63.50%以下时，每减少1%，价格每干吨减少USD0.60，如非百分比整数时，按份数计算。
B） 其他成分：
如果货物中的三氧化二铝、二氧化硅、硫和磷超过本合同第三条规定的保证最大值，买方接受货物并计收下列扣款（如非百分比整数时，按份数计算）
a. 三氧化二铝：当超过3.00%时，每1%每干吨扣减USD0.05
b. 二氧化硅：当超过3.50%时，每1%每干吨扣减USD0.05
c. 硫：当超过0.06%时，每0.01%每干吨扣减USD0.05
d. 磷：当超过0.07%时，每0.01%每干吨扣减USD0.05
C) 粒度：
当货物粒度为10mm以上的数量超过本合同第三条规定的允许值10%时，卖方需按每干吨USD0.30，就其超出部分向买方作出赔偿，不足百分比整数时，按份数计算。

CLAUSE 5: PRICE ADJUSTMENT

A) For Fe Content
In respect of the shipment of Iron Ore which does not meet the Fe specifications set forth in Clause 3, Buyer shall accept such delivery of Ore; the base price referred to in Clauses 4 shall be adjusted in accordance with Fe content as determined pursuant to provisions of Clause 9 as follow:
- The price shall be increased by USD0.60 per dry metric ton for each 1% Fe above 63.50%, fraction pro-rata
- The price shall be decreased by USD0.60 per dry metric ton for each 1% Fe below 63.50%, fraction pro-rata.
B) For other elements
If the composition of Ore in respect of Alumina (Al2O3), Silica (SiO2), Sulphur (S), and Phosphorus (P) exceeds the respective guaranteed maximum as set forth in Clause 3 hereinabove, Buyer shall accept such delivery of Ore by imposing penalties provided below, fractions pro-rata.
a) Al2O3: USD0.05 per dry metric ton for each 1.00% in excess of 3.00%
b) SiO2: USD0.05 per dry metric ton for each 1.00% in excess of 3.50%
c) S (Sulphur): USD0.05 per dry metric ton for each 0.01% in excess of 0.06%
d) P(Phosphorus):USD0.05 per dry metric ton for each 0.01% in excess of 0.07%
C) Size:
In the event that the oversize quantity exceeds the respective guaranteed maximum as set forth in Clause 3, Seller shall pay the penalty at USD0.30 per wet metric ton fractions pro-rata for the quantities of fines 10mm in excess of 10%

第6条：付款方式
买方需在 年 月 日前通过中国国内的五大银行之一向卖方开出本合同的第一个不可撤销的可转让的即期信用证，信用证金额足够支付第一船所装运货物100%的总值。信用证通知行为-----------------------------------------------首次付款为发票金额的95%。信用证允许金额增减10%和数量增减5%。开证行以外的一切费用由卖方承担。
买方应在第一船货物到港后5天内开出合同的第二不可撤消的、可转让的即期信用证。除装船期和信用证有效期不同外，其它条款于本合同的第一个信用证相同。
买方如在上述规定时期前不能按照卖方的要求开出信用证，卖方有权延期装运或取消合同。
A） 首次付款
信用证规定开证行在收到卖方信用证项下单据和即期汇票后，给予付款。首次付款为发票金额的95%。卖方同时须递交本合同第7条所列的文件。在装港由SGS签发的质量证和重量证是卖方临时发票的依据。
B) 最终付款
首次付款的余款将在信用证项下结算。最终结算的依据是由CIQ根据本合同 第8和第9条规定，在卸货后45天内签发的检验证。如果再卸货后45天内仍 没有进行检验，则装运港的检验结果成为最终结算的依据。

CLAUSE 6: PAYMENT

Buyer shall open latest with one of the five major banks in China through ---------------------------------- an irrevocable, revolving, transferable Letter of Credit payable at sight in favor of Seller for an amount in US Dollars sufficient to cover 100% (one hundred percent) of the shipment value and 95% (ninety nine percent ) to be made for provisional payment. And 10PCT more or less on total amount and 5 PCT more or less on quantity are acceptable. The L/C opening bank will also add that the telex is the operative instrument and no further confirmation is required. All banking charges outside opening bank shall be paid by the Seller.

In case the Buyer fails to open the L/C on/before the date stipulated above, the Seller may postpone the shipment or at their option cancel this contract.

A) PROVISIONAL PAYMENT
Documents under the said L/C shall be accepted by opening bank upon presentation and paid at sight for the amount of 95% (ninety five percent) of the value of the shipment. The weight certificate issued by SGS in Brazil by survey of ship’s draft together with the certificate of analysis of sample and of the percentage of the free moisture loss at 105 degrees centigrade issued by SGS shall be the basis for the Seller’s provisional invoice.

B) FINAL PAYMENT
The balance due to the Seller/Buyer after provisional payment shall be made under the L/C by telegraphic transfer against the Seller’s/Buyer’s final invoice in three duplicates delivered through the Bank. This invoice is to be based on the Certificates of the Entry-Exit Inspection & Quarantine of the People’s Republic of China (CIQ) as provided in Clause 8 and Clause 9 issued within 45 days after completion of discharge in China. If umpire is required, payment adjustment arising for this will be made when the umpire’s certificate is available. In case analysis is not carried out at the discharging port within 45 days after completion of discharging in China, the loading port results shall form the basis for final invoice.

第7条：文件
卖方须向银行递交下列文件的正本，而全套副本直接邮寄给买方：
A) 全套已装船清洁提单，注明“运费根据租船合约支付”，空白背书。
B) 临时发票一正三副，并注明合同号和船名。
C) 卖方在装船3个工作日内向买方发出的装船通知，内容包括船名、数量，提单号、 ETA卸港、货物大约价值。
D) 品质证和重量证，由装港的检验机构签发，并注明船名及合同号（一正三副）。
E) 由巴西一家商会出具的产地证，并注明船名及合同号（一正三副）。
F) 附加条款
开证行应在信用证中如下条款：
1） 除发票和汇票外，第三方文件可接受。
2） 信用证上和文件上的规定出现合同许可范围内的差异时，可以接受。
3） 首次付款的文件需在装船后45天内递交议付行；最终付款的文件须在信用证的有效期内递交议付行。
4） 租船提单可接受。
5） 信用证金额允许10%增减，信用证数量允许5%增减。
6） 货物的单价是可以调整的。

CLAUSE 7: DOCUMENTS

The Seller shall provide the Buyer through negotiating and opening banks after reimbursement of sale proceeds with the following documents:

A) Complete set of “Clean on Board” shipped Bill(s) of Lading made out to order, blank endorsed marked “freight payable as per charter party”.
B) Provisional invoice in one original and 3 (three) copies indicating contract number, L/C number, name of carrying vessel
C) Shipping Advice dispatched to the buyer within 3 working days after shipment informing B/L number, ETA discharge port, quantity loaded, approximate value of the shipment
D) Certificate of Quality and Certificate of weight of contracted goods each in one original and 3 (three) copies issued by SGS, indicating contract number and name of carrying vessel.
E) Certificate of Origin (One original and three copies) to be issued by a Chamber of Commerce in Brazil, indicating contract number and name of carrying vessel.
F) Additional Conditions:
The L/C opening bank shall add the following:
1) Third party documents except draft and invoice are acceptable.
2) The differences of Physical and Chemical Composition and Moisture between L/C and documents within the limitations permitted by the said contract are allowed.
3) Documents to be presented to the negotiation bank within 45 days after shipment date for provisional payment and documents shall be presented for negotiation within the validity of the L/C for final payment.
4) Charter Party bills of Lading acceptable
5) 10% more or less on credit amount and 5% more or less on quantity allowed
6) Unit price of the goods is adjustable.

第8条：重量测定
A) 在装运的重量测定
在装港由卖方负责安排测量行进行水呎侧重，鉴定的结果连同质量检验证是卖方发票的依据。买方可派出代表到装港现场观察测重过程，其费用自行承担。
B) 在卸港的重量测定
在卸港由买方负责安排CIQ对货物进行水呎测重，测验结果为湿吨重量数字。 而干吨数字是由湿吨数字减去根据本合同第9条检定的最终自由水分子得出，卖方可自行承担费用，派出代表在卸港现场观察测重过程。

由上述方法测定的重量是最终付款发票的依据。如果卸港CIQ的水呎报告和提单数字相差超过5%（包括5%）则CIQ水呎报告的数字和提单数字的平均数就作为最终重量数字。

C) 如果在装港和/或卸港无法和难以进行水呎测重时，买卖双方须通过协商决定另一种测重方法。如果在卸港没有进行水呎测重，则装港的水呎数字就是最终的结算的依据。

CLAUSE 8: WEIGHING

A) WEIGHING AT LOADING PORT.
At the loading port, the Seller at Seller’s expense, shall determine the weight of shipment of ore by draft survey. The weight of ore as ascertained and certified together with qualified surveyor’s analysis shall be basis of seller’s invoice. Buyer’s representative(s) may, at the expense of Buyer, be present at the time of weighing at the loading port.

B) WEIGHING AT DISCHARGING PORT(S):
At discharging port, the Buyer shall, at Buyer’s expense, apply the Entry-Exit inspection and Quarantine of the People’s Republic of China(CIQ) for weighing. The weight of the shipment at the discharge port is to be ascertained by draft survey. The weight thus determined by CIQ shall be considered to be the wet weight in relevant shipments

C) In the event that it is impossible or extremely difficult to conduct the vessel’s draft survey at the loading and/or discharging port(s), Seller and Buyer shall decide an alternative method of weighing through mutual agreement. If no draft survey is performed at the discharging port, the qualified surveyor’s (SGS) weight certificate at loading port be registered as final.

第九条：抽样和分析
A） 装船分析
货物在装船时，由装港符合资格的公证检验机构（SGS）抽样检验。买方或买方代表可到现场观察抽样过程。但费用由买方承担。
公证行根据合同第3条分析货物的铁和其他化学成份的干基数值，自然水份和自然状态的物理性质，并签发检验证书。
以上检验费用由卖方承担。检验结果是临时发票的基础。卖方货物离开装港3个工作日内把检验报告传真给买方。
B） 在卸港，CIQ 将根据有关标准，抽出样本。卖方可到现场观察抽样过程，费用由卖方负担。卸港的CIQ将分析货物的化学成份，物理性质和自然水份，然后把货物分成三份：一份给买方，一份给卖方，一分留待仲裁检验。卸港CIQ 出具的检验证书在货物卸完后45天内由买方空邮给卖方。
C) 如果CIQ的检验结果和装港公正行的检验结果在铁的含量、三氧化二铝、二氧化硅、硫和磷的含量差异不超过0.5%时，CIQ 的检验数字是最终结果。
如果CIQ 的检验结果和装港公正行(SGS)的检验结果铁含量的差异超过0.5%，或者除铁外，其他成份差异很大时，双方应通过协商解决。如不能解决时，卖方可以向买方提出对CIQ 抽样进行仲裁检验的要求。仲裁检验人员须由双方同意。该检验结果是最终结果。货物的物理指标在装卸港的检验结果有差异时，双方应通过协商解决，协商不成，卖方可要求对物理分析的样品进行仲裁分析，分析结果是最终的。
仲裁检验费用由最初检验结果与仲裁检验结果较远的一方承担。如果仲裁检验的数字是双方检验数字的中间数，则仲裁检验的费用双方平分。

CLAUSE 9: SAMPLING AND ANALYSIS

A) ANALYSIS AT LOADLNG PORT:
At the time of loading of the shipment, the qualified surveyor (SGS) shall take representative samples for analysis.
The Buyer or Buyer’ s representative shall have right to be present at such sampling at Buyer’s expense.
The qualified surveyor (SGS) shall analyze for iron (Fe) content and other chemical composition on dry basis, free moisture loss at 105 degrees Centigrade and physical composition on wet basis, as set forth in Clause 3 and shall issue a certificate of such
Analysis Certificate and the amount of the provisional invoice.

B) ANALYSIS AT DISCHARGING PORT
At the time of discharging port(s), CIQ shall take representative samples in accordance with the prevailing standards. Seller or Seller’s representative shall have the right to present at such sampling standards. Seller or Seller’s representative shall have the right to be present at such sampling at Seller’s expense. CIQ at discharging port shall analyze the samples so take for physical composition and chemical specification of ore and free moisture content.

After completion by CIQ of analysis for physical composition and free moisture content, the samples so taken for chemical analysis shall be divided into three (3) equal parts and sealed, one for buyer, one for seller, and the third to be retained for umpire. CIQ shall analyze one of portion on
