1. 引言(INTRODUCTION)
除雙方另有書面約定外，雙方所有關於採購方向供應方訂購的產品（以下簡稱“產品”）的訂單均受本采購合同的約束。
Except as otherwise agreed in writing by the Parties, all orders of products Buyer will purchase from Seller (the “Products”) are to be governed by the terms of this Agreement.

2. 訂單(PURCHASE ORDER)
供應方收到訂單後，若需對訂單進行修改，應於2個工作日內將修改內容書面回復採購方，修改內容經採購方確認後生效。
訂單生效後，經雙方協商一致，可采取書面形式變更或取消訂單。
To meet the request of Buyer’s distributors, Buyer may change or cancel an order, which change or cancellation will take effect when mutually agreed in writing by the Parties.

3. 價格(PRICE)
單價經雙方簽核後生效(即供應方產品報價單必須經雙方確認).

4. 產品保證(PRODUCT’S WARRANTY)
產品須嚴格按照訂單的要求及採購方提供的<<品質計劃>>、樣品、圖面技術資料及相關產品標准進行生產，產品質量應完全符合供應方作出的任何明示或默示的保證要求。
The Products will comply in all respects with the specificationsof the order, as well as all samples, drawings, technological data, and relevant product standards. The qualities of the Products will completely conform to the warranties made expressly or impliedly.
產品須按照採購方提出的包裝要求或在採購方未提出包裝要求的情況下，采取足以保證產品不受損害的方式進行包裝。供應方保証產品到達採購方指定的目的港時產品包裝完好無瑕疵。產品到達目的港後，因產品包裝有瑕疵導致產品受損害，在採購方提供相關圖片後，供應方應承擔相應的責任，責任的范圍由雙方協商確定。
The Products will be packed and secured as specified by Buyer or, in the absence of any such specification, so as to reach Buyer undamaged and intact.

供應方應保證產品的材料、塗料、設計、製造、包裝、標識、裝潢等完全遵守符合製造地及銷售地相關法律、法規、條例、規章等。
The design, manufacture, package, labels and marks of the Products shall comply with any and all applicable laws, ordinances, rules and regulations.
供應方應保證產品不會侵犯任何第三方的現時的或潛在的專利權、著作權、商業秘密或其他權利。
Seller warrants that the Products will not infringe any third party’s actual or potential patents,copyrights, trade secrets or any other intellectual property rights, and Seller will undertake losses and responsibilities arising from such infringement. Buyer shall provide assistanceif necessary

5. 產品檢驗(INSPECTION)
産品檢驗地點由採購方確定(在供應方工廠的合理區域或其他採購方指定之地點)。產品只有經過檢驗合格方能交付給採購方。產品檢驗標准由採購方制定，經供應方確認後執行。
若産品經檢驗不合格，則採購方可要求供應方換貨或由採購方自行重工返修，由此産生的相關費用或責任（含逾期交貨責任）由供應方承擔。
產品檢驗合格或特別批準出貨並不能免除供應方的產品保證責任。
因供應方交貨產品品質不良導致採購方客戶索賠費用及直接費用(運費,重工費,包裝費等)由供應方負全責.
6. 交貨(DELIVERY)
供應方應嚴格按照約定的交貨日期、交貨地點及方式交付貨物。採購方收到供應方交付的各方面均完全符合要求的産品的日期爲實際交貨日期。採購方對交貨日期有特殊規定（如CTC客戶的產品以貨櫃送到碼頭後倉庫開具的書面資料顯示的開閘日期為交貨日期）的，以該特殊規定的日期為交貨日期。
Seller agrees to ship products to the Buyer’s designated place of delivery in time with the delivery schedules.Seller shall be responsible for the costs and expenses under the terms of delivery. The date when Buyer receives the Products fully comply with the requirements of this Agreement shall be deemed as the real delivery date.
供應方遲延交貨的，每遲延一日應支付採購方該批貨款總額的千分之5作為違約金。若採購方因供應方遲延交貨所受的損失（含採購方承擔的對其客戶的違約責任）超過該違約金，供應方還應支付採購方相應的差額。
Any late delivery after the specified period will result in liquidated damages of 5% of the purchase order price per day. If Buyer suffers more losses (including any and all costs and liabilities borne by Buyer to Buyer’s customers) than the liquidated damages, Seller agrees to reimburse the balance.Buyer reserves the right to cancel the purchase order at any time without notice if the delay exceeds two weeks for any reason. Seller shall be liable to Buyer for any damages thereby caused.
如有以下情形導致供應方交貨遲延的，供應方不承擔上述責任:
1. 不可抗力；
2. 採購方應在交貨日期前_____天提供所有正確的包裝要求, 採購方未在規定時間內提供的。

7. 貨款結算與支付(PAYMENT)
貨款采用T/T電匯方式, 採購方有權通知供應方將供應方應支付採購方的退貨金、違約金、損害賠償金、扣款、重工返修費用及其他費用從採購方應支付的貨款中進行相應扣除。
採購方應於當批訂單產品出貨後14個工作日內根據供應方提供Invoice金額將貨款支付給供應方.採購方延遲付款的，每遲延一日應支付供應方遲延貨款千分之5的違約金。

8. 免除責任保障(PRODUCT LIABILITY)
在不影響採購方其他權利的前提下，無論本合同其他條款作何規定，對於任何和所有由於產品質量或權利缺陷而産生的或與之有關的控告、訴訟、行政處罰、成本和支出，包括但不限於，律師費、訴訟費、債務、損害以及與個人傷害或死亡有關的各種權利請求或權利要求，供應方應承擔責任，並同意給予採購方賠償，並使採購方免受該等事宜的損害。採購方給予必要的協助。

9. 知識產權及商業秘密保護(INTELLECTUAL PROPERTY AND CONFIDENTIALITY)
採購方所提供之造型,結構,圖面,模具,供應方未經採購方書面同意,不得生產制造或提供給第三方.供應方要嚴守商業秘密,採購方所提供之本質上屬於機密的資訊，包括但不僅限於，產品,單價信息,技術資料等未經採購方書面同意，均不得复製留存或泄漏於第三方,如違反,供應方應向採購方支付_拾萬__元(人民幣)違約金/單次,並賠償需方因此所遭受的全部損失。

10. 商業和社會道德規范COMMERCIAL ETHIC CODE AND SOCIAL BENEFIT）
供應方必須遵守採購方的商業道德規范政策，不得向採購方公司的任何人員提供任何金錢或以其他各種形式提供與金錢有關的各種禮物，禮品和服務等利益。如有違反，供應方要一次性支付違約金伍萬元人民幣，且採購方可隨時終止本協議。
供應方必須遵守制造地的所有勞動法律法規，不得使用法律禁用之人員。
供應方必須遵守制造地的所有關於環境保護的法律規范。
供應方同意接受採購方對供應方執行上述條款之情形不定期進行稽核。

11. 其他約定事項(OTHERS)
供應方對採購方所派的驗貨人員在供應方廠區內的財產和人身安全負有保障責任。供應方承諾對採購方驗貨人員在供應方之財產損失和人身損害承擔完全賠償責任。並採購方有權決定是否終止雙方的業務關系。
供應方應免費提供出貨量2%的零件(包括但不限於，拉手,合頁,螺絲,抽屜滑杆等小零件)作為採購方之客戶售後服務使用,如有超出則採購方需下訂單購買，供應方應以成本價供應.
採購方負責第三方公司的首次樣品測試, 驗廠及驗貨之費用, 但因供應方產品品質不良﹑工廠自身問題﹑運輸問題未能通過檢驗, 需補驗之費用由供應方承擔. (採購方有義務於檢驗前提供相關之要求及規範)

12. 合同的有效期及終止(TERM AND TERMINATION)
本合同的有效期自2007年11月05日起至2008年12月31日止。

當一方違約時，經守約方提示後，違約方未在7個工作日內糾正的，守約方可選擇向違約方發出通知立即終止本合同。

13. 爭議解決(SETTLEMENT OF DISPUTES)
在本合同的履行過程中如發生糾紛，應由雙方協商解決。協商不成的，應向採購方所在地法院起訴。

14. 簽署與修改(SIGNATURE AND MODIFICATION)
本合同自雙方簽字蓋章之日起成立。本合同一式四份，供應方執一份，採購方執三份。

　　一、合同期限 Contract Period

　　三、工资 Salary
　　乙方每月的基本工资： (该金额尚未扣除税金、住房费用以及社会保险中个人应缴的部份），试用期满，经考核后，根据考核结果确定是否正式录用，正式录用后薪金保持不变。公司保证该员工的月工资将不低于当地政府规定的最低工资.

　　四、工资的发放 Payment
　　甲方于每月 20 日前以货币的形式发放上月工资。

　　五、超时工作 Over Time
　　乙方应致力于提高工作效率,按时完成生产、工作任务,如因特殊情况需要加班详见《员工手册》.

六、假期与福利 Holiday & Benefits
　　1. 有薪国家法定假日 Statutory Holiday of PRC China with pay

七、劳动纪律 Discipline
　　乙方应严格遵守甲方制定的各项规章制度和劳动纪律（详请请参照《员工手册》执行）
　　Party B shall strictly obey Party A‘ regulations and discipline. Please refer to Party A’s employee manual.
八、保密协议 Confidentiality
　　乙方需严格保守工作过程中接触和了解到的公司商业秘密（包括生产技巧、工艺流程、技术秘密、管理方法、产销策略、货源情报、设计图纸、成本价格和客户资料)，否则将受到行政处罚（如无条件解雇、赔偿等）；触犯刑法的，甲方将有权移交司法机关处理。乙方调离甲方，应得到甲方同意，并将所有商业秘密资料移交甲方，同时承担不向外泄露的义务，并保证半年内不得利用甲方商业秘密在生产同类且与甲方有竞争关系的产品的其他企业内任职。否则,甲方有权要求乙方赔偿因此而带来的一切经济损失。
　　The recipient shall undertake the obligation to keep confidential, in accordance with the scope and duration agreed upon by both parties， the technical secrets contained in the technology provided by the supplier， which have not been made public。
九、合同终止 Termination
　　1. 终止本合同条件 Termination conditions
　　A。 试用期间,双方皆可即时通知对方解除本合同；
　　During the probation period， either side can terminate the contract by immediate effect.
　　B。 试用期满后,任何一方欲解除合同,须提前三十日以书面形式通知对方。否则，违约方须向守约方支付违约金（违约金为乙方一个月的工资），若造成守约方经济损失的，应依法承担赔偿责任。
　　After a three—month trial period, any party wishing to rescind the contract must inform the other party in written 30 days in advance. Otherwise， the defaulting party should pay breach of contract damages to the observing party （the breach of contract is Party B’s one—month salary）。 If the breaching party causes economic losses， it shall be liable for compensation according to law.
2. 甲方在下列情况下可随时直接地通知乙方解除本合同，无须履行任何法定义务和手续，无须向乙方补偿
If any case of the following circumstances， Party A has the right to inform Party B rescission of the contract:
A. 乙方在试用期间达不到甲方的要求；
Party B‘s performance can’t meet Party A‘s requirement.
　　B. 乙方严重失职，给甲方利益造成重大损失的；
　　The other party has breached the contract, to the extent that such breach has seriously affected the economic benefits expected when concluding the contract
C. 违反甲方有关规定，应予开除的,详情请参照《员工手册》执行。

　　3。 乙方在下列情况下终止本合同不需向甲方补偿
　　If any one of the following circumstances, Party B has the right of inform Party A rescission of the contract without any compensation：
　　A。 被非法限制人身自由的手段强迫劳动的；
　　Party B is forced to work by illegal means。
　　B。 未按本合同约定支付劳动报酬或劳动条件的；
　　Party B cannot get the salary or working conditions which agreed in the contract。
　　十、甲、乙双方须共同遵守国家有关法规以及甲方《员工手册》的有关规定。
　　Both Party A and Party B shall obey the related regulation of PRC China and Party A’s employee manual。
　　十一、本合同自甲方盖章、乙方签署之日起生效。
　　This contract shall come into effect since both sides sign their names。
　　十二、本合同以中文版本为准，合同一式二份，甲、乙双方各执一份。
　　N.B。 In case of divergence, the Chinese texts shall be regarded as authentic。 Two originals， one for Party A，the other one for Party B。
