ENGAGEMENT LETTER

Party B:
（以下简称“甲方”）同意聘用 云南亮剑律师事务所 （以下简称“乙方”）为其常年法律顾问并办理本协议约定法律业务, 经双方协议, 签订以下条款, 共同遵守推行:
(hereinafter referred to as Party A) agrees to retain Yunnan LiangJian Law Firm (hereinafter referred to as Party B) to be long-term legal counsel and to render the legal services stipulated under the contract. Therefore, through friendly negotiation both parties conclude as follows:

1．常年法律服务内容 / Contents of Long-Term Legal Service

本协议项下, 乙方向甲方提供以下法律服务:
Party B renders the legal services to Party A under the contract as follows:
1.1 就甲方企业商业经营活动提供法律咨询和提议;
To provide legal consultation and suggestions according to Party A’s business operation;
1.2 按甲方要求就相关投资、 开发等经营活动提供中国法律法规;
To provide PRC laws and regulations on investment, development, etc upon Party A’s requests;
1.3 按甲方要求出具律师函;
To render letter of attorney upon Party’s requests;
1.4 审查、 修改或确定甲方所提供协议、 协议和其她法律文件;
To review, revise or draft contracts, agreements and other legal documents presented by Party A;
1. 5 按甲方要求出席董事会等相关会议活动;
To attend board meetings and other meetings upon Party’s request;
1.6 负责甲方日常经营中其她法律事务。
To deal with other legal issues regarding daily operation.

2．专题法律服务内容 / Contents of Specialized Legal Services

除上述常年法律服务外, 乙方亦可向甲方提供以下专题法律服务:
In addition to the long-term legal services mentioned above, Party B is also able to render the specialized legal services as follows:
2.1 对外直接投资、 融资、 并购、 直接或者间接上市等企业事务;
To deal with company’s affairs including direct Investment, financing, company merger and acquisition, listing Issues (direct or indirect)
2.2 参与与甲方相关争议诉讼、 仲裁活动及生效司法文书申请实施;
To attend litigation, arbitration related to Party A and to apply for performance of effective judicial documents;
2.3 受甲方委托办理重大项目非诉代理;
To act as non-litigation agent of important projects when entrusted by Party A;
2.4 受甲方委托对企业关键行为进行见证;
To witness company’s important actions when entrusted by Party A;
2.5 受甲方委托参与企业对外商务谈判;
To attend business negotiation when entrusted by Party A;
2.6 受甲方委托对相关事务出具法律意见书;
To render legal opinions when entrusted by Party A;
2.7 其她独立于日常经营业务专题法律事务。
Other specialized legal issues separated from daily business operation.

3．法律服务方法 / Methods to Render Legal Service

3.1 乙方以企业常年法律顾问形式为甲方提供法律服务, 指派赵峰、 范克众律师具体负责为甲方法律服务事项; 如具体承接律师或律师助理因故无法立刻提供高质量法律服务时, 乙方应安排其她相同专业资格律师或助理按时完成法律服务;
Party B shall provide legal services to Party A by the method of being
Party A’s long-term legal counsel and appoint Zhao Feng Lawyer,Fan Kezhong Lawyer to take responsibility for legal services provided for Party
A, meanwhile, In case the designated attorneys or legal assistants are unable to provide legal services of high quality timely for certain reasons, Party B shall arrange other qualified attorneys or legal assistants to provide legal services on time;
3.2 乙方能够视法律服务事项内容以书面或口头形式提供法律服务;
Party B is able to provide legal services verbally or in written form according to the contents of the legal services;
3.3 在法律服务过程中, 乙方有权依据法律服务需要, 另行指派乙方其她律师、 律师助理、 秘书处理相关事务, 包含但不限于: 送达文件、 调查、 文件制作、 文件复印、 相关法律调研;
In rendering legal services, Party B may, according to the specific situation, designate other attorneys, legal assistants, secretaries to deal with related issues, which include but not limited to deliver documents, investigate, make documents, copy documents and related legal research;
3.4 在法律服务过程中, 假如经办律师离开乙方或者因其她原因无法代理甲方办理案件, 乙方能够与甲方协商另行指派含有相同能级其她律师办理甲方委托事项。
In rendering legal services, in case the designated attorneys leave Party B or are unable to deal with the Party A’s cases for certain reasons, Party B may appoint other qualified attorneys to deal with the affairs by negotiation with Party A.

4．法律服务期限 / Term of Providing Legal Services

4.1 甲、 乙双方同意, 本协议为常年法律服务协议, 乙方服务期限自 年 月日起计算。任何一方如需终止协议, 应提前一个月以书面方法通知另一方。
Both Parties agree the contract is long-term legal services contract, the term Party B providing legal services commences from（Time） . If either Party intends to terminate the contract, the Party concerned shall give one month’s written notice to the counterpart.

5．服务费用支付 / Payment of Attorney Fee

5.1 甲、 乙双方同意, 除本协议另有要求, 甲方向乙方支付法律顾问服务费为每年度人民币 元。此费用于协议签署之日支付。
Both Parties agree, unless the contract provides otherwise, Party A shall pay RMB as attorney fee annually. The attorney fee hereof shall be paid by Party A to Party B within 5 working days after signature of the contract,
5.2 双方同意, 依据实际工作小时多少, 在必需时可调整常年法律顾问服务费收费标准, 调整应以年度为单位。若需提前终止本协议, 则双方应按本协议第4.1条要求服务开始时起至协议终止日止时间按实结算常年法律顾问服务费用。
Both Parties agree the amount of attorney fee can be adjusted according to actual working hours, and such adjustment shall be made on an annual basis. In case the contract is terminated in advance, both Parties shall settle attorney fee in accordance with actual working hours from the commence date agreed in Clause 4.1 of the contract to the date on which the contract is terminated.
5.3 上述第5.1条要求常年法律顾问服务费并不包含乙方在为甲方提供包含本协议第2条之专题法律服务时发生法律服务费用。对于该专题法律服务事项, 甲方应就个案并依据服务内容立刻间, 与乙方进行协商, 另行签署聘用律师协议及委托书并签署对应律师服务费, 到时乙方将根据本市律师服务政府指导价给予20％优惠。
The attorney fee mentioned in Clause 5.1 does not include fee related to the specialized legal services provided by Party B in Clause 2 under the contract. As regards the specialized legal services, Party A shall reach another engagement letter with Party B through negotiation on a case by case basis, however, Party B will give Party A 20% discount of government-directed price.
5.4 除上述常年法律顾问服务费外, 甲方应赔偿乙方在提供法律服务过程中合理支出成本, 如调查取证及赴外地交通、 食宿等差旅费用。
In addition to the above long-term legal services fee, Party A shall reimburse Party B the expenses occurred during rendering legal services, such as expenses occurred during collecting evidence, transportation fare, lodging and board expenses, etc occurred when going to other places outside Shanghai.

6．乙方及经办律师义务 / Obligations of Party B and Designated Attorneys

6.1 乙方指派经办律师必需遵守律师职业道德和执业纪律, 经办律师应该勤勉尽责, 维护甲方最大利益。
The attorneys designated by Party B shall comply with lawyer’s professional ethics and practice discipline, and designated attorneys shall do due diligence to protect the legal rights and interests of Party A.
6.2 经办律师应该立刻向甲方汇报相关委托事项和案件进展情况。
Designated attorneys shall report the process of commitments and entrusted cases to Party A timely.
6.3 经办律师无权超越甲方授权行事。假如确有需要, 应该由甲方另行给予明确授权。
Designated attorneys have no rights to exercise rights beyond Party A’s authorization. In case there is a real need, an unambiguous authorization has to be made by Party A.
6.4 经办律师应随时接收甲方法律咨询, 双方以书面及见面形式联络并确定。甲方需要乙方出具书面意见, 应以法律顾问联络单方法向乙方提出, 乙方应依据甲方在法律顾问单中回复时限作出回复。
Designated attorneys shall accept Party A’s legal consultations at any time, and both Parties shall contact and confirm through written form or meeting. In case Party A requires Party B to provide written opinions, Party A shall set forth through the methods on contact sheet of legal counsel, and Party B shall reply within the time limit agreed on contact sheet of legal counsel.
6.5 乙方及经办律师就本协议约定法律顾问服务费和其她费用以外, 无权要求甲方支付任何其她款项, 不过如有必需需律师代缴代付予其她机构费用除外。
Party B and designated attorneys have no rights to claim any other fees except the legal services fee and other fees agreed in the contract, however, disbursement is except.
6.6 乙方或经办律师变更联络信息或其相关执业证实及资格证实发生变更, 应该立刻通知甲方。
Party B or designated attorneys shall notify Party A immediately in case contact information, other practice certification and qualification certification change.

7、 甲方义务/ Obligations of Party A

7.1 甲方指派企业 部 先生/小姐作为与乙方常年法律服务事项责任人和联络人。
Party A designates Mr./ Ms. from department as working director and linkman to contact with Party A during the period of long-term legal services.
7.2 甲方指派专员应与乙方及经办律师老实合作, 向乙方及经办律师如实提供与案件相关资料信息、 如实陈说与案件相关情况。
The working director and linkman designated by Party A shall cooperate honestly with designated attorneys, providing information and documents and describing the cases according to the facts.
7.3 如与案件相关情况和事实发生改变, 应立刻通知乙方及经办律师。
In case the situation and facts related to cases change, Party A shall notify Party B and designated attorneys immediately.
7.4 假如甲方变更联络信息, 应该立刻通知乙方及经办律师。
In case Party A changes contact information, Party A shall notify Party B and designated attorneys immediately.
7.5 根据约定立刻支付律师费和其她费用。
Party A shall pay attorney fee and other fee timely according to the contract.
7.6 不管何种情况, 甲方向乙方及经办律师提出要求均不得违反律师职业道德和执业纪律要求。
Any requests set forward by Party A shall not violate lawyer’s professional ethics and practice discipline under any circumstances.

8、 双方职责 / Obligations of Both Parties

8.1 甲方承诺对所需服务项目内容真实性负担法律责任, 乙方承诺对所提供服务正当性负担法律责任。
Party A promises to take legal responsibility for authenticity of the contents of the projects; Party B promises to take legal responsibility for legitimacy of the provided services.
8.2 甲方应该按乙方合理要求如实提供与乙方完成本协议项下之法律服务相关书面文件。如因甲方提供材料不实或有重大错误, 致使乙方无法完成委托事项, 乙方不负任何责任。如甲方有意隐瞒事实, 乙方有权提前终止本协议, 其已收取法律顾问服务费不予返还。
According to Party B’s reasonable requests, Party A shall, based on the facts, provide written documents relevant to legal services which need to be performed by Party B under the contract. In case the documents provided by Party A are not true or the documents are wrong which make Party B fail to complete the commitment timely, Party B shall not take any responsibilities. In case Party A hides the facts on purpose, Party B may terminate the contract in advance, and the collected attorney fee will not be refunded.
8.3 乙方对所制作法律文书正当性负担法律责任, 乙方以甲方名义制作法律文书在得到甲方认可后, 甲方再予使用。
Party B shall take legal responsibility for legitimacy of the legal documents made by Party B. The documents which are made by Party B in the name of Party A shall be used by Party A after Party A accepts them.
8.4 甲方了解, 乙方或经办律师向甲方提供分析、 判定和意见, 均不可了解为乙方或经办律师就案件和其她法律服务事项作出了成功或胜诉确保。但乙方应确保全部经律师审核协议正当性和有效性, 并确保在甲方要求合理期限内完成各项服务。
Party A understands that any analyses, judgments and opinions provided by Party B and designated attorneys shall not be regarded as a guarantee to succeed or win the cases and any other legal services. However, Party B shall take responsibility for the legitimacy and validity of all the contracts reviewed by Party B and designated attorneys, and ensure to complete all services within Party A’s reasonable time limit.

9、 保守秘密 / Confidentiality

9.1 甲、 乙双方共同承诺, 本协议使用期内及期满后, 双方应对本协议项下一方向另一方披露任何数据、 文件、 资料及其她专门信息进行保密。保密信息不得以任何方法向外界披露, 除非取得披露方事先书面同意。
It is understood that both Parties shall, during the term of the contract and after the expiration of the contract, maintain the confidentiality of any data, documents, documentation and other specialized information which are disclosed by one Party to the other under the contract. The confidential information shall not be disclosed to any other third parties, unless prior written permission is obtained.
9.2 刑事犯罪证据、 能够公开查阅或取得信息和资料、 本协议所约定服务范围和授权权限内容等不视为甲方秘密。乙方和甲方另签署有保密协议, 应以保密协议约定为准。甲乙双方应共同对协议价款保密。
The criminal evidence, the information which can be referred to or obtained publicly, scope of services under the contract and contents of power of attorney shall not be construed as secrets of Party A. In case both Parties reached Confidentiality Agreement, the contents of Confidentiality Agreement would prevail. Both Parties shall maintain confidentiality of the amount of attorney fee.

10、 利益冲突 / Interests Conflict

10.1 乙方及经办律师在提供法律服务时, 应该就已经存在或可能存在, 代理与甲方有利益冲突方情况如实通知甲方。在发生利益冲突情况下, 甲方有权撤销对乙方或经办律师授权, 乙方有权作出回避安排或解除本协议。
Party B and designated attorneys shall, during the period of rendering legal services, honestly notify Party A the situation, which has existed or maybe exist, when Party B or designated attorneys are entrusted by other clients whose interests are in conflict with Party A’s. Under the circumstances of interests’ conflict, Party A may cancel the authorization towards Party B and designated attorneys; Party B may arrange withdrawal or terminate the contract.

11、 协议解除及违约责任 / Termination of Contract and Liability for Breach of Contract
11.1 甲方需解除本协议时, 该解除通知在甲方依据乙方所提供联络信息而发出正式函件后7日内视为送达, 送达之日起满一个月时, 本协议解除, 到时乙方经办律师停止向甲方继续提供法律服务。
In case Party A intends to terminate the contract, notice of termination shall be deemed served on the 7th day after the date on which it was sent by Party A to the contact address provided by Party B. The contract will be terminated after one month upon service and Party B and designated attorneys shall stop providing legal services to Party A since then.
11.2 因甲方要求乙方提供服务超出法律服务范围、 或者有违国家法律法规要求和律师职业道德, 乙方能够拒绝提供服务并有权解除本协议, 该解除通知在乙方依据甲方所提供联络信息而发出正式函件后7日内视为送达, 送达之日起满一个月时, 本协议解除。
Party B may refuse to provide legal services and terminate the contract if the services required by Party A fall outside the scope of the contract, or the services violate PRC laws, regulations and professional ethics. The notice of termination shall be deemed served on the 7th day after the date on which it was sent by Party B to the contact address provided by Party A. The contract will be terminated after one month upon service.
11.3 协议生效后, 假如甲方未根据本协议约定付款时间按时支付乙方服务费用, 乙方有权按每日0.5％标准向甲方收取违约金。延期超出15日, 乙方有权解除本协议, 但应书面通知甲方。
After effectiveness of the contract, Party B may charge Party A 0.5% of overdue fee per day as liquidated damages if Party A fails to pay the attorney fee timely. In case the attorney fee is overdue more than 15 days, Party B may terminate the contract but Party B shall notify Party A in writing.

12、 协议可分性 / Severability

12.1 本协议中任何条款如因任何原因造成全部或部分无效, 本协议其她条款仍保持原有效力, 应该给予推行。
If any provisions of the contract shall be held null and void, wholly or in part, for any reasons, the other provisions hereof shall still be valid and shall be carried out.

13、 其她约定 / Miscellaneous

13.1 与本协议推行相关通知、 请求或其她通讯往来, 应该以书面方法提交对方, 提交方法包含平信邮寄、 挂号邮寄、 专员送达、 传真、 电子邮件等方法, 传输至对方以下所表示地址:
Any notice, requests and other correspondences related to the performance of the contract hereto, shall be submitted to the counterpart in writing. The methods to submit include mail, registered mail, courier, facsimile and email, etc. The foresaid correspondences shall be sent to counterpart’s following address:
