This Agreement is made and entered into on 2007.

BY AND BETWEEN

China Civil Engineering Construction Corporation in Rwanda
(Hereinafter called MAIN CONTRACTOR)
with registered office at P.O. Box 6788 Kigali (Rwanda) and represented by Mr. Zhong jing as Site Manager of the said company.

AND

Crown Buildings and Products Ltd
(Hereinafter called THE SUB-CONTRACTOR) located in Kigali-Rwanda and represented by Mr. as of the said company.

NOW IT IS HEREBY AGREED AS FOLLOWINGS:

Content of the task: the total area is approx 6800 sq mtr as per information confirmed by both of the Main-Contractor and the sub-contractor.

The Obligations of the Main Contractor:
1. The main contractor will procure the material from the Sub-Contractor for which the Performa is attached herewith.
2. The Main-Contractor will provide the Sub-Contractor with the necessary scaffolding, but all the other tools will be offered by the Sub-Contractor.
3. The Main-Contractor takes charge of the Customs Clearance of the materials and all the charge correlative.
4. After received and verified correct, the Main-Contractor must pay for the materials within 5 days. For the labor cost, the Main-Contractor pays according to the works done. An amount of 10% of the payment will be deducted from every payment as the retention money and this amount will be paid by one time after the check and accept of the whole project KIST Ⅳ.

The Obligations of the Sub-Contractor:
1. The Sub-Contractor will arrange the transport of the materials.
2. The Sub-Contractor must finish all the works within one month. If the work is delayed by the Main-Contractor, the Main-Contractor will pay for all the charges correlative; if it is delayed by the Sub-Contractor, except continue to finish the whole work, the Sub-Contractor will charge all the charges correlative and all the retention money will be deducted by the Main-Contractor.
3. The Sub-Contractor must follow the instruction book of the materials during application and must ensure the quality. The thickness of the Ruff N Tuff should be 1.5mm to 2mm , and no chromatic aberration, with 10 years guarantee period.
4. The Sub-Contractor must ensure the safety of the builder, in case of any problem of safety, the Sub-Contractor will charge everything.
5. The Sub-Contractor has the obligation to take action to protect the finished product. In case of any pollution of the finished product caused by the Sub-Contractor, the Sub-Contractor must charge the rehabilitation without any premium charge to the Main-Contractor.
