&nbsp; 立約人 &nbsp;台灣櫻花股份有限公司 &nbsp;( 以下簡稱甲方 )
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; 溫嶺市樂達機械廠 &nbsp; &nbsp; ( 以下簡稱乙方 )

&nbsp; 茲甲方擬向乙方訂購熱水器: 燃燒器及其他零件,
乙方同意製造提供甲方生產銷售, 經雙方同意訂定條款如下:
&nbsp; &nbsp;( 本合約書所有內容之附件, 均視為本合約之有效部分 )

&nbsp; 第 1條: 訂購標的產品
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; 1.1 品名: 燃燒器及其他零件
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; 1.2 規格: 依甲方提供之圖面( 如附件一)及樣品。
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; 1.3 零件價格( FOB 寧波港 )如附件二。
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; 1.4 燃燒器之不銹鋼電解銅基價依西元2002年1月11日之LONDON METAL EXCHANGE
公告之現金期貨價格為基價，價格變動正負15％以內，零件價格依附件二計，超
過正負15％，零件價格雙方再協議之。

&nbsp; 第 2條:訂購方式
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; 2.1 甲方依貨櫃裝載量開立訂購單向乙方訂購本合約標的物品。
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; 2.2 如有臨時訂購需求時, 甲方得以電話傳真先行向乙方訂貨，但甲方同意一週內補寄訂購單給乙方，經雙方同意，訂購單視為本合約之部份。
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; 　　　　　　　
&nbsp; 第 3條:包裝方式
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; 以甲方指定之包裝材料及方式包裝。

&nbsp; 第 4條: 訂購標的物之交貨期限
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; 4.1 依甲方訂購單之交貨日為交貨期限，交貨的前置時間應有 45 日，但甲方有特別要求時，乙方同意全力配合提前完成生產及交貨。
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; 4.2 分批交貨則依甲方訂購交貨之安排為依據，並於訂購單上註明批量交貨明細。
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; 4.3 甲方如需變動交貨日，應由雙方協議，並於變動日的前七天以書面通告乙方變動的延遲日期，最多以45日為限。
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; 4.4 分批交貨以貨櫃裝載量(20呎或40呎)基數為訂購之個別單位。零件的試樣訂購量不受此限。

&nbsp; 第 5條: 交貨方式及地點
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; 5.1 FOB(寧波港)
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; 5.1-1 浙江省寧波港為交貨地點。
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; 5.1-2 公司及保險公司由甲方指定，乙方在預定出口前14天應以傳真主動通知甲方並由甲方通知乙方船公司結關日訊息。
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; 5.1-3 交貨時，由船公司以電報放貨方式，透過甲方在海外子公司(B.V.I)之名義文件形式，逕行運交
台灣的甲方。 &nbsp;
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; 5.1-4 乙方委託之進出口公司應於裝運前將I/V、P/L FAX予甲方確認無誤後，配合船期，將貨物送交指定船公司並將文件以甲方在海外子公司(B.V.I) 名義之I/V、P/L保單正本，及船名、船次、B/L NO等資料以FAX通知甲方後，並以快遞方式寄送甲方(台灣省台中縣大雅鄉雅潭路298號)。

&nbsp; 第 6條: 驗收
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; 6.1 產品之驗收規格，以附件一甲方所提供之圖面及測試規格為準，並依下列各條款之約定完成驗收程序。 &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp;　　　　　　　　　　　　　　　　　　　　
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; 6.2 『量產』驗收：
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; 6.2.1 &nbsp; 為確保日後量產品質之穩定，甲方將派出品質檢查代表，於乙方進行生產過程中，依附件三之抽驗計劃進行產品之品質檢驗，及依附件四(試量產工程品質稽查表)執行品質稽查。若發現乙方存在品質重大缺失時，甲方有權中止乙方之出貨，直至督促乙方改善之品質獲得甲方許可同意出貨。

&nbsp; 第 7條: 品質保證 &nbsp;

&nbsp; &nbsp; &nbsp; &nbsp; 7.2 品質保證：
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; 7.2.1 &nbsp; 售後保固期限: 裝貨起２０個月
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; 7.2.2 &nbsp; 不良率每月統計一次，超過目標值，乙方除應提不良原因分析及改善計劃外，將依下列條件執行扣款，甲方並有權減少計劃訂單，或終止交貨契約。
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp;1.超過目標值 0.05% ～ 0.24% (扣交易總金額 0.5 % )
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp;2.超過目標值 0.25% ～ 0.44% (扣交易總金額 1 &nbsp; % )
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp;3.超過目標值 0.45% 以上 &nbsp; &nbsp; (扣交易總金額 2 &nbsp; % ) &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp;
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; 7.2.3 &nbsp; 品質若發生嚴重瑕疵，產生客訴退貨或發生客戶財產損失、人員傷亡，等重大客訴案件，乙方除負擔不良品全數回收更新責任外有關本公司商譽損失之賠償另議之。
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; 7.2.4 &nbsp; 於保固期間或非保固期間更新之零件須確保品質有效期間至少一年，否則除免費更新外，另需罰扣該零件售價 100% 。

&nbsp; 第 8條: 付款方式
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; 8.1 &nbsp;甲方支付乙方之貨款於甲方依程序完成驗收後，按1.3條之人民幣價格依開立『銷售確認書』當日中國人民銀行人民幣兌換美金之 &quot;中間&quot; 牌價折算成美金乘以訂貨數量之總金額，由甲方之海外子公司B.V.I 以 T/T付款方式在甲方收到貨物後15天內，匯交乙方委託之
進出口公司。

&nbsp; 第 9條: 延遲交貨
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; 9.1 &nbsp;乙方違反第4 條訂單交貨日或雙方協議交貨日期之行為時即視為延遲交貨。甲方若受納乙方延遲交貨時，乙方同意每逾一日得依該次T/T 付款之貨價總額罰扣百分之一給予甲方，甲方得逕自T/T 貨款中扣抵，乙方不得異議。
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; 9.2 &nbsp;雙方若徵得對方同意延遲交貨，或若因天然災害或人力無法抗拒之因素而延遲交貨，則不在此限。

&nbsp; 第10條: 轉包規定　　　
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp;10.1 &nbsp;乙方在事前( 指在雙方簽訂本交易合約書前 )經甲方書面同意，得將甲方所供應產品或有關之模治具全部或一部委託與第三者( 以下簡稱「轉包工廠」) 製造或加工。

&nbsp; &nbsp; &nbsp; &nbsp; &nbsp;10.2 &nbsp;乙方依據前項委託轉包予第三者時，乙方負有使受託者遵守本合約及個別合約之規定之責任，如受委託者違反本規定時，視同乙方違反本合約。
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp;10.3 &nbsp;在甲方認為必要時，得前往轉包工廠做調查或索取有關之資料，乙方不得藉故規避，並應指派業務及有關人員提供相關之協助。
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp;10.4 &nbsp;對於轉包工廠供應之配件或有關之模治具，在品質或納期不能配合甲方需求時，乙方除須負擔全部責任外，甲方有權要求乙方停止該轉包工廠之承製權，乙方應予配合並迅速處理或依甲方指示解決該配件或模治具之供應問題，以確保甲方之需求。否則甲方有權終止乙方之承製權，其所造成之乙方損失由乙方自行負擔外，乙方應仍負責賠償甲方因納期延誤或其他所遭致之一切損失。
&nbsp;
第11條: 品質異常處理
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp;11.1 &nbsp;乙方保證所交之貨品均為新品，若日後甲方發覺其中有隱含舊品，不論驗收與否，乙方均應負責於接獲甲方通知後七天內無償給予更換。
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp;11.2 &nbsp;貨品在上市後，依使用說明書正常使用下，若發現貨品潛在瑕疵或功能異常時，甲方得全數自市場回收該批貨品，並退貨予乙方; 乙方應全數受納並依甲方之要求限期改善，否則甲方有權逕自取消訂單。
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp;11.3 &nbsp;發現品質異常之貨品時，乙方應配合甲方於最短時間內給予確認，否則甲方得逕行認定。其因而所生之他項費用，概由乙方負責。

&nbsp; 第12條: 保密責任
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp;12.1 &nbsp;乙方對於甲方提供之產銷計劃、技術資料、及採購有關之品質、成本、納期等資訊, 不論以有形之文字、圖形、照片、實物、協議記錄....等或無形之口述、
聯繫等方式直接或間接取得, 均應負保密責任, 非經甲方事前書面同意, 不得洩漏予第三者。
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp;12.2 &nbsp;甲方所提供之圖面、規格、仕樣書、指示書、樣品及相關之技術資料, 為甲方智慧財產權, 禁止以任何形式之複製、流用。
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp;12.3 &nbsp;乙方違反上述規定, 除賠償甲方之損失外, 甲方有權終止交易合約書。本合約終止時, 乙方即無權再使用由甲方所提供之所有資料及資訊, 並應即刻將所持有之甲方所提供之資料送還甲方。

&nbsp; 第13條: 特別限制
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; 乙方依甲方提供圖面及資料進行開模與生產，其產品之使用權屬甲方。乙方販售之產品，若其機構、外觀、測試條件、功能規格等，近似於甲方產品者，乙方必須經甲方同意後，方可轉售予非甲方及櫻花中國(昆山)以外之第三者，但其銷售價格於同樣交易條件下，應高於售予甲方價格至少10％以上，其不足之價差應回饋於供應甲方之零件價格降低上。

&nbsp; 第14條: 履約保證：
本約因係承續（中）7B0002之交易合約書，乙方同意將該約所留置於甲方之履約保證金（首批貨款之30%）繼續保留至本合約終止日，若乙方無法履約時，甲方有權逕行處置。雙方並協議，本履約保證金甲方應於合約到期日起算三十日內無息返還乙方。

&nbsp; 第15條: 解約與賠償規定
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp;15.1 &nbsp;甲乙任一方當事者若違反本契約中第 1條至第13條中各項條款時, 他方當事者可設立一期限催告其更正，而在該期間內當事者未更正前記違約情事時，得解除契約。且因一方當事者之違約而使他方當事者受有損害時，他方得向違約之一方請求賠償。
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp;15.2 &nbsp;甲方或乙方之一有下列任一項原因時，不須催告得解
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp;除本合約及所有的個別合約:
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp;(1)接受票據或所開出票據遭受無法付款處分時。
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp;(2)停止付款或不能付款時。
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp;(3)遭受強制執行或公開拍賣處分時。
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp;(4)宣告破產，公司重整時。
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp;(5)違反法令遭受停止營業或取消營業許可時。
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp;(6)天然災害、勞資爭議或其他不可抗拒事由導致不能履行，或有困難履行合約時。
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp;(7)違反本合約或個別合約規定時。
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; 依上述諸因素解除本合約或個別合約時，解約者不問償還期已否屆至，均得將持有之對方債權，與應付對方之債務抵償。

&nbsp; 第16條: 情報提供
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp;16.1 &nbsp;甲方對於乙方供應零件或有關之模具、設備之生產製作、品質保證、供應價格、改善措施、供應狀況等情報，認為有必要了解時, 得隨時安排有關人員( 含甲方技術提供者 )至乙方公司或工廠查詢，並得要求乙方提供有關資料及人員之協助，乙方應予配合不得藉故推拒、對於上述調查，甲方認為有必要改變時，得要求乙方提出改善措施，乙方必須依據此要求限期改
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp;善。
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp;16.2 &nbsp;乙方有下列任一情況發生時，須事前通知甲方:
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp;經營管理權之讓渡、合併、解散。
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp;商號、資本、地址、組織、經營 者等各項變更時。
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp;接受票據、或所開出支票遭退票處分時。
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp;陷於停止付款或不能支付時。
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp;遭受強制執行或公司標售時。
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; &nbsp;違反法令遭受營業停止或是取消營業許可處分時。

&nbsp;第17條: 有效期間
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; 本合約有效期間自西元2002年1月11日至2004年12月31日止，但有必要延長及變更有效期間時，雙方得於契約終了之３個月前互以書面通知對方。

&nbsp; 第18條: 紛爭解決
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; 甲乙雙方在執行本合約時，如產生爭執應本著友好的態度採取仲裁方式解決，並以上海的仲裁機構為最後裁決機構
&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; 。

&nbsp; 本合約正本貳份，由甲、乙雙方各執一份，合約簽定以經雙方立約人正式簽認，並加蓋印章始為有效。合約簽定日起，本合約生效。
