但由卖方协调相关运输部门协助买方,分批送达买方指定地址：一切运输费由买方承担。4. 2双方正式签约后，买方可x天内提完货。超过期限买方将承担仓库租赁和管理等费用。4.0 货物数量：5. 1本合同的计量单位是吨。6. 2本合同的数量是xx吨。7. 3货物重量计价根据实际净重，买方有权按实际净得量计算货物支付货款。5。0 质量要求:8. 1本合同货物是99。96%99.99%以上的铜含量。 1交易双方根据本合同条款和内容交付和接收货物。13. 2每批货出货前（不含货到当天）买方和卖方均有权委托当地省级或市级质量技术监督局对货物作重新检验，及提出异议，检验费由申请检验方承担，检验符合规格标准买方在收到卖方出货通知文件后，3天内必须付款及提货。14. 3当收到买方货款后，卖方即时交货给买方，不得借故推迟交货。8。0 当事方义务：15. 4买方对交易货物检验、确认后，买、卖方在买方银行的主持下进行货物交接,买方直接将货款转入卖方银行，并取得货权.20. 5卖方货款收到后即办理货物移交手续给买方，买方自行提走货物，交易完成。10.0 必须交付凭证：卖方开具￥xxxx元/吨的增值税票。11。1 不可抗力:本合同中当事人双方免除不可抗力事件产生的责任:战争，敌对活动,任何性质的军事行动，国内骚动，破坏活动，检疫封锁，政府活动，火灾,水灾,爆炸事件，传染病，罢工以及其它超出人力控制范围的，.11.2对已经交付单证之后,如果不可抗力事件发生，不能免除买、卖方的责任。12.0 检验货物：12.1电解铜：99.96%99。99%以上标准,须由国际或国内认可检验机构发出检验合格证明书，其质量必须根据本合同内的条款，符合进口电解铜a级标准，纯度不能低于99。9699。99 ,重量和取样则按照国际惯例执行。14。0 法律和仲裁：14.1合同正式签章后双方约定：任何一方违约,赔偿对方货款总金额2%的违约金；双方首先协商解决，协商不成。在守约方人民法院诉讼解决。15。0 保密协议：15.1交易各方对待任何一方提供的数据应严格保密，交易各方应采取必要的措施防止其它保密资料被误用或披露或公布，除非为了顺利地完成此合同所需要或避免权利冲突.任何违反规定的行为的任何一方都要支付赔偿金给守约方。（依据法律) port。4。0交货在20%预付存款放入卖方指定银行的信托管理账户内，这现货即可在香港码头仓库运作.银行汇票存入后完成交货需七至八天，这时间为清关与sgs检验。货品是打包装在20呎货柜内,这是保证电解铜在运送中的安全方式,同时亦是卖方保证可以接受的标准，买方或是他的代表应可确认在装货港，这包装标准是可以接受，也是确保交货至卸货港没有损坏。5.0priceboth parties hereby 汇票经银行证实，买家可以看坦桑尼亚提单出口文件。（c） 买、卖双方签署的一份合法交易合同。i) 卖方必须在提出一份20 共同收据并确定此专款为银行托管保留。ii） 银行汇票存入后买家可以看出口文件。iii ） 清关 完成后卖家即将通知买家看货时间与日期。iv） 清关 完成后卖家立即安排sgs检验并通知买家时 间与日期且一起参与。v)如果sgs确认电解铜的纯度低于99.96%交易将会终止。vi） 若卖方未能按照双方同意天数内完成出货或电解铜的纯度低于 99。96%，则需被罚款与没收出货等值的2货款.(d）sgs验证完毕与出示在仓库交货文件之下， 必需立即交付80%。7。0 inspectionbuyer may appoint his own inspectors at his cost to verify the sgs inspection at hong kong port,
