销售代理协议SALES AGENCY AGREEMENT编号/No： 日期/Date：本协议双方为了发展贸易，在平等互利的基础上，按下列条件签定本协议。This agreement is entered into between the parties concerned on the basis of equality and mutual benefit to develop business on terms and conditions mutually agreed upon as follows:说明：鉴于甲方负责在中国设计，生产和销售LED灯具；甲乙双方本着互惠互利的原则，对协议中的产品进行生产开发和销售的合作。在此前提条件下，甲乙双方的协议如下：WITNESSES:Whereas Party A is engaged in designing,manufacturing and selling LED Light in China,Whereas the Parties consider it mutually advantageous to co-operate engaging in manufacture, sale and development of Licensed Product in LED Light.Now therefore, in consideration of the premises and practise described hereinafter Party A and Party B agree as follows:1 订约人/Contracting Parties：供货人: 地址： 电话： 传真： 销售代理人：地址：电话：传真：Supplier： ( hereinafter called Party A )：Tel: Fax: Agent：( hereinafter called Party B )Address: Tel: Fax: 甲方委托乙方为销售代理人，销售下列商品。Party A hereby appoints party B to act as his selling agent to sell the commodity mentioned below：_2 商品及数量或金额双方约定，乙方在协议有效期内，承销不少于_的上述商品。Commodity and Quantity or amountIt is mutually agreed that Party B shall undertake to sell not less than _ of the aforesaid commodity in the duration of this Agreement.3 经销地区：只限在_销售。Territory In_only.4 定单的确认关于协议所规定的上述商品的每笔交易，其数量、价格及装运条件等须经甲方确认，并签定销售确认书，对交易做具体规定。Confirmation of ordersThe quantities, prices and shipment of the commodities stated in this Agreement shall be confirmed for each transaction, the particulars of which are to be specified in the Sales Confirmation signed by the two parties hereto.5付款订单确认后，乙方须通过T/T先付30%定金，在出货前须将余款通过T/T的方式付清，或者按照有关确认书所规定的时间开立以甲方为受益人的保兑的、不可撤消的即期信用证。乙方开出信用证后，应立即通知甲方，以便甲方准备交货。Payment TermsAfter confirmation of the order, Party B should pay 30% for deposit by T/T,the balance should be paid before shipping by T/T,or the Party B shall arrange to open a confirmed, irrevocable L/C a available by draft at sight in favour of Party A within the time stipulated in the relevant S/C. Party B shall also notify Party A immediately after L/C is opened, so that Party A can get prepared for delivery.Remark:For samples or small orders (500pcs lamps), 100% T/T before shipment. 若样品或500pcs 的小订单，则为发货前100%付清款6. 价格条款 1甲方每月提供统一的价格表给乙方，乙方不得擅自将价格表内容透漏给竞争对手。2乙方必须严格执行和遵守甲方的价格体系Price Terms1. The Party A offer the uniform,official quotation to the Party B,the Party B shoudt leak the content to the other competitor;2. The Party B should observe and implement the Price System of Party A.7. 优惠政策 甲方有两种方式供乙方选择：1）佣金在本协议期满时，乙方完成了规定的数额_ ，甲方当按装运货物所受到的全部发票金额付给乙方_%的佣金。或 2）返利政策甲方将根据乙方的季度销售额推行返利政策，具体数据如下：季度销售额(USD)返利金额1ST2ND3RD4TH说明：乙方可选择现金或者是同等价值的商品。Preferential Policy ，There are two ways for Party B selection:1）CommissionUpon the expiration of the Agreement and Party Bs fulfilment of the total turnover _mentioned in the agreement , Party A shall pay to Party B_% commission on the basis of the aggregate amount of the invoice value already paid by Party B of the shipments effected.Or 2) Payback PolicyThe Party A will pay back based on the Season turnover of Party B,the detailed payback percentage as follow:Season Turnover (USD)Payback percentage1st2nd3rd4th Remark: The Party B can choose the cash or the same value products.8. 市场情况报告乙方每三个月向甲方提供一次有关当时市场情况和用户意见的详细报告。同时，乙方应随时向甲方提供其它供应商所给的类似商品的样品及其价格、销售情况和广告资料。Reports on Market ConditionsParty B shall forward once every three months to Party A detailed reports on current market conditions and of consumers comments. Meanwhile, Party B shall, from time to time, send to Party A samples of similar commodities offered by other suppliers, together with their prices, sales information and advertising materials.9. 宣传广告费用在本协议有效期内，乙方在上述经销地区内所作广告宣传的一切费用，由乙方自理。乙方须事先向甲方提供宣传广告的图案及文字说明，由甲方审阅同意。Advertising & Publicity ExpensesParty B shall bear all expenses for advertising and publicity within the aforementioned territory in the duration of this Agreement and submit to Party A all patterns and / or drawing and description for prior approval.10.技术支持甲方会提供完整的产品信息资料给乙方，必要的技术培训（免费）。Technical supportThe Party A will offer the fully-formed products data to the Party B,as well as the free technical training.11. 协议有效期本协议由双方签字后生效，有效期_年，自_至_。若一方希望延长本协议，则须在本协议期满前一个月书面通知另一方，经双方协商决定。若协议一方未履行协议条款，另一方有权终止协议。Validity of AgreementThis agreement, after its being signed by the parties concerned shall remain of in force for_as from _ to _. If either party wish to extend this Agreement, he shall notice in writing to the other party one month prior to its expiration, the matter shall be decided by consent of the parties hereto.Should either party fail to implement the terms and conditions herein, the other party is entitled to terminate the Agreement.12 仲裁在履行协议过程中，如产生争议， 双方应友好协商解决。若通过友好协商未能达成协议，则提交中国国际贸易促进委员会对外贸易仲裁委员会，根据该会仲裁程序暂行规定进行仲裁。该委员会决定是终局的，对双方均有约束力。仲裁费用，除另有规定外，由败诉一方负担。ArbitrationAll disputes arising from the execution of this agreement shall be settled through friendly consultations. In case no settlement can be reached, the case in dispute shall then be submitted to the Foreign Trade Arbitration Commission of the China Council for the Promotion of International Trade for Arbitration in accordance with its Provisional Rules of Procedure. The decision made by this commission shall be regarded as final and binding upon both parties. Arbitration fees shall be borne by the losing party, unless otherwise awarded.13 其它条款（1） 甲方不得向经销地区其它买主供应本协议所规定的商品，如有询价，当转给乙方洽办。若有买主希望从甲方直接订购，甲方可以供货，但甲方须将有关销售确认书副本寄给乙方，并按所达成交易的发票金额给乙方_%的佣金。（2） 若乙方在_月内未能向甲方提供至少_的订货，甲方不承担本协议的义务。（3） 对双方政府间的贸易，甲方有权按其政府的授权进行有关的直接贸易，而不受本协议的约束。乙方不得干涉此种直接贸易，也无权向甲方提出任何补偿或佣金要求。（4） 本协议受签约双方所签定的销售确认条款的制约。Other Terms&Conditions(1) Party A shall not supply the contracted commodity to any other buyers in the above mentioned territory. Direct inquiries, if any , will be referred to Party B. However, should any other buyers wish to deal with Party A directly, Party A may do so, But Party A shall send to Party B a copy of sales confirmation and give party B_% commission(s) concluded.(2) Should Party B fail to pass on his orders to Party A in a period of _ months for a minimum of _, Party A shall not bind himself to this Agreement.(3) For any business transacted between governments of both Parties, Party A may handle such direct dealings as authorized by Party As government without binding himself to this Agreement. Products of Party A (except for the mobile lighting series) , warranty time: three years; the mobile lighting series, warranty time: two years.2. Ways calculating warranty time; about the products Party B purchased, its warranty time will eventually start from the date when they are sold. However, about this calculation, the maximum period between the date when products were purchased and the date when they are sold shall not exceed six months, or rather the warranty time of Party A shall not exceed maximum time, 42 months.3. In Party B agent region, about after-sales service, party A is only responsible for party B while party B is responsible for end users and lower level distributors.4. Party B commit that: party B will establish the market report mechanism with party A together. Both parties will specially assign the persons responsible for the mechanism, communicating timely and monthly with each other about market situation, projects progress, stock situation, after-sales service, and so on within party B agent region. 5. In the sales process and warranty time, if there are cases that the lamp can not light up or the lamp appearance is broken when it is sold, causing by non-human factors, party B could monthly apply in writing for the exchange good to party A, and party A should exchange the good after verifying the case. If there are other cases within the warranty time, party A should repair the goods normally, and after fixed the goods, party A should return the goods to party B.6. In the course of after-sales and within the warranty time, if there are cases that batches of products have same problems, party B have the right to demand party A to replace the same models immediately or replace the same valued other products of party A. If there are still the same problems after replacement, party B have the right to return the goods to party A.7. About the freight cost during the after-sales course, both parties should bear 50%. About other costs, as a rule, party B is responsible for end users and lower level distributors, and both parties should bear their own costs.8. In the contract period of the agent agreement, party B have the right to one replacement each quarter, but the replacement amount should not exceed 25% of the quarter.9. Outside the warranty time, the paid or unpaid service depends on the products specific conditions, and party B and the users should actively cooperate with party A to avoid the loss, or party B is responsible for the loss.Party A (Seal): Party B (Seal): Authorized representative (signature): Authorized representative (signature):On , ,2010 (date) On , ,2010(date)售后服务及退换货约定关于乙方代理区域内产品售后服务及退换货政策双方约定如下：1、 甲方产品（移动照明系列除外）保修期为三年。移动照明产品保修期为一年。2、 保修期计算日期：乙方购买的产品，将以乙方最终售出之日起开始计算保修期。但在保修期计算中，乙方向甲方购买产品日期与乙方最终售出日期最大不得超出6个月，即甲方产品保修期最长不会超出42个月。3、 在乙方代理区域内，售后服务甲方只对乙方负责，乙方对最终用户及下级经销商负责。4、 乙方承诺：将与甲方共同建立市场报告机制，甲乙双方将以专人负责形式，以月度为准及时对乙方代理区域内市场动态、项目进展、库存情况、售后服务问题及其他进行交流。5、 乙方在销售甲方产品过程中，在保修期内如遇到灯具非人为因素不能点亮或乙方售出时出现产品外观破损的情况，乙方可以月度为准每月一次向甲方书面申请换货，甲方核实后有义务进行更换。产品在保修期内出现其他问题，正常情况以维修为主。甲方处理完成，将维修好的产品返还给乙方。6、 在乙方售后过程中甲方产品在保修期内出现大批量同类型问题，乙方有权要求甲方立即更换同型号产品或等价值其他甲方产品。如更换后的产品出现同样问题，乙方有权要求退货。7、 在产品售后过程在发生的运输费用，甲乙双方各承担50%。其他费用按乙方对最终用户及下级经销商负责，甲方对乙方负责的原则各自承担。8、 在代理协议合同期内，乙方有权每季度进行一次换货，但换货比例不得超出当季度进货金额的25%。9、 保修期以外的产品，视产品的具体情况确定有偿或无偿服务，乙方应与用户积极配合甲方服务，否则造成的损失，由乙方负责。甲方（盖章）：_ 乙方（盖章）：_授权代表（签字）：_ 授权代表（签字）：_ _2010_年 月 _ 日 2010_年 月_ 日 .
