EXCLUSIVE AGENCY AGREEMENT独家代理协议 本协议于2015年11月23日在中国上海由有关双方在平等互利基础上达成，按双方同意的下列条件发展业务关系： This agreement is made and entered into by and between the parties concerned on Dec.23th ,2015 in Shanghai, China on the basis of equality and mutual benefit to develop business on terms and conditions mutually agreed upon as follow:1. 协议双方 The Parties Concerned 甲方：地址： 电话： 传真： Party A: Add: Tel: Fax: 乙方： 地址： 电话： 传真： Party B: Add: Tel: Fax:2. 委任 Appointment 甲方指定乙方为其独家代理，为第三条所列商品从第四条所列区域的顾客中招揽订单，乙方接受上述委任。 Party A hereby appoints Party B as its Exclusive Agent to solicit orders for the commodity stipulate in Article 3 from customers in the territory stipulated in Article 4,and Party B accepts and assumes such appointment.3. 代理商义务Agents Duty 代理商应严格遵守卖方随时给予的任何指令，而且不得代表卖方作出任何担保、承诺以及订立契约、合同或作其他对卖方有约束力的行为。对于代理商违反卖方指令或超出指令范围所用的一切作为或不作为，卖方都将不承担任何责任。 Agent shall strictly conform with any and all instructions given by Seller to Agent from time to time and shall not make any representation, warranty, promise, contract, agreement or do any other act binding Seller. Seller shall not be held responsible for any acts or failures to act by Agent in excess of or contrary to such instructions.4. 代理商品 Commodity蒙氏教具Montessori Materials Toys5. 代理区域 Territory 仅限于越南 In Vietnam only 6. 最低业务量 Minimum turnover乙方同意，在本协议有效期内从上述代理区域内的顾客处招揽的上述商品的订单价值不低于20万美元。 Party B shall undertake to solicit orders for the above commodity from customers in the above territory during the effective period of this agreement for not less than USD 200,000,007. 价格与支付 Price and Payment 每一笔交易的货物价格甲方给予五折的优惠价格（出厂价格）并须经甲方最后确认。 付款使用T/T，30%定金，发货前结清当次交易余款。 The price for each individual transaction shall be 50% discount（EXW price）, and subject to Party As final confirmation. Payment 30% deposit and 70% balance by T/T before shipping.8. 独家代理权 Exclusive Right 基于本协议授予的独家代理权，甲方不得直接或间接地通过乙方以外的渠道向越南顾客销售或出口第三条所列商品，甲方不得在越南经销、分销或促销蒙氏教具，在本协议有效期内，甲方应将其收到的来自越南其他商家的有关代理产品的询价或订单转交给乙方。 In consideration of the exclusive rights granted herein, Party A shall not, directly or indirectly, sell or export the commodity stipulated in Article 4 to customers in Vietnam through channels other than Party B; Party A shall refer to Party B any enquiries or orders for the commodity in question received by Party A from other firms in Vietnam during the validity of this agreement.9. 运费和运输条款Shipping &rules货物由甲方安排运输送到乙方指定的运输地址，运费由乙方支付。The items delivered to the address where Part B appointed，Part B afford the shipping fee.10. 退换货政策和售后After Sell Service， & Return Policy订单货物由于物流，生产或者其他原因导致产品质量问题，乙方提供损坏产品图片，甲方无理由在下次订单免费补发给乙方。The goods broken or damaged by shipping or product processing or other reasons caused , Part A resend these goods gratuitous under the condition that Part A show the photos.11. 纠纷解决地点 上海Dispute resolution Place Shanghai12. 协议有效期: Validity of Agreement: （1）协议生效：此协议自有关当事人签署之日起生效。 Effectivity of sole agent agreement: the sole agent agreement will come into force upon duly signatures of the concerted parties. （2）协议有效期：2015年12月日到2016年12月日。 This agreement when duly signed by the parties concerned shall remain in force for one year to be effective from 31th Dec .2015 to 31th Dec.2016.(3) 如果乙方未能完成协议规定的阶段目标销量的80%，甲方有权单方面终止协 。如果乙方完成规定的阶段目标销量的80协议继续生效。 If Party B couldnt fulfill the 80% of sales target required，Party A has the right to terminate the Agreement unilaterally. Party B shall be treated as qualified exclusive agent and exclusive exporter if Party B reaches the sales target no less than 80%, the agreement will be effective.（4）如果乙方完成本协议规定总量的100%，本协议到期日期自动延续到2017年12月31日 。If Party B fulfills the 100% of the total sales target, the Agreement will be automatically extended to 31th Dec. 2017
