在过去几年里， XXXX 和 YYYY 曾多次会晤并一起探索在中国上海、香港及其它城市的地铁、公路及废水 / 净水处理等项目共同合作的机会。 XXXX 通过其香港 / 中国的附属公司与 YYYY 的附属两家设计院， AAAA （以下简称“ AAAA ”）以及 BBBB （以下简称 “ BBBB ” ）曾经有过密切合作。 2004 年 8 月 17 日， XXXX 集团主席 Mr. 与 YYYY 集团 董事长会晤时， Mr. 表示 XXXX 有兴趣更积极地与 AAAA 和 BBBB 合作并询问 XXXX 是否可以参股 AAAA 和 BBBB 两家设计院。 董事长确认了该提议的可行性，并委派 YYYY 的财务总监陈 先生与 XXXX 继续跟进此事。

Letter of Intent Party A: X Holdings Co. Ltd (hereinafter referred to as “X”) Party B: Y (Group) Company (hereinafter referred to as “Y”) In the past several years, X and Y met with each other for many times to explore the opportunities of the joint cooperation in such projects as those relating to subway, roads and waste/clean water disposal. X cooperated closely with the two designing institutes affiliated to Y, AAAA (hereinafter referred to as A) and BBBB (hereinafter referred to as B), through its subsidiaries in Hongkong/China. When the president of X, Mr. , met with the counterpart of Y on August 17th, 2004, Mr. expressed his interest to cooperate with A and B and inquired as to whether X may make equity participation in the two institutes, A and B.
