(B)   本 合 同 以 下 列 条 款 与 条 件 为 准( 该 条 款 与 条 件 中 使 用 的 字 词 涵 义 如 本 合 同 A 部 分 的 规 定)：
1.    授 权 方 根 据 规 定 在 索 尼 影 视 娱 乐 有 限 公 司( 下 称“SPE”) 发 给 本 授 权 方 的 授 权 书 中 的 权 利 在 此 授 权 被 授 权 方 在 期 限 内 用 授 权 方 提 供 的 解 码 器( 下 称“ 解 码 器”) 接 收 频 道 和 向 在 设 施 内 的 各 已 经 授 权 的 终 端 数 量 转 播 频 道。
2.    除 本 合 同 特 别 授 权 外， 被 授 权 方 不 得 向 任 何 被 授 权 范 围 以 外 的 电 视 终 端 或 设 施 提 供 频 道 或 频 道 播 出 的 任 何 电 视 节 目 或 电 视 节 目 的 部 分 内 容( 下 称“ 节 目”)， 也 不 得 允 许 任 何 其 它 单 位 或 个 人 这 样 做。 被 授 权 方 不 得 复 制 任 何 节 目 或 允 许 任 何 单 位 或 个 人 复 制 节 目， 如 果 任 何 未 经 本 合 同 特 别 授 权 的 电 视 终 端、 设 施、 单 位 或 个 人 通 过 使 用 解 码 器 或 者 被 授 权 方 或 其 关 联 公 司、 代 理 人 或 雇 员 通 过 其 它 方 式 接 收 频 道 或 任 何 节 目， 为 保 护 授 权 方 及 SPE 的 利 益，被 授 权 方 将 赔 偿 授 权 方。 授 权 方 有 权 随 时 审 查 设 施 及 由 被 授 权 方 控 制 的 其 它 设 施， 以 确 保 履 行 本 合 同。
3.    在 本 协 议 有 效 期 内， 被 授 权 方 如 要 解 除 协 议， 必 须 提 前 至 少 90 天 通 知 授 权 方。
4.    被 授 权 方 同 意 按 时 直 接 向 授 权 方 支 付 本 合 同 下 应 付 的 金 额， 以 美 元 汇 入 授 权 方 的 帐 号。
5.    授 权 方 有 权 中 止 其 认 为 将 违 反 中 国 法 律 的 任 何 节 目。 如 果 授 权 方 通 知 被 授 权 方 转 播 某 个 节 目 会 违 反 中 国 法 律， 被 授 权 方 不 得 转 播 该 节 目。
6.     解 码 器 由 当 地 代 表 安 装。 授 权 方 和 当 地 代 表 没 有 责 任 修 理 或 替 换 任 何 由 授 权 方 或 当 地 代 表 以 外 的 任 何 人 安 装、 修 理 或 擅 自 处 理 过 的 解 码 器。 如 果 被 授 权 方 在 期 限 内 无 法 接 收 频 道 应 通 知 当 地 代 表。 当 地 代 表 或 授 权 方 代 表 将 检 查 被 授 权 方 设 施 的 解 码 器 及 其 安 装 情 况。
7.    被 授 权 方 同 意， 当 地 代 表、 授 权 方、SPE 或 SPE 的 关 联 公 司 均 不 应 对 由 于 解 码 器 失 灵 或 由 于 被 授 权 方 接 收 不 到 频 道 而 产 生 的 损 失 负 任 何 责 任， 或 对 被 授 权 方 的 其 它 损 失 负 责 任。 但 如 果 由 于 授 权 方 的 责 任 或 该 频 道 对 中 华 人 民 共 和 国 的 播 出 中 止， 则 被 授 权 方 可 以 要 求 退 还 其 已 经 预 付 的， 因 该 中 止 而 形 成 的 剩 余 期 限 的 那 部 分 收 视 费。
8.    如 果 被 授 权 方 未 经 许 可 而 使 用 解 码 器， 频 道 或 任 何 节 目， 或 没 有 按 合 同 全 数 支 付 应 付 款 项， 或 以 其 它 方 式 违 反 其 本 合 同 下 的 义 务， 授 权 方 可 以 终 止 本 合 同， 在 此 种 情 况 及 任 何 其 它 本 合 同 终 止 的 情 况 下， 授 权 方 还 可 以 关 闭 解 码 器 并 采 取 其 它 步 骤 阻 止 被 授 权 方 接 收 或 转 播 频 道。 因 违 反 本 合 同 中 规 定 的 义 务， 被 授 权 方 应 赔 偿 授 权 方 因 终 止 被 授 权 方 的 权 利 而 发 生 的 费 用， 以 及 授 权 方 或 SPE  或 其 关 联 公 司 发 生 的 任 何 损 失。
9.    本 合 同 具 有 法 律 约 束 力， 双 方 均 应 严 格 履 行 其 在 本 合 同 下 的 义 务。

B. This contract is subject to the following terms and conditions(words and phrases used in these terms and conditions have the meanings given to them in part A of this agreement):

1. Authorizing Party, on authority from Sony Pictures Entertainment, Inc.(“SPE”) as set forth in a letter of authority from SPE to Authorizing Party, hereby authorizes Authorized Party to receive the Channel by means of a decoder provided by Authorizing Party (a “Decoder”) and to relay the Channel to the Authorized Number of Television Terminals in the Facility during the Term.

2. Except as authorized herein, Authorized Party will not supply the Channel or any television program or part of a television program broadcast on the Channel
(a “Program”) to any television terminal or facility, Authorized Party will not record or permit any unit or person to make any recording of any Program. To protect the interests of Authorizing Party and SPE, Authorized Party will compensate Authorizing Party if any television terminal, facility, unit or person not authorized hereunder receives the Channel or any Program by way of the Decoder or otherwise through Authorized Party or its affiliates, agents or employees. Authorizing Party has a right to inspect the Facility and any other facilities in Authorized Party’s control at any time to ensure compliance with this contract.

3. Within the term of this Agreement, if Authorized Party desires to terminate this agreement, it must give Authorizing Party 90 days prior written notice.

4. Authorized Party agrees to pay amounts owing hereunder into the payment Account according to the provisions hereof.

5. Authorizing Party has the right to suspend any Program that Authorizing Party believes will violate Chinese law. If Authorizing Party notifies Authorized Party that the relay of a certain Program is in violation of Chinese law, Authorized Party will not relay such Program.

6. The Decoder will be installed by the Local Representative. Authorizing Party and its representative will have no responsibility to repair or replace any Decoder that has been installed, repaired, handled by anyone other than Authorizing Party or Local Representative. 

7. Authorized Party agrees that none of Local Representative, Authorizing Party, SPE or any affiliate of SPE will have any liability for losses caused due to failure of Authorized Party to receive the Channel , or for any other losses of Authorized Party , except that if any such losses are caused by Authorizing Party or if broadcast of the Channel into the People’s Republic of China is suspended. Authorized Party may claim a refund of the portion of its Subscription Fee already paid for the portion of the Term remaining after such suspension.

8. If Authorized Party fails to make any payment hereunder in full when due, or otherwise breaches its obligations hereunder, Authorizing Party may terminate this agreement and may shut off the Decoder and take other steps to prevent Authorized Party from receiving or relaying the Channel. Any costs, and all losses incurred by Authorizing Party and/or SPE and its affiliated companies as a result of Authorized Party’s breach of this contract shall be borne by Authorized Party.

9. This is a legally binding contract. Both Parties shall strictly perform their obligations hereunder.
