Signed at: _ 签约时间：_年_月_Date: _ (MM/DD/YY)x投资发展有限公司x咨询有限责任公司合作框架协议书MOU of Cooperation Between China Construction Fangcheng Investment & Development Co., Ltd (CSCECFC) and Asia-America Consultants Co., Ltd.本协议是x投资发展有限公司与x咨询有限责任公司之间自愿合作共同开展投资、产业导入等业务的框架协议，本协议表达了双方进行合作的意愿。This MOU is signed based on willingness of China Construction Fangcheng Investment & Development Co., Ltd (CSCECFC) and Asia-America Consultants to cooperate on a wide range of business, including investment and industry introduction. 一、合作背景Article 1 Cooperation background 国家主席习近平对美国进行国事访问期间，中美双方达成广泛共识，取得了一系列重要成果，其中双方提出在五大领域展开合作，其中包含医疗卫生、文化教育等领域。结合“健康中国2030”规划纲要和深化中美人文交流等相关战略，甲、乙双方在深度沟通基础上，本着精诚合作、平等互利、谋求共同发展的原则，在相关领域开展务实合作。During the state visit of Xi Jinping, President of the Peoples Republic of China, to the US, the heads of state of the two sides achieved broad consensus to cooperate on five major areas, including medical care, culture, education, etc. According to the“Healthy China 2030”Blueprint and the strategy of deepening people-to-people exchange between China and the US, China Construction Fangcheng Investment & Development Co., Ltd (CSCECFC) and Asia-America Consultants Co., Ltd. are desirous to cooperate with each other on relevant fields based on the principles of mutual communication, sincere cooperation, equality, mutual benefits and joint development. 二、合作双方Article 2 Contracting parties 甲方：x投资发展有限公司x投资发展有限公司(以下简称“x”) 是中国建筑的全资子公司，是代表中国建筑引领新型城镇化的唯一专业投资平台，注册资本金伍拾亿人民币，长期致力于向地方政府提供优质的“一站式、全要素、系统化”城镇综合建设服务。x通过保障房建设、棚户区改造、旧城改造、市政基础设施配套及新区建设，最终搞活区域、导入优质产业、吸纳外来人口、增加财政税收、创造就业岗位，从而解决民生之所急，匹配政府之所需，创新发展之所求，积极探索具有示范效应的新型城镇化之路。截止2016年底，在全国17个城市投资开发建设22个项目，累计投资额超过2400亿。乙方：x咨询有限责任公司 x咨询有限责任公司是x先生和x女士在华成立的专注于资本管理和投资咨询领域的公司，旨在推动中美文化经济交流，尤其是跨境并购、投资服务。公司拥有十几年美国投行经验的资深并购专家牵头的并购团队，以及专业的合规风控、投资研究团队。公司作为跨国合作的咨询与投资专业平台，专注于跨国交易，资产管理和投资服务，为中美项目拓展、投资、基金管理等方面提供高级别桥梁通道和专业支持。目前主要业务有咨询、投资和大健康三个板块，其中投资领域聚焦文化、大健康、高科技等领域。Party A: China Construction Fangcheng Investment & Development Co., Ltd (CSCECFC)China Construction Fangcheng Investment & Development Co., Ltd (hereinafter abbreviated as “CSCECFC”) is a wholly-owned subsidiary of China State Construction Engineering Co., Ltd. Being the only professional investment platform leading new-type urbanization of Chinese construction, CSCECFC has a registered capital of five billion RMB. For a long time, CSCECFC has been committed to providing quality “one-stop, whole-element and systematic” urbanization comprehensive construction service. By building security housing, transforming shanty towns and old cities, and building municipal infrastructures, CSCECFC has succeeded in activating regional economic developing, introducing industries with brilliant development prospects, increasing fiscal revenue and creating employment positions. All this has contributed to satisfaction of urgent livelihood demands and government development demands, fueling innovation-driven development, and active exploration of a demonstrational new-type urbanization path. By the end of 2016, CSCECFC had invested in 22 construction engineering projects in 17 countries throughout China, and the total investment amount had reached 240 billion yuan. Party B: Asia-America Consultants Co., Ltd. Asia-America Consultants Co., ltd. is a company jointly set up by Mr. Neil Bush and Miss Su Mei, which is committed to capital management and investment consulting. It aims at promoting Sino-US cultural economic exchange by providing services especially for cross-border mergers, acquisitions and investment. The company has a merger and acquisition team made up senior experts having engaged in the American investment banking industry for more than one decade. Its compliance, risk control and investment research team is also a galaxy of talents. As a cross-border consulting and investment professional platform, the company has long devoted itself to cross-border transaction, asset management and investment service, having provided expansion, investment and fund management of Sino-US projects with effective channels and professional support. Currently, its business mainly consists of three modules, including consulting, investment and mass health, and it is mainly interested in investing fields, including culture, mass health and high technology. 三、合作宗旨Article 3 Cooperation guidelines 坚持优势互补，拓展合作领域；坚持平等合作，实现互利共赢；坚持依法合规，提高合作水平；坚持长期合作，实现共同发展。Stick to complementation of mutual advantages and expand the cooperation fields; stick to cooperation on an equal footing and realize win-win cooperation; stick to laws and regulations and lift the cooperation level to a new high; stick to long-term cooperation and seek joint development四、合作重点Article 4 Cooperation focuses 各方应发挥各自优势，在美国高端医疗、健康养老、国际教育等产业资源的合作交流与引进等方面开展合作。1. 资本合作乙方旗下拥有多支并购基金，甲方将通过参与乙方的并购基金或与乙方联合发起相关并购基金，双方共同寻找优质投资标的，将国外优质医疗、教育资源引入国内。2. 产业合作乙方拥有丰富的国际高端资源，双方可以在甲方相关项目的产业方面采取紧密合作，由乙方协助甲方直接对接、引进国际高科技、教育、医疗领域高端资源，同时共同开拓优秀的片区开发、特色小镇等项目。3. 智库合作乙方在美拥有广泛的资源和特别信誉，能够帮助甲方国际化战略实施提供较好的国际合作咨询。乙方积极协助甲方拓展国际、国内市场，甲方将在国际、国内的项目上委托乙方进行相关市场研究和项目咨询，为甲方的投资拓展提供支撑。4. 大湾区投资开发合作积极参与粤港澳大湾区的投资开发。目前，深圳市以及港资企业与乙方就大湾区国际开发已开展商谈合作。甲乙双方可共同联合它方参与中美创新合作园（深圳），保障房建设、棚户区改造、旧城改造，广州南沙等项目。The two contracting parties shall give full play to respective strengths, and cooperate widely on exchange and introduction of industrial resources from American sectors, including but without limitation to high-end medical care, health maintenance, old-age care, and international education. 4.1 Capital cooperation Party B has purchased many funds. Party A will either join Party Bs funds or initiate fund mergers and acquisitions together with Party A. Party A and Party B will cooperate on seeking quality investment targets, and introducing quality medical and educational resources from the US to China. 4.2 Industrial cooperation Party B is rich in the international high-end resources. Both parties can cooperate closely on Party As industrial investment projects. Party B is responsible for assisting Party A in directly introducing high-end resources from the international fields, including but without limitation to high-technology, education and medical care. Party A and Party B will jointly develop quality projects, including community development and development of towns with local characteristics. 4.3 Think-tank cooperation Party B has accumulated abundant resources and good business reputation in the US. It can provide favorable international cooperation Consultants services for Party As implementation of its internationalization strategy. Party B shall actively assist Party A in expanding markets both in China and outside China, while Party A shall entrust Party B for relevant market survey, project Consultants and other support for its investment and expansion of domestic and overseas projects.4.4 Cooperation on development of the “Guangdong-Hong Kong-Macao Greater Bay Area”Party A and Party B shall take an active part in investment and development of the “Guangdong-Hong Kong-Macao Greater Bay Area”. Currently, enterprises from Shenzhen and Hong Kong have started business negotiation with Party B concerning the “Guangdong-Hong Kong-Macau Greater Bay Area”. Party A and Party B can cooperate with the third Party to participate in construction of the Sino-US Innovation Park (based in Shenzhen) and security housing, transformation of shanty towns, development of Nansha District in Guangzhou, etc. 五、其他事宜VI. Other affairs 1.协议双方应对从 另一方接收的任何口头或纸质文件、图片及数据进行严格保密。此基础上的任何相关文件或信息（以下均称“信息”）不得向第三方泄露。未经另一方书面文件许可，相关信息不可用于除协议书中规定的事项以外的任何事物。（此处所指信息不包括双方已在公共领域发布的信息和法律规章及监管部门所需信息）。2.本协议为意向性协议，具体项目合作事宜由甲乙双方及其 指定单位另行签订项目实施协议，并以项目实施协议为准。3.本协议一式肆份，甲、乙双方各持贰份，经双方签字、盖章后生效，直到被后续协议取代或经双方协议终止。5.1 Party A and Party B shall keep documents, images and data obtained from each other, either orally or in the written form, in strict confidentiality. Relevant documents or information (hereinafter abbreviated as the Information) obtained on the basis shall not be revealed to any third party. Without the written consent from either Party, the other Party shall not use the Information for any purposes not stipulated in the agreement. (Here, the Information excludes the information already published by the two Parties in public fields or the information required by laws, regulations and supervision departments.)5.2 This MOU is an intentional agreement. Details of cooperation shall be negotiated among Party A, Party B and their designated institutions with an implementation agreement signed among them. The project implementation agreement thus clinched shall prevail. 5.3 This Agreement is in quadruplicate. Each Party holds two copies.
