(8)Additional Services means: 1) works outside of the scope of servision work, and added to the Contract by written agreement of the parties; 2) additional works as a result of addition to the scope of construction work or program delay on the part of the Client or the Contractor.附加工作是指: 1)监理工作范围以外,通过双方书面协议另外增如本合同的工作;2)建立工作范围的增加或者由于委托人或承包人原因致使进度的延误,而造成的附加的工作.(9)Exceptional Services means the works other than the Normal Services and the Additional Services, but whi are necessarily performed by the Servisor in accordance with Article 33. 额外工作是指正常工作和附加工作以外根据第三十三条规定监理人需要完成的工作。(10)day means the period between any one 0:00 a.m. and the next. 日是指任何一个零时至第二天零时的时间段.(11)month means a period of one month according to the Gregorian Calendar mencing with any day of the month.月是指根据公历从一个月份中任何一天开场的一个月的时间段.Article 2 This Servision Contract shall be governed by inese laws, statutes, administrative regulations, and departmental rules regulations, local laws, rules regulations specified in the Standard Conditions and Conditions of Particular Application.第二条本建立工程委托监理合同适用的法律是中国的法律,行政法规以及条件及专用条件中载明的部门规章或地规地方规章。Article 3 The Contract shall be written in both English and inese, both of whi shall be equally binding. 第三条本合同应以中文和英文记载中英文应具有同等效力。Obligations of the Servisor监理人的义务Article 4 The Servisor shall designate the Servision Team and serintendents necessary for carrying out the servising works; provide to the Client a name-list of the ief Servision Engineer, main staff of the Servision Team and a servision plan and perform the servision services within the scope of work as stated in the Conditions of Particular Application. During the execution of the Contract, the Servisor shall submit servision report to the Client at regular interval as stated in the Contract.第四条 监理人应派出监理工作需要的监理机构及监理人员向委托人报送委派的总监理工程师及其监理机构主要成员监理规划完成监理合同专用条件中约定的监理工程范围内的监理业务。在履行本合同义务间应按合同约定定向委托人监理工作。Article 5 The Servisor shall exercise reasonable care and diligence, provide advice at an appropriate level in the performance of the obligations under the Contract to the Client and indemnify the lawful rights and interests of various parties.第五条 监理人应认真勤奋地工作在履行合同义务时为委托人提供与其程度相应的咨询公正维护各方的合法权益。Article 6 Any facilities and articles splied by the Client for use by the Servisor shall be properly used and maintained and remain the property to the Client . When the services are pleted or terminated the Servisor shall deliver to the Client su facilities and unconsumed articles in good working order.第六条 监理人使用委托人提供的设施和物品属委托人的财产应恰当使用和维护。在监理工作完成或中止时应将其设施和剩余的物品完好地移交给委托人。Article 7 During the contract period or after the Contract is terminated, without the consent of the Client, the Servisor shall not disclose the confidential information in relation to the Project and the Contract.第七条 合同内或本合同终止后未征得委托人同意不得与本工程和本 合同有关的信息。Obligations of the Client委托人的义务Article 8 The Client shall pay an advance payment to the Servisor prior to the mencement of the services of the Servisor, if su advance payment is stated in the Conditions of Particular Application.第七条 委托人在监理人开展监理业务之前应向监理人支付预付款,假如该预付款在专用条件中陈述。Article 9 The Client shall be responsible for all coordination of external relationships in relation to the construction of the Project. If the Client assigns part or all of su coordination works to the Servisor as is necessary, then the work to be assigned and relevant terms of remuneration shall be specified in the Splemental Clauses. 第八条 委托人应当负责本工程建立的所有外部关系的协调监理人所属协调关系除外。根据需要如需将 局部或全部协调工作委托监理人承当那么需在补充条款中明确委托的工作和相应的报酬条款。Article 10 The Client shall, within the agreed time, provide to the Servisor free of arge all information pertaining to the Project and necessary for the servision services.第十条 委托人应当在双方约定的时间内向监理人提供与本工程有关的并为监理工作需要的所有信息。 Article 11 On all matters properly referred to him in writing by the Servisor, the Client shall give his decision in writing within the time specified in the Conditions of Particular Application of the Contract.第十一条 委托人应当在专用条件约定的时间内就监理人向委托人以恰当的书面形式提交的一切事宜作出书面。Article 12 The Client shall appoint a Clients Representative (to be specified in the Conditions of Particular Application) who is familiar with the Project and able to make decision within specified time for the purpose of contacting the Servisor. Should the Clients Representative be replaced, the Client shall notify the Servisor in advance.第十二条 委托人应当受权一名熟悉本工程情况能在规定时间内作出的委托人的代表(将在专用条件中明确)负责与监理人联络更换委托人代表要提早监理人。Article 13 The Client shall timely notify the awarded Contractor, in writing, of the power of the Servisor, roles and authorities of main staff of the Servisor. Su information shall be made clear in the contract signed by the Client and any third party.第十三条委托人应当将授予监理人的监理权利以及监理人主要成员的职能分工及监理权限及时书面已选定的合同承包商并在与任何第三方签订的合同中予以明确。Article 14 The Client shall notify to Contractor to provide the following information to the Servisor within su a time that the Servisors work will not be hampered:第十四条委托人应承包人在不影响监理人开展监理工作的时间内向监理人提供如 下资料：(1)List of spliers manufacturers of the raw materials, ponents and parts, meanical equipment etc. to be used in the Project;与将用于本工程的原材料构配件机械设备等的供给和消费厂家；(2)List of coordinators, cooperators in relation to the development of the Project.提供与本工程有关的协作人配合人的。Article 15 The Client shall furnish free of arge (including utility fees ) to the Servisor the site office, telemunication connection, acmodation and other facilities specified in the Conditions of Particular Application.第十五条 委托人应包括使用费向监理人提供办公场所、接口网路接口住宿及合同专用条件约定的其他设施。Article 16 Given certain circumstances, if the two parties agree that the Client shall arrange at his own expense for the provision of other personnel to the Servisor, su agreement shall be reflected in the Conditions of Particular Application.第十六条 根据情况需要如经双方同意委托人将可以自费向监理人提供其别人员 应在合同专用条件中予以反映。Rights of the Servisor监理人的权利Article 17 The Servisor should have the following rights within his scope of work. It is hereby understood that any and all of the following activities shall also be considered as the obligation of the Servisor, who shall perform the following activities whenever it is needed in order to ensure pletion of the Project in the best possible manner and according to the relevant contractual documents and applicable laws:第十七条 监理人在委托的工程范围内应具有以下权利而且在此双方确认任何如下活动也应作为监理人的义务即其有义务在有必要的情况下为了以的方式并以符合全部合同和适用的法律的方式完本钱工程的目的而进展如下活动。(1) The right and obligation to make remendations on the selection of the General contractor(1) 选择工程总承包人的建议权和义务；(2) The right and obligation to make remendations on the selection of the Sub-contractor(2) 选择工程分包人的建议权和义务；(3) The right and obligation to make remendations to the Client in the respects of the project including project size, design standard, planning design, tenological design and performance requirements.(3)对工程建立有关事项包括工程规模、设计、规划设计、消费工艺设计和使用功能要求向委托人的建议权和义务；(4) The right and obligation to advise, in the principles of safety and optimum, the Client on the tenical problems in the design. If the design is found to be not in conformity with the Quality Standards promulgated by the State or specified in the Design Contract, the Servisor shall report to the Client in writing.(4)对工程设计中的技术问题,按照平安和最优化的原那么,有权利和义务向委托人提出建议.当发现工程设计不符合公布的建立工程质量或设计合同约定的质量时,监理人应当书面委托人. 并提供处理方案(5) The right and obligation to review the construction management plan and the tenical proposal and to make remendation to the Client for anges that the Contractor could implement to ensure quality, on-time pletion and cost reduction.(5) 对审查工程施工组织和技术方案, 按照保质量、保工和降低本钱的原那么, 并就承包人有可能采取的变化监理人有权利和义务向委托人提出建议并提供处理.(6) Conduct appropriate arrangement and co-ordination with relevant organisations, whi can exert beneficial influence to the development of the Project. For all su matters the Servisor shall first report to the Client in advance and seek the authority of the Client to make su arrangements and co-ordination.(6)主持工程建立有关协作的组织协调, 对于所有协调项应当事先向委托人,并要求委托人受权以进展组织协调工作.(7) Having obtained the consent of the Client, the Servisor has the right to give mand with regards to mencement, suspension and resumption of the works. But before doing so, he shall report to the Client. The Clients Representative will be available for contacting in phone to discuss emergency and other matters.(7)征得委托人同意,监理人有权发布开工,停工,复工,但应当事先向委托人作出书面.委托人代表将可以随时 联络到以就紧急情况和其他事宜与监理人进展研究.(8) Right and obligation to eck and inspect the materials to be used in the Project and quality of construction and to advise the Contractor immediately of any non-conformities. Should the Contractor continue to use the materials after the non-conformity has been identified, then the Servisor must advise the Client that the Contractor should stop using them. For materials, ponents and parts, equipment that are not in conformity with the design requirements, provisions of the Construction Contract and national quality standards, the Servisor has the right to notify the Client that the Contractor should stop using them; for working sequence, divisional and sub-divisional works that are not in conformity with relevant codes and quality standards, and construction operations that pose safety concerns, the Servisor has the right to notify the Client that the Contractor should stop and make corrections or redo the works. The Contractor can resume construction only after he has received the work resumption mand from the Servision Team via the Client.(8)工程上使用的材料和施工质量的检验权和义务.发现不合格材料应承包方假如承包人在接到后仍继续使用该不合格材料, 监理人必须及时委托人, 让承包人不得继续使用. 对于不符合设计要求和合同约定及质量的材料,构配件,设备, 监理人有义务委托人让承包人停顿使用;对于不符合和质量的工序,分局部项工程和不平安的施工作业, 监理人有义务及时委托人监理人有权让承包人停工整改,返工.
