内容为网络收集仅供参考制度名与有合作关系的公司订立协议电子文件编码 GLWA264 页码 4-1 MEMORANDUM OF AGREEMENT Date: February 25, 200× Subject: Publication Rights for Book of Business Letters Parties: K/H Bbusiness Communications & Consulting Co. NanTian, 12th Floor 10 Shennan Road Central Shenzhen (Hereinafter called K/H) The Seoul Star Daily Co.,Ltd. 1-12, 3-Ga, Hoehyon-Dong, Chung-Gu Seoul 100-771, Korea (hereinafter called Star) Star is granted the indefinite right to translate and publish the subject title in the Korean language and to market it in Korea subject to the following condit ions: 1.Star shall see to it that the translation, paper, graphics, etc., are u p to the quality of the original book and that the book shall be published withi n six (6) months of the date of this agreement. 2.The translation of the book shall be faithful and accurate. No abbrevia tion or alteration of the text shall be made without the written consent of K/H. Any advertisements in the book must be approved by K/H beforehand. 3.Star shall include in their edition the K/H name and logo and a copyrig ht notice of the original book as specified by K/H. Star shall use the original title. 4.Star shall pay royalties on all sales to K/H as follows: a.Six percent (6%) of the retail price on the first 5000 copies. 签发人责任人签名制度名与有合作关系的公司订立协议电子文件编码 GLWA264 页码 4-2 b.Ten percent (10%) of the retail price from all subsequent edit ions. 5.Star shall give a report on sales of the title twice yearly on June 30 and December 31. The reports shall include the number of copies printed in the c urrent edition, the stock at the beginning, and the stock at the end of the six- month accounting period. Royalties due will be paid at that time 6.Star shall not permit publication of the title in any other form. 7.Star shall forward 10 complimentary copies of their first edition of th e book to K/H, and K/H shall be entitled to buy further copies at 65% of the ret ail price. 8.If Star allows the book to go out of print for more than six months, al l rights given in this agreement shall revert to K/H. 9.All remittances shall be made to the account of K/H Seoul Star Bldg., 1 2th Floor, 1-12, 3-Ga, Hoehyon-Dong, Chung-Gu, Seoul 100-771, Korea.
