2、且与本合同的条款一致。甲方得到施工图就向乙方提供。4.1Since Party A agrees to lease to Party B, and Party B accepts to lease from Party A the premises as specified in the Description of the Leased Premises set forth in the attached Appendix B (BI: Listing of all areas; B2: drawings of all floors with those areas which are su

3、bject to the lease hereunder coloured pink; B3: a Complete set of architectural drawings as per approved preliminary design)as agreed by both Parties to this Agreement, in accordance with the preliminary design and, after Completion of construction of such premises, in accordance with the drawings p

4、repared upon such Completion (hereinafter Leased Premises), andinaccordancewiththetermsandconditionsofthis Agreement. Shop drawings will be supplied to Party B by Party Awhen available.42如果因为中国政府或建筑技术的要求与扩初设计的图示相比较,甲方对出租房屋的建筑和或对最后竣工的出租房屋作了改变,只要这些变更不改变按本合同规定的出租房屋的用途,提供了相应的装修和设备,而且只要这类改变对实际的使用面积不作大的变化

5、的话,双方同意这些更改。在这种情况下双方应继续受本合同的所有条款的约束,而且乙方同意不应对这些更改提出任何索赔或其他要求。4.2In case of any changesbecauseof theChinese government or construction technical requirement which will be made by Party A to the building of the Leased Premises and/or the Leased Premises in the final construction as compared to the des

6、cription set forth in the preliminary design, the Parties agree to these changes to the extent that the use of the Leased Premises as set forth in thisAgreement remains unchanged, comparable finishing and equipment are provided, and to the extent that such changes do not substantially change the act

7、ual net floor area; in which case the Parties shall continue to be bound by all the terms and conditions of this Agreement and Party B hereby undertakes not to bring any claims for compensation or otherwise in connection with such changes.43出租房屋的建筑的内外装修应根据甲方和出租房屋建筑的承包商之间的施工协议的标准说明(附件C),由甲方自费设计和实施。乙方

8、要求对附件C作出的任何改变应得到甲方的书面同意,由此而产生的任何费用由乙方承担。4.3The interior and the, exterior finishing of the building of the Leased Premises shall be designed and effected at Party As expense in accordance with the Standard Description (as per construction agreement between Party A and the contractor of the building

9、of the Leased Premises)attached hereto as Appendix C as agreed by both Parties. Any future changestoAppendix Crequested by Party B shall be subject to the written approval of Party A, and any cost and expense arising out of such request shall be borne by Party B.51双方希望出租房屋所在的建筑的建造将以正常的建造速度进行,以便在年月日或

11、g wherein the Leased Premises are located will under normal construction progress be completed and fit for occupation on, 19or such other date as shall be notified in writing by Party A to Party B withinworking days of the conclusion of the construction contract for the Center. Party A shall notify

12、Party B in writingmonths in advance of the commencement date on which the lease of the Leased Premises hereunder (as well as the obligations as contained in Article 9)shall commence subject to the terms and conditions of this Agreement (hereinafter the Commencement Date), provided always that Party

13、A shall have accepted the Leased Premises from the contractors thereof before the Commencement Date.The Commencement Date shall not be earlier or later than,19or such other date as shall have been notified by Party A to Party B as aforesaid, by more thanworking days. Subject always to Article 15, if

14、 the Commencement Date exceeds, 19or such other date as shall have been notified by Party A to Party B as aforesaid, by more than _ working days, Party A shall indemnify Party B against any reasonable actual expenses incurred as a result of the excess.The Leased Premises are deemed to be fit for occ

15、upation when the building therein is substantially completed.52在“开张日期”的天后,甲乙双方应签订一个移交议定书,确认出租房屋的正常移交,并指明哪些被发现的(如果有的话)应由甲方负责的缺陷。5.2Party A and Party B shall upon the expiry of days after the Commencement Date sign a hand-over protocol confirming the properdeliveryofthe LeasedPremisedforoperationand c

16、onfirming those defects found, if any , which are the responsibility of Party A.53当出租房屋已适合于为本53条款规定的目的而进入时,乙方在“开张日期”之前的个工作日之内为安排可移动设备或其他必要物件的安装事宜,有权进入出租房屋的任何部分,但条件是:(1)乙方事先向甲方送交一份认可书,确认全面接受乙方认为完好并满意的出租房屋的这一部分;该认可书对乙方应有约束力;(2)甲乙双方应对由他们各自的行为或疏忽或各自代理人,承包人或雇员的这类行为造成的所有损害或损失或人身伤害负完全责任。5.3When the Leased

17、Premises are suitable for entry for the purposes specified in this Article 5.3, Party B shall have the right to enter upon any part of the Leased Premises during theworking days before the Commencement Date for the purposes of arranging installation of mobile equipment or other necessary items, prov

18、ided that (1)Party B has delivered in advance to Party A a letter of confirmation confirming the full acceptance of such part of the Leased Premises which in Party Bs opinion is sound and satisfactory which confirmation shall be binding upon Party B; and (2)Party B and Party A shall each assume full

19、 liability as to all or any damages or losses or any personal injuries caused by its own acts or omissions or those of its respective agents, contractors or employees.第三章合同双方的责任CHAPTER 3 RESPONSIBILITIES OF THE PARTIES第6条甲方应负责:Article 6Party A shall be responsible for:61按以下规定,建造并完成出租房屋的建造:6.1The con

20、struction and completion of the Leased Premises set forth as follows:建造并完成出租房屋的建筑物的结构:The construction and Completion of the structure of the building of the Leased Premises;根据附件C中规定的标准说明书,安装内外装修和设备,包括一套预制的可进入式的两种温度的冷库。安装必要的给排水、煤气、电、供暖、空调、电绨、自动扶梯、自动灭火、电讯的设施,以及闭路电视和计算机系统的空管,建筑物的管理系统和有关办公室的必要安装。这类建筑和安

21、装的所有费用和开支均由甲方承担。Installationofinteriorandexteriorfinishingand equipment as set forth in the Standard Description attached hereto as Appendix C, including one unit of prefabricated walk-in cooler and freezer and the necessary installations for water supply ,drainage, gas , electricity , heating , air

22、 conditioning, elevators,escalators, automatic firefighting and telecommunication, conduits for closed circuit television system and computer system, building management system and offices relating thereto;All costs and expenses for such construction and installation to be borne by Party A;62提供乙方在安装

23、出租房屋防盗系统时所产生的合理费用。条件是这种提供的费用只能根据乙方递交的这类开支的合法的发票支付,而且甲方这种支付总额不超过人民币。乙方有权安装防盗系统,条件是这类安装不影响出租房屋的结构。6.2Contributing to the reasonable costs incurred by Party B in the installation of a burglar alarm system for the Leased Premises, provided that such contribution shall only be paid upon delivery of legal

24、ly valid invoices by Party B in respect of such costs and further provided that the total contribution payable by Party A shall not be more than RMB; and Party B shall have the right to install the burglar alarm system provided that such installation does not affect the structure of the Leased Premi

25、ses;63根据附件C中的规定为出租房屋安装水、电、煤气、供暖和空调的设施及提供电讯设施。6.3The installation of facilities for water, electricity, gas, heating, air conditioning and the supply of communication facilities as specified in Appendix C for the Leased Premises;64维修出租房屋的供暖和空调系统,电梯,自动扶梯,火警,防火系统的机械装置。甲方承担这类维修的费用,甲方具有自己实施这类维修工作的专有权力,亦有

26、委托信誉良好的分包商进行这类维修的权力,无论以何种方式,因为这类维修而引起的所有费用和开支应由甲方承担。6.4 Maintaining the mechanism of the heating and air conditioning system, the elevators, the escalators and the fire alarm and fire prevention systems of the Leased Premises. Party A shall bear the costs of such maintenance, and Party A shall have

27、the exclusive right to carry out such maintenance itself or to entrust reputable subcontractors for such purpose ,and in either event Party A shall bear all costs and expenses incurred in respect of such maintenance;65保持出租房屋建筑物和结构及首层的公用区域和出租房屋的地下室处于良好维修状态,允许乙方的顾客使用露天停车场。6.5Keeping in good repairs th

28、e structure and the building of the Leased Premises, as well as the public areas of the ground floor and basement of the Leased Premises, and allowing the use of open air public car parking spaces by the customers of Party B;66向乙方收取租金、诚意抵押金及保证抵押金和根据本合同乙方应支付的其他费用。6.6Collecting from Party B rental fee

29、s, goodwill deposit,security deposit, and other sums of charges payable by Party B under this Agreement;67保证不在建筑物内经营也不允许任何第三者经营与乙方性质相类似的商店。6.7Undertaking not to, and not permit any third Party to,operate within the building a store in the nature similar to that of the Party B;68根据双方同意的条件,在乙方提出与租赁房屋相

30、关的要求时提供其他帮助。6.8Providing other assistance to Party B upon its request in connection with theLeasedPremisessubjecttotermsand conditions to be agreed between the parties.第7条乙方应负责:Article 7Party B shall be responsible for:71根据本合同履行其全部义务,包括按期向甲方缴纳诚意抵押金、保证抵押金和租金以及有关出租房屋的供热和空调的费用。同时直接向有关部门支付水、电、煤气费,如果不行,则

31、仍应向甲方支付这类费用。7.1Fulfilling all its obligations under this Agreement including paying punctually to Party A the goodwill deposit, rental fees and expenses for heating and air conditioning in respect of the Leased Premises as well as paying directly to the relevant authorities expenses for water,electr

32、icity and gas if possible,failing which such expenses shall be paid to Party A for settlement;72支付自己的垃圾清理费和其他有关费用以及其他中国政府可能征收的与出租房屋相关的公共服务费用(如有的话)。7.2Paying its own garbage disposal and other related costs,as well as paying other public service charges, if any, which the Chinese government may impos

33、e in respect of the Leased Premises;73根据本合同的条款在租赁期内出租房屋应对公众开放,允许中外宾客作为顾客进入出租房屋,采用国际先进的服务方式,把出租房屋经营成为一个具备一流服务标准的购物中心。7.3Operating the Leased Premises which shall be opened to the public during the duration of the lease according to the terms and conditions of this Agreement including maintenance duri

34、ng daily usage; permitting local and foreign guests to enter as customers into the Leased Premises, adopting international and advanced service methods and operating the Leased Premises as a shopping center of first class service standards;74布置安装各种可移动的设备和家具,所有由乙方购买的这类设备和家具应属于乙方所有,乙方应自费安排相应的保险。7.4 Ar

35、ranging for the installation of all types of mobile equipment and furniture; the ownership of all equipment and furniture thus purchased by Party B shall belong to Party B and proper insurance shall be arranged accordingly by Party B at its own expense75保护出租房屋,包括建筑物和设备在良好维护和清洁的条件下正常运转,维护出租房屋的卫生条件,消除

36、扰人的噪音,并修复由乙方的代理人、雇员、顾客、客人或供货者或承包商所造成的任何损坏。7.5Protecting the normal operation of the Leased Premises in good repair and clean and good condition, including the building and equipment, and maintaining the Leased Premises in sanitary and hygienic conditions, free from disturbing noises, and repairing a

37、ny damage caused by any of Party Bs agents, employees,customers, guests or suppliers or contractors76未经与甲方建筑师商议后作出书面同意,不得在出租房屋外部的任何部分张贴、刻画或涂写任何记号,设置灯箱或刊登广告。但乙方的店名和店徽则无需征得事先的书面同意,不过他们的规格和安放位置应与出租房屋的建筑师协商。7.6Not to affix, inscribe or paint any sign, light box or advertising at any exterior part of the

38、 Leased Premises without the prior written approval of Party A in consultation with the architect, provided that such prior written approval shall not be required in respect of the name and logo of Party B but Party B shall act in consultation with the architect of the Leased Premisesin this respect

39、 with regard to the size and location of such name and logo;77不得以任何方式对出租房屋或建筑物的任何部分作拆移或毁坏或损坏。未经甲方的书面同意,不得对出租房屋作任何改变、增设或改进。到租赁结束时乙方应将出租房屋恢复至开张日期的原状。7.7Not to remove or destruct in any manner or damage any part to the Leased Premises or the building thereof, nor to make any alternations, additions or

40、improvement of the Leased Premises without the prior written approval of Party A, and upon the termination of the lease hereunder, the Leased Premises shall have been restored by Party B to their status quo ante as at the Commencement Date;78未经甲方事先的书面同意,不得把任何爆炸品和易燃或有毒的物品带人或存放在出租房屋里。7.8Not to bring i

41、nto or store any explosives, inflammable or poisonous substances in the Leased 7. 9 Not to install in the Leased Premises any apparatus,machinery or equipment which may cause tremors or noises exceeding the limits contained in the relevant environmentalprotection regulations, or the load of which ex

42、ceeds the load capacity for which the respective floors of the Leased Premises are designed , or expose the Leased Premises to fire or increase the fire hazard of the building thereof or change the insurance rate of such building or to install any other article which in Party As opinion is hazardous

43、 or affects the safety of the Leased Premises;79不得安装任何可能产生超过有关环保法规规定限制标准的震动或噪音,或超过与此出租房屋相关的设计荷载或使出租房屋易于招致火灾或增加建筑物失火的危险,或改变此建筑物保险率的仪器、机器或设备,或安装任何其他对出租房屋有危害或影响其安全的物品。7.10 Not to use any gas of electric appliances the use of which exceeds the existing network;710不得使用任何负荷超过现有管线的煤气和电器用具。7. 11Not to raise

44、 any objections in respect of, or interfere with the use, operation, management or leasing of any part of the buildingwhichisnotpartofLeasedPremisesunderthis Agreement711不对建筑中的不属于本合同规定的出租房屋的其他任何部分的使用、经营、管理或出租,提出任何反对意见或干预。7.12Arranging and putting into operation fire prevention,safety, and security m

45、easures within the Leased Premises;712在出租房屋内安排并实施防火和安全保卫措施。7.13Informing Party A immediately in case of fire, accidents of any other emergency situation in the building of the Leased Premises, or in case of any defect therein or in any fixtures or equipments thereof713如出租房屋建筑物发生火灾事故或任何其他紧急情况,或在出租房屋,

46、或其任何固定装置和设备发现有缺陷时,立即通知甲方。7.14Providing other assistance to Party A upon its request in connection with the Leased Premises subject to terms and conditions to be agreed between the Parties.714遇到甲方提出与出租房屋相关的请求,按双方同意的条件提供帮助。CHAPTER 4DURATION OF THE LEAES,RENTAL FFE, GOODWILL DEPOSIT, SECURITY第四章租赁期限、租金、押金和其他服务费用DEPOSITAND OTHER SERVICE FEES81租赁期从“开张日期”起算为年。经双方协商达成书面协议,则租赁期限可以延长。希望延长租赁期限的任何一方必须以书面形式通知另一方其希望延长期限的意向。8. 1The duration of the lease hereunder shall be_years starting from the Commencement Date. The duration of the lease may be extended upon written agreement reached
