While all terms and conditions shall be based on the Chinese version of Tenancy Agreement, this English version shall be for reference only. 上海房屋租赁合同SHANGHAI MUNICIPALITY TENANCY AGREEMENT（合同编号：） (Contract No. _ )本合同双方当事人：Parties to Contract（出租）出租人（甲方）： Lessor (Party A): 承租方（乙方）： Lessee (Party B): 根据中华人民共和国合同法、上海市房屋租赁条例（以下简称：条例）的规定，甲、乙双方在平等、自愿、公平和诚实信用的基础上，经协商一致，就乙方承租甲方可依 出租（出租）的 商品房（房屋/商品房）事宜，订立本合同。In accordance with the Laws of Contract of the Peoples Republic of China and the Tenancy Regulations of the Shanghai Municipality (hereinafter referred to as “the Provisions”), Party A and Party B, having reached an agreement based on the principles of equality, willingness and mutual benefit, hereby enter into this Contract on matters in relation to the Lease of the Property by Party A to Party B.一、出租房屋情况Condition of the Lease or Pre-Lease Property1-1甲方出租（出租）给乙方的房屋座落在本市 区（区/县） 弄（弄/新村） （号/幢） 室（部位）（以下简称该房屋）。该房屋 实测（【出租】实测）建筑面积为 平方米，房屋用途 住宅 ，房屋结构为 钢混。甲方已向乙方出示：Party A shall lease Party B the Property situated at District, Shanghai (hereinafter referred to as “the Property”). The total gross area of the Lease Property shall be square meters, the purpose of the Land shall be for Residential, the structure shall be Consolidated Building. See Appendix 1 of this Contract for the floor plan of the Property. Party A has already presented to Party B:【出租】房地产权证/房屋所有权证/ 沪房地 字（ ）第 号 ；Lease Shanghai Certificate of Ownership of the Property (Certificate No. )： .1-2甲方作为该房屋的房地产权利人(房地产权利人/代管人/法律规定的其他权利人)与乙方建立租赁关系。签订本合同前，甲方已告知乙方该房屋已(已/未)设定抵押。Party A being the Owner of the Property and Party B have developed a lessor/lessee relationship. Before the signing of this Contract, Party A has already informed Party B that the Property has been subject to a mortgage.1-3该房屋的公用或合用部位的使用范围、条件和要求；现有装修、附属设施、设备状况和甲方同意乙方自行装修和增设附属设施的内容、标准及需约定的有关事宜，由甲、乙双方分别在本合同附件(二)、(三)中加以列明。甲、乙双方同意该附件作为甲方向乙方交付该房屋和本合同终止时乙方向甲方返还该房屋的验收依据。The area and the use of the public or common part of the Property; the existing fixtures, facilities, condition of equipment and the contents, standard and other relevant matters to be ascertained in relation to the fixtures and the facilities added by Party B with the consent of Party A shall be specified in Appendix 2, 3 of this Contract. Party A and Party B have agreed the said Appendix shall represent the condition of the Property at the time of hand over of the Property by Party A to Party B and when Party B deliver up the Property to Party A at the expiry of this Contract.二、租赁用途Purpose of the Property2-1乙方向甲方承诺，租赁该房屋作为 住宅使用，并遵守国家和本市有关房屋使用和物业管理的规定。Party B warrants to Party A that the Property shall be used for Residential purpose and follows the regulations of the State and this Municipality in relation to the use and management of Property.2-2乙方保证，在租赁期内未征得甲方书面同意以及按规定须经有关部门审批核准前，不擅自改变上款约定的使用用途。Party B guarantee that during the lease term, it shall not alter the purpose of the Property without Party As prior written consent as well as the approval from the relevant governmental department.三、交付日期和租赁期限Delivery Date and Lease Term3-1甲乙双方约定，甲方于 年 月 日向乙方交付该房屋。【出租】房屋租赁期自 年 月 日起至 年 月 日止。Party A and Party B have agreed that Party A shall hand over the Property to Party B on or before . LeaseThe lease term of the Property shall be from until .3-2租赁期满，甲方有权收回该房屋，乙方应如期返还。乙方需继续承租房屋的，则应于租赁期届满前 1个月，向甲方提出续租书面要求，经甲方同意后重新签订租赁合同。Upon expiry of the lease term, Party A shall have the right to repossess the Property in its entirety and Party B shall deliver it up accordingly. If Party B wishes to renew the lease, it shall submit such intent in writing to Party A one month prior to the expiry of the lease and sign a new lease contract with the consent of Party A. 四、租金、支付方式和期限Rent, Method of Payment and Term 4-1甲、乙双方约定，【出租】月租金人民币（ ）（大写：人民币 圆整 ）。该房屋租金 1 （年）内不变。自第 2 (年)起，双方可协商对租金进行调整。有关调整事宜由甲、乙双方在补充条款中约定。Party A and Party B have agreed that.Lease The total monthly rent shall be RMB 11500 Yuan.(In words: Renminbi Eleven thousands and five hundreds only)The rent shall remain unchanged for one year. The rent may be adjusted by both parties through consultation commencing from the 2nd year. Matters related to the adjustment shall be agreed by Party A and Party B in supplementary clauses.4-2乙方应于每月15 日前向甲方支付租金。逾期支付的，每逾期一日，则乙方需按日租金的0.5%支付违约金。Party B shall pay the rent by the 15th day of each month. Late payment by Party B shall be subject to a penalty of 0.5 % of the monthly rent per day.4-3乙方支付租金的方式如下：The rent shall be paid by Party B as follows:参见补充条款，please refer to the supplementary provision.-五、保证金和其他费用Deposit and Other Fees and Charges5-1甲、乙双方约定，甲方交付该房屋时，乙方应向甲方支付房屋租赁保证金，保证金为贰个月的租金，即人民币 元，（大写：人民币 圆整 ）。甲方收取保证金后应向乙方开具收款凭证。租赁关系终止时，甲方收取的房屋租赁保证金除用以抵充合同约定由乙方承担的费用外，剩余部分一周内无息归还乙方。Party A and Party B have agreed that at the time of the hand over of the Property by Party A, Party B shall pay to Party A a rental deposit of the Property, the deposit shall be Two months of rent, that is RMB 23000 ( RMB Currency Twenty-three thousands only ).Party A shall issue a receipt to Party B after receiving payment of deposit.At the termination of the lessor/lessee relationship, the remaining deposit of the lease of the Property obtained by Party A shall be refunded to Party B after setting off the fees and expenses borne by Party B under the Contract without interest within one week.5-2租赁期间，使用该房屋所发生的水、电、煤气、每月房屋租赁税费，通讯费用及ADSL使用费由 乙方 （甲方/乙方）承担。其他物业管理费、有线及卫星电视收视费和小区的家庭会所卡，均由甲方（甲方/乙方）承担。During the lease term, the water, electricity, gas, communication of the Property，ADSL usage fee, tax fee per month and other fees resulted from the use of the Property shall be borne by Party B. All other management fee ，local Chinese TV subscription fee, compound satellite TV subscription fee, onsite club membership card shall be borne by Party A.5-3 乙方 （甲方/乙方）承担的上述费用，计算或分摊办法、支付方式和时间：根据上述企事业单位列出的帐单凭证支付，如不按期付款，滞纳金由乙方承担。 Party B shall be responsible to pay the above fees and charges, the computation or amortization, method and time of payment: According to the demand notes or relevant departments, if delaying payment, Party B should be responsible for the penalty.六、房屋使用要求和维修责任Standard Required for Use of Property and Responsibility of Property Maintenance and Repair6-1租赁期间，乙方发现该房屋及其附属设施有损坏或故障时，应及时通知甲方修复；甲方应在接到乙方通知后的 两 日内进行维修。逾期不维修的，乙方可代为维修，费用由甲方承担。During the lease term, if Party B discovers any damages or defects of the Property and facilities attached, it shall notify Party A immediately for repair. Party A shall carry out the repair within two days after receiving notification from Party B. Any delay in repair may be repaired by Party B on Party As behalf and the expenses incurred shall be borne by Party A.七、房屋返还时的状态Condition of Property at Delivery Back7-1除甲方同意乙方续租外，乙方应在本合同的租期届满后的 次 日内返还该房屋，未经甲方同意逾期返还房屋的，每逾期一日，乙方应按0.5%向甲方支付该房屋占用期间的使用费。Except for the renewal of lease agreed by Party A, Party B shall deliver up the Property within second day after the expiration of lease term of this Contract. Late delivery of the Property without the consent of Party A shall be subject to a charge for adverse possession of the Property at 0.5% time of rent per day.7-2乙方返还该房屋应当符合正常使用后的状态。返还时，应经甲方验收认可，并相互结清各自应当承担的费用。The Property at the time of delivery up by Party B shall be of a condition after normal use. The delivery up shall be examined and authorized by Party A and the fee and charges responsible by the parties shall be cleared at the time of delivery up.八、转租、转让和交换Sublease, Assignment and Exchange8-1除甲方已在本合同补充条款中同意乙方转租外，乙方在租赁期内，需事先征得甲方的书面同意，方同将该房屋部分或全部转租给他人。但同一间居住房屋，不得分割转租。Unless otherwise agreed in the supplementary clauses of this Contract, Party B shall obtain the written approval from Party A before it could sublease part or all of the Property to a third party during the lease term. Party B shall not sublease part of the Property or sublease to two lessees or more than two lessees at the same time.九、解除本合同的条件Conditions for Terminating this Contract 9-1甲、乙双方同意在租赁期内，有下列情形之一的，本合同终止，双方互不承担责任：Party A and Party B have agreed that during the lease term, this Contract shall be terminated under any of the following circumstances and both parties shall not be held responsible as a result thereof:（一） 该房屋占用范围内的土地使用权依法提前收回的；The right to use of land within the scope of the Property was early resumed in accordance with the laws;（二） 该房屋因社会公共利益被依法征用的；The Property was resumed for public interests;（三） 该房屋因城市建设需要被依法列入房屋拆迁许可范围的；The Property has been classified as premises to be demolished according to the law for the need of town planning;（四） 该房屋毁损、灭失或者被鉴定为危险房屋的；Damages, fire hazards occurred to the Property or otherwise been classified dangerous premises;（五） 甲方已告知乙方该房屋出租前已设定抵押，现被处分的。Penalty as a result of the mortgage created over the Property as notified to Party B by Party A before the lease;9-2甲、乙双方同意，有下列情形之一的，一方可书面通知另一方解除本合同。违反合同的一方，应向另一方按月租金的 2 倍支付违约金；给对方造成损失的，支付的违约金不足抵付一方损失的，还应赔偿造成的损失与违约金的差额部分：Party A and Party B have agreed that one party may terminate this Contract by written notice to the other party under any of the following circumstances. The party in breach shall pay to the other party a penalty of 2 times of the rent per month; if damages is caused to the other party and the penalty is not sufficient to offset the damages of the other party, the party in breach shall also compensate for the difference between the penalty and the damages caused: （一）甲方未按时交付该房屋，经乙方催告后 7 日内仍未交付的；Party A fails to deliver up the Property accordingly and remain fail to deliver within 7 days after demand given by Party B;（二）甲方交付的该房屋不符合本合同的约定，致使不能实现租赁目的的；或甲方交付的房屋存在缺陷，危及乙方安全的。The Property delivered up by Party A falls short of the agreement of this Contract, causing failure to realize the purpose of the lease; or the Property delivered by Party A is defective and affects the safety of Party B;（三）乙方未征得甲方书面同意改变房屋用途，致使房屋损坏的；Party B alters the use of the Property without the written consent of Party A, causing damages to the Property;十、违约责任Liabilities for Breach of Contract10-1该房屋交付时存在缺陷的，甲方应自交付之日起的2 日内进行修复，逾期不修复的，甲方同意减少租金并变更有关租金条款。For defects exist at the time of delivery of the property, Party A shall perform the repair work within 2 days after the delivery, in the event of delay and non-repair, Party A agrees to reduce the rent payable and alters the relevant rental provisions.十一、其他条款Other Clauses11-6本合同连同附件一式叁份。其中：甲、乙双方各执一份. 区房地产交易中心受理处一份，以及各份均具有同等效力。This Contract together with the appendices (in the original) is in 3 copies, of which Party A and Party B shall hold one copy each, the ( ) Real Estate Trade Management Department or Ministry of Agricultural Systems shall hold a copy, All the copies shall have the same effect.出租方(甲方)：承租方（乙方）：Landlord (Party A)Tenant (Party B)国籍：国籍：Nationality: Nationality:法定代表人：法定代表人：Legal Representative: Legal Representative:注册证明/身份证号码：注册证明/身份证号码：Registration/ID No.:Registration/ID No.:住址：住址：Address:Address:邮编：邮编：Postcode: Postcode:电话：电话：Telephone: Telephone:委托代理人：委托代理人：Agent:Agent:签名盖章： 签名盖章：Signature:Signature:签约日期：签约日期：Date:Date:签约地点：签约地点：Place of Signing:Place of Signing经济机构名称：Real Estate Agency:经纪人名称：Real Estate Agent:经纪人资格证书编号：Agency Certificate Code:代理记帐业务约定书甲方: (以下简称甲方)乙方： (以下简称乙方) 经甲乙双方友好协商，自愿达成以下乙方为甲方提供会计代理服务相关事项的业务约定：一、 乙方为甲方提供以下会计代理服务：建账、记账(总分类账、二级明细账)、填制财务报表、税务报表、国税申报、地税申报(含网上申报)。甲方如有其他服务要求，需在约定书中注明，口头商定无效。 二、甲方在每月25日至次月15日前，按时将本单位所发生合法的经济业务票据传给乙方(乙方可上门取送票据，每月壹次)并提供纳税申报所需要的各种印章(公章、财务章、人名章等)。因甲方票据传递、提供各种印章及税务机关要求的其他资料不及时，造成乙方延误各种纳税申报的，责任由甲方自负。三、在甲方按时传递经济业务票据及按时提供各种印章的情况下，乙方应按时为甲方代理纳税申报，造成延误各税种申报的, 责任由乙方负责。四、乙方丢失票据，书写、计算错误而引起的税务罚款及滞纳金，责任由乙方负责；甲方账外逃税、提供的虚假票据、提供原始凭证不符合规定引起的税务责任，由甲方负责。 五、甲方的出纳每月应主动与乙方会计核对银行账及现金账余额。六、甲方在签订业务约定书的同时付款，否则无效，到期后乙方接受甲方付款的视为约定延续，若到期后未续约付款的，约定终止，双方不再相互承担责任。七、甲方在业务约定期间内如有地址、电话、开户银行及账号、税务登记、工商登记等发生变化应在非报税期内三天、报税期内(每月25日至次月15日)当天通知乙方，不能及时通知乙方由此而产生的后果，由甲方自负。 八、业务约定到期或终止时，如果甲方聘用乙方工作人员，乙方对业务约定期间的凭证、账目、税务出现的问题概不负责。 九、甲方为：1.纯地税户 2.国地税户3.一般纳税人，每月凭证不超过一本，无特殊核算要求(超出要求范围的，服务费另行协商)。十、约定期限： 年 月至 年 月，付款方式：每 ，另每会计年度账本及报表资料费贰佰元，工商年检代理费贰佰元，残保金代理费贰佰元； 年 月 日合计收取 元。十一、本业务约定书一式两份，双方各持一份，经双方签字盖章付款后生效。本约定书未尽事宜，甲乙双方应本着友好协商的态度进行协商解决。十二、会计每月25日至次月1日联系取票据，以下列举部分单据： 1、企业本月开具的发票及与之相对应的收款凭证(进账单、现金送款单、现金收入凭单、出库单、发票领用存情况等)；2、企业取得的购货发票及与之相对应的支出凭证(支票根、电汇单、现金支出凭单、入库单等)；3、企业取得的费用发票(交通费、差旅费、通讯费、广告费、业务宣传费、房租、水电费、办公费、运费、汽油费、保险单据等)及与之相对应的支出凭证(支票根、电汇单、现金支出凭单等)；4、银行缴税税票，利息单，进账单，支票存根，电汇单及其它各种银行票据；5、企业自制原始凭单：工资单，折旧单等；6、一般纳税人发票汇总表(一套)，作废发票(联次齐全)，抵扣票认证清单，金税卡；7、其它需要的资料_8、凭证报表由乙方暂存，待工作完成后，年度终了时返还客户。 注意：月末取票后企业如开具收入发票须立即通知乙方。甲方： 乙方： 联系人： 联系人：联系电话： 联系电话：电子邮件/ QQ: 地址： 9
