The Buyer shall inform the Seller by email whether the goods of the month are acceptable within 7 days after taking the sample. If the goods are qualified, upon the receipt of the confirmation from the Buyer, the Seller shall ship the goods to Ganqimaotao. CIQ inspection shall be conducted during the Customs clearance. The charges for the above analysis and testing should be paid by the Buyer. Analysis of quality and quantity issued by the Buyer will be for the purpose for the 90% payment invoicing; and the CIQ report shall be the purpose for the 10% payment and final invoicing.分析和检验：为证明数量和质量分析，买方每月去Chaganhart取样一次，在中国检验，并在7日内向卖方以电子邮件方式确认是否接受当月货物，卖方收到确认将货物运往甘其毛道买方指定货场。买方在通关时进行CIQ质量和重量的检验。买方承担在装货地所产生的上述分析和检验费用。买方的质量和重量检验告作为支付90%款项的依据；中国CIQ检验的质量和重量分析报告作为发票最终数据使用，作为计算10%价格和最终价格的依据。- Appointed of Analysis and Testing Company: CIQ CHINA. 委托分析检验机构：中国出入境检验检疫局3. Quantity & Price: 质量&价格 The Seller shall sell and Buyer shall buy Mongolian Coking Coal as follows:卖方和买方按照如下条款买卖蒙古焦煤： - Total quantity: Total 500,000 MT for One(1) year(10%) - 数量：一年500, 000吨 (10%) - Delivery: 20,000 MT (10%) in December 2010; 30,000 MT per Month (10%) for January-March 2011; 45,000 MT per Month (10%) for April-November 2011 装运期：2010年12月，20,000吨 (10%)2011年1-3月，每月30,000吨 (10%) 2011年4-11月，每月45,000吨 (10%) - Discharging Rate: 2,000MT per 3days in December 2010; 3,000MT per 3days for January-March 2011; 4,500MT per 3days for April-November 2011 卸率：每三天2,000吨, 2010年12月 每三天3,000吨, 2011年1-3月 每三天4,500吨, 2011年4-11月 - Price: US$80.0/MT (DDU _ warehouse appointed by buyer in Ganqimaotao at border of China. The seller shall pay the shipping cost from Mongolia to the warehouse. Payment: 付款方式Payment shall be made by T/T at sight covering each shipment value after inspection in favor of the Arcmorning LLC through GOLOMT BANK, Head office of Mongolia, by a bank agreed. In the first month, the Buyer shall pay the seller 90% payment within 1 day upon Buyers receipt of the batches of goods of every day at Ganqinmaotao; The Buyer shall pay the Seller 10% payment or the rest of value of goods (if price is adjusted by CIQ quality and quantity report) within 1 day after CIQ quality and quantity report is issued. After the first month, the Buyer and the Seller can re-set the payment term.在货物检验后，买方应通过约定的银行，根据每批货值进行TT现付至以Arcmorning LLC为受益人的GOLOMT 银行。第一个月，买方在每收到当天的货物后1日内支付卖方90%的货款，并在取得该批货物CIQ质量和重量报告后1日内向卖方支付10%或余款 (如果价格需按CIQ质量和重量报告调整)。第一个月后，双方可以另议合适的付款方式。5. Penalty处罚条款1) If coking coal does not meet the requirement as specified on the agreement. The Buyer can reject to purchase the goods without obligation 如买方所收到焦煤不符合协议所规定，买方有权拒收货物，并不承担相关责任。2) If goods are delivered according to the standard specified on the agreement. The cancellation of contract will not be accepted.若货物按照协议约定交付，双方不能解除合同。3) If the Seller can not supply the goods, the Seller has to pay the Buyer 300,000USD fine at one time.若卖方不能依合约规定如期供货，卖方应一次性赔偿买方300, 000USD罚金。4) If the Buyer does not purchase or pay it, the Buyer has to pay the Seller 300,000USD fine at one time.若买方不能买货或者不予以付款，买方应一次性赔偿卖方300, 000USD罚金。5) If the quality and quantity do not meet the requirements of the CIQ report for two months, the buyer has the right to review the contract or cancel the contract. 若CIQ质量和重量报告有两个月不合格，买家有权要求重新商定合同或取消合同。6) If the actual Ash Rate (ADB) price of a shipment of coal as determined by the CIQ Inspection is bigger than 13%, the invoice shall be deducted 0.5 USD/ton by per 1% for the Ash Rate over 13%, not reaching 1% will be calculated pro rata two digites. If the inspection result is higher than 20%, the buyer shall have rights to reject the goods back to the seller and being free from payment responsibility, and the seller shall compensate the prior payment of the certain goods.如果实际收到焦煤的灰份（ADB）大于13%, 每提高一个百分点，价格减少每吨0.5美金，不足一个百分点按小数点后两位计算；大于20%，买方有权退货物拒付余额，且卖方应返还货款。7) If the actual Total Moisture (ADB) of a shipment of coal as determined by the CIQ Inspection is bigger than 5%, the invoice quantity shall be recalculated as following formula:CIQ quantity means the quantities shown on CIQ Certificates of WeightCIQ Moisture means the Total Moisture (ADB) shown on CIQ Certificates of Analysis当全水（ADB）大于5%时，结算货物数量将扣除超标水分，计算公式如上。不足1%的以小数点后两位计算。CIQ检验数量CIQ重量证书为准CIQ检验全水分以CIQ检验报告为准6. Documents:文件Documents against the 90% payment:90%款的议付文件：- One set of the Sellers Commercial Invoice in duplicate showing 100% of the shipping value;一套完整的卖方的商业发票，一式二份，100%显示货物价值- One Original copy of the certificate of Origin of Pit No 4 issued by the Mongolian Authority;一份由蒙古国家机构证明的4号井原产地证书原件- Official documents to demonstrate the Seller owns the property of the above mentioned coking coal.证明卖家拥有上述焦煤的官方文件- Bill of lading提货单Documents against the 10% payment:10%款的议付文件:- One set of the CIQ Certificate of Analysis;一套完整的CIQ检验报告- One set of the CIQ Certificate of Weight;一套货物CIQ重量证书7. Force Majeure: 不可抗拒力The contracting parties shall be not responsible for the non-performance of term and conditions in case of usual recognized force majeure such as fire, flood, acts of God, war, unforeseen incidents, putting ashore facilities and/or heavy rain, storm, heavy snow, mine accidents etc.不是由于订约任何一方的过失，而是由于发生了通常人力不可抗拒的意外事故，例如：火灾、水灾、天灾、战争、无法事先采取预防措施的意外事故、暴风雨、大雪, 矿山事故等，则缔约双方可以免除履行合同的责任。8. Arbitration:仲裁All disputes in case the two parties not to reach an amicable arrangement to be referred to arbitration, arbitration to be held in the Arbitration Court of Hongkong.Awards by arbitration to be final and binding the parties, the fees for arbitration to be borne by the losing party, unless otherwise agreed.一旦争议产生，而缔约双方不能友好协商解决，则提交仲裁。仲裁将在香港仲裁法院裁定。仲裁裁决是终局的和有约束力的。除非缔约双方另有约定，否则仲裁费用将由败诉方承担。9. Other condition:其他条款- Any amendments and/or additional clause to the terms and conditions of this contract shall be in force only if mutually agreed and made in writing and duly approved by the contracting parties.除非缔约双方同意并且做出书面确认，否则对此合约的任何修订和/或附加条款视为无效。- Only the contract written in English is legal and binding. No other languages are acceptable.此合约以英文为准。其他语言视为无效。- All days stated in this contract are considered as calendar days unless otherwise specified.此合约里出现的所有日期为公历日期，除非双方另外确定。10.
