１１．装运通知知：一俟装运完毕，卖方应应即电告买方合同号、品名名，已装载数量、发票总金金额，毛重，运输工具名称称及启运日期等

s of commmodity, loaaded quantitty, invoice values, grooss weight, names of
veessel and chhipment datee by tlx/faxx.
１２．检验与索赔
inspection aand claims:

①卖方在发货前由＿＿＿＿＿＿＿＿检验机构对货物物的品质、规格和数量进行行检验，并出具检验证明书书。
the buyerrs shall bavve the qulitties, speciffications, qquatities off ths goods carefully iinspected byy the ＿＿＿＿＿＿＿ inspectionn authority,, which shalll issue insspection cerrtificate beefore shipmeent.
②货物到达目的的口岸后，买方可委托当地地的商品检验机构对货物进进行复检。如果发现货物有有损坏、残缺或规格、数量量与合同规定不符，买方须须于货到目的口岸的＿＿＿＿＿＿＿天内凭＿＿＿＿＿＿＿检验机构出具的检验证证明书向卖方索赔。

③如买方提提出索赔，凡属品质异议须须于货到目的口岸之日起＿＿＿＿＿＿天内提出；凡属属数量异议须于货到目的口口岸之日起＿＿＿＿＿＿天天内提出。对所装货物所提提任何异议应由保险公司、、运输公司或邮递机构负责责的，卖方不负任何责任。。

１３．．人力不可抗拒：如果人力力不可抗拒的原因造成本合合同全部或部分不能履约，，卖方概不负责，但卖方应应将上述发生的情况及时通通知买方。
force majeure: thhe sellers sshall not hoold any respponsibility for partiall or total nnon-performaance of thiss contractduue to force majeure. buut
the selleers shall addvise the buuyers on timme of such ooccurrence.
１４．争议之解决方式：
disputes setttlement:
任何何因本合同而发生或与本合合同有关的争议，应提交中中国国际经济贸易仲裁委员员会，按该会的仲裁规则进进行仲裁。仲裁地点在中国国。仲裁裁决是终局的，对对双方均有约束力。

１５．法律适用：

law applicaation:
本合同之签签订地、或发生争议时货物物所在地在中华人民共和国国境内或被诉人为中国法人人的，适用中华人民共和国国法律，除此规定外，适用用《联合国国际货物销售合合同公约》。
it wiill be goverrned by the law of the peoples reppublic of chhina under tthe circumsttances that the contracct is signedd or the gooods while thhe disputes arising aree in the peooples republlic of chinaa or the defffendant is chinese leggal person, otherwise iit is governned by uniteed nations cconvention oon contract for the intternational sale of gooods.
本合同使用的ｆｆｏｂ、ｃｆｒ、ｃｉｆ、、ｄｄｕ术语系根据国际商商会《incotermss 1990》。

１６．文字：本本合同中、英两种文字具有有同等法律效力，在文字解解释上，若有异议，以中文文解释为准。
