甲方：玩具供应商
Party A: Toy Supplier

鉴于甲方为生产或供应玩具产品，乙方为销售玩具产品的零售商，双方根据平等自愿、协商一致的原则，达成如下协议：
Whereas Party A provides toy products and Party B operates as a retail store selling toy products, the two parties have reached the following agreement on the basis of equality, voluntary participation, and mutual agreement:
一、合同背景
1. Contract Background
1.1 甲方为生产或供应多种类型的玩具产品，具有合法的经营资质，愿意将其产品销售给乙方。
Party A produces or supplies various types of toy products, with a legitimate business qualification, willing to sell its products to Party B.
1.2 乙方为一家在当地合法注册并经营的玩具零售商，具有销售玩具产品的相关资质和能力，意欲与甲方建立销售合作关系。
Party B is a toy retailer registered and operating legally in the local area, with the qualifications and capabilities to sell toy products, willing to establish a sales cooperation relationship with Party A.
二、合作内容
2. Cooperation Content
2.1 甲方向乙方提供玩具产品的供应，包括产品的品种、数量、质量标准等方面的要求。
Party A provides toy products to Party B, including the types, quantities, quality standards of the products, etc.
2.2 乙方负责经营场所的租赁、陈列、推广和销售工作，确保按照甲方的要求进行产品销售。
Party B is responsible for renting business premises, display, promotion, and sales work, ensuring that product sales are carried out according to Party A's requirements.
2.3 双方协商制定销售计划和促销活动，共同推动玩具产品的销售业绩，达成合作共赢。
Both parties will jointly develop sales plans and promotional activities to boost toy product sales performance, achieving a win-win cooperation.
三、合作期限
3. Cooperation Period
3.1 本合同的有效期为_____年，合同期满后，根据双方的协商情况，可以进行续签或变更。
The term of this contract is ____ years. Upon expiration, the contract can be renewed or changed based on mutual agreement.
3.2 任何一方均须在合同期满前_____天书面通知对方是否续签或中止合同，若未通知视为继续履行合同。
Either party must notify the other party in writing _____ days before the expiration of the contract whether to renew or terminate the contract. Failure to notify will be deemed as the continuation of the contract.
四、价格及结算
4. Pricing and Settlement
4.1 甲方与乙方商定的产品价格为____元/件，具体价格根据实际采购情况进行调整。

4.2 乙方应按照甲方规定的结算方式进行支付，如有延期付款的，应按照约定支付逾期费用。

五、品质保证
5. Quality Guarantee
5.1 甲方保证其提供的玩具产品符合国家相关标准，产品质量合格，对产品质量问题负责。
Party A guarantees that the toy products provided meet national standards, have qualified quality, and takes responsibility for quality issues.
5.2 乙方应按照甲方要求对产品进行合理保存、陈列，并在销售过程中遵循原有的产品使用建议。
Party B shall properly store and display the products as required by Party A, and follow the original product instructions during the sales process.
六、保密条款
6. Confidentiality Terms
6.1 双方应对因本合同履行所获得的商业信息及有关文件资料等保密，未经对方书面同意不得向第三方透露。
Both parties shall keep confidential the business information, related documents, and materials obtained during the performance of this contract, and shall not disclose it to third parties without written consent.
七、违约责任
7. Breach of Contract Liability
7.1 若任一方违反本合同的约定，应承担违约责任，通常应为违约方支付违约金以及承担由此产生的损失。
If either party violates the terms of this contract, they shall assume liability for breach of contract, usually paying liquidated damages and bearing any losses incurred.
七、其他事项
8. Other Matters
8.1 本合同未尽事宜，双方可另行协商确定，另行签署书面协议后生效。
Matters not covered by this contract can be separately negotiated and determined by both parties, and will take effect upon the signing of a separate written agreement.
八、争议解决
9. Dispute Resolution
9.1 本合同的履行及解释均适用中华人民共和国法律。如发生任何争议，双方应尽量友好协商解决；协商不成的，应向_______仲裁机构申请仲裁。
The performance and interpretation of this contract shall be governed by the laws of the People’s Republic of China. 九、生效和终止
