withitsprincipalplaceofbusinessat_(hereinaftercalledSeller)and( ) Co.Ltd.acorporationdulyorganizedandexistingunderthelawsof_,withitsprincipalofbusinessat_(hereinaftercalledAgent).Wherebyitismutulyagreedasfollows:Article1.AppointmentDuringtheeffectiveperiodofthisAgreement.SellerherebyappointsAgentasitsexclusiveagenttosolicitordersforproductsstipulatedinArticle4fromcustomersintheterritorystipulatedinArticle3andAgentacceptsandassumessuchappointment.Article2.AgentsDutyAgentshallstrictlyconformwithanyandallinstructionsgvienbySellertoAgentfromtimetotimeandshallnotmakeanyrepresentation,warranty,promise,contract,agreementordoanyotheractbindingSeller.SellershallnotbeheldresponsibleforanyactsorfailurestoactbyAgentinexcessoforcontrarytosuchinstructions.Article3.TerritoryTheterritorycoveredunderthisAgreementshallbeexpresslyconfinedto_(hereinaftercalledTerritory)Article4.ProductsTheproductscoveredunderthisAgreementshallbeexpresslyconnedto_(hereinaftercalledproducts)Article5.ExclusiveRightInconsiderationoftheexclusiverighthereingranted,Sellershallnotdicectlyofindirectly,sellofexportproductstoTerritorythroughotherchannelthanAgentandAgentshallnotsell,distributeorpromotethesaleofanyproductscompetitivewithofsimilartoProductsinTerritoryandshallnotsolicitoracceptordersforthepruposeofsellingProduetsoutsideTerrtory.SellershallrefertoAgentanyinpuiryororderforproductsSellermayreceivefromothersinTerritoryduringtheeffectiveperiodofthisAgreement.Aritcle6.MimimumTransactionandPriceIntheeventthatduringoneyear(12months)duringtheeffectiveperiodofthisAgreement,aggregatepaymentreceivedbySellerfromcustomersonordersobtainedbyAgentunderthisAgreementamountstolessthan_,SellershallhavetherighttoterminatthisAgreementamountstolessthan_,SellershallhavetherighttoterminatethisAgreementbygivingthirty(30)dayswrittennoticetoAgent.ThesellershallfromtimetotimefurnishtheAgentwithastatementoftheminimumpricesandthetermsandconditionsofsalesatwhichthegoodsarerespectivelytobesold.Article7.ordersInsolicitingorders,AgentshalladepuatelyadvisecustomersofthegeneraltermsandconditionsofSellerssalesnoteorcontractnoteandofanycontractbeingsubjecttotheconfirmationofacceptancebySeller.AgentshallimmediatelydispatchanyorderreceivedtoSellerforitsacceptanceorrejection.ThesellershallhavetherighttorefusetoexecuteoracceptanysuchordersoranypartthereofandtheAgentshallnotbeentitledtoanycommissioninrespectofanysuchrejectedorderorpartthereofrefused.Article 8.ExpensesAllexpensesanddisbursementssuchascabling,travelingandotherexpensesincurredinconnectionwiththesaleofproductsshallbefortheaccountofAgents,unlessespeciallyarranged.FurtherAgentshall,atthisownexpenses,maintainoffice(s),salesmenandotherssufficientfortheperformanceoftheobligationofAgentinconformitywithanyandallinstructionsgivenbySeller.Article9.CommissionSellershallpaytoAgentcommissionin_currencyattherateof_%ofthenetinvoicedsellingpriceofproductsonallorderdirectlyobtainedbyAgentacceptedbySeller.SuchcommissionshallbepayableeverysixmonthsonlyafterSellerreceivesthefullamountofallpaymentsduetoSeller.PaymentsofsuchcommissionshallbemadetoAgentbywayofremittance.Article10.InformationandReportBothSellerandAgentshallquartelyand/orontherequestofeitherpartyfurnishinformationandmarketreporteachothertopromotethesaleofproductsasmuchaspossible.AgentshallgiveSellershallfurnishwithorwithoutchargetoAgentreasonablequantityofadvertisingliteraturescatalogues,leaflets,andthelikeasAgentmayreasonablyrequire.Article11.SalesPromotionAgentshalldiligentlyandadequatelyadvertiseandpromotethesaleofProductsthroughoutTerritory.SellershallfurnishwithorwithoutchargetoAgentreasonablequantityofadvertisingliteraturescatalogues,leaflets,andthelikeasAgentmayreasonablyrequire.Article12.IndustrialPropertyRightsAgentmayusethetrade-mark(s)ofSellerduringtheeffectiveperiodofthisAgreementonlyinconnectionwiththesaleofProducts,providedthatevenaftertheterminationofthisAgreementAgentmayusethetrade-mard(s)inconnectionwiththesaleofProductsheldbyitinstockatthetimeoftermination.Agentshallalsoacknowledgethatanyandallpatents,trade-marks,copyrightandotherindustrialpropertyrightsusedorembodiedinProductsshallremaintobesolepropertiesofSellerandshallnotdisputetheminanyway.Ifanyinfringementbeingfound,Agentshallpromptlynotifysellerandasistsellertotakestepstoprotectitsright.Article13.durationThisAgreementshallenterintoforceonthesigningofbothparties.Atleastthree(3)monthsbeforetheexpirationoftheterm,bothSellerandAgentshallconsulteachotherforrenewalofthis-Agreement.IftherenewalofthisAgreementisagreeduponbybothparties, this-Agreementshallberenewedforanother_year(s)periodunderthetermsandconditionshereinsetforth,withamendments,ifagreeduponbybothparties.UnlessthisAgreementshallexpireon_.Article14.TerminationIncasethereisanynonperformanceand/orviolationofthetermsandconditionsincludingArticle5,6,11underthisAgreementbyeitherpartyduringtheeffectiveperiodofthisagreement,thepartiesheretoshalldotheirbesttosettlethematterinquestionaspromptandamicableaspossibletomutualsatisfaction.Unlesssettlementshouldbereacherwithinthirty(30)daysafternotificationinwritingoftheotherparty,suchotherpartyshallhavetherighttocancelthisAgreementandthelossanddamgessustainedtherebyshallbeindemnifiedbythepartyresponsibleforthenonperformanceand/orviolation.Furtherincaseofbandruptcyorinsolvencyorliquidationordeathand/orreorganizationbythethirdpartyoftheotherparty,eitherpartymayforthwithterminatethisAgreementwithoutanynoticetotheotherparty.Article15.ForceMajeureEitherpartyshallnotbeheldresponsibleforfailureordelaytoperformalloranypartoftheduetoActsofGod,GovernmetordersorrestrictionoranyothereventswhichcouldnotbepredictedatthetimeoftheconclusionoftheAgreementandcouldnotbecontrolled,avoidedorovercomebytheparties.Hovever,thepartyeffectedbytheEventofForceMajeureshallinformtheotherpartyofitsoccurrenceinWrittenassoonaspossible.Article16.TradeTermsandGoverningLawThetradetermsunderthisAgreementshallbegovernedandinterpretedundertheprovisionsof1990IncotermsandthisAgreementshallbegovernedastoallmattersincludingvalitity,construction,andpreformanceunderthelawsofPeoplesRepublicofChina.Article17.ArbitrationAlldisputesarisingfromtheperformanceoftheAgreementshouldbesettledthroughfriendlynegotiations.Shouldnosettlementbereachedthroughnegotiation,thecaseshallthenbesubmittedforarbitrationtotheChinaInternationalEconomicandTradeArbitrationCommission(Beijing)andtherulesofthisCommissionshallbeapplied.Theawardofthearbitrationshallbefinalandbindinguponbothparties.TheArbitrationfeeshallbebornbythelosingpartyunlessotherwiseawardedbythearbitrationorganization.WITNESSTHEREOF:ThisAgreementshallcomeintoeffectimmediatelyafteritissignedbybotypartiesintwooriginalcopies;eachpartyholdsonecopy.（Seller）Corp.
