1. Parties
Party A: Chinese Company (Address: XXXX)
Party B: Foreign Company (Address: XXXX)
2. Purpose
Party A and Party B hereby agree to engage in a joint venture, in order to manufacture, market and sell products in the Chinese market.
3. Scope of Work
The scope of work for the joint venture shall include:
• The design, development, manufacture and sale of products in the Chinese market;
• The establishment of marketing channels, sales networks and service networks in China;
• The establishment of manufacturing facilities, warehouses and technical research and development centers in China;
• The sharing of technology, expertise and resources between Party A and Party B.
4. Investment
Party A shall provide funding in the amount of RMB XXXX to the joint venture, and Party B shall provide funding in the amount of USD XXXX.
5. Management
The joint venture shall be managed jointly by Party A and Party B, with Party A holding a XX% share and Party B holding a XX% share of the venture.
6. Profit and Loss
The profits and losses of the joint venture shall be shared by Party A and Party B in proportion to their respective shareholdings.
7. Intellectual Property
The intellectual property rights of any products developed or manufactured by the joint venture shall be jointly owned by Party A and Party B.
8. Duration and Termination
This contract shall be valid for XX years, and may be renewed by mutual agreement between Party A and Party B.
Either Party may terminate this contract by giving written notice to the other Party XX days in advance, in the event of a major breach of contract by the other Party.
9. Governing Law and Dispute Resolution
This contract shall be governed by the laws of the People’s Republic of China.
Any dispute arising from or related to this contract shall be resolved through consultation between Party A and Party B. If the dispute cannot be resolved through consultation, either Party may refer the dispute to the China International Economic and Trade Arbitration Commission for arbitration.
10. Miscellaneous
Any changes or amendments to this contract must be made in writing and signed by both parties.
This contract is written in both Chinese and English, and both versions shall be equally valid. In case of any discrepancy between the Chinese and English versions, the Chinese version shall prevail.
This contract constitutes the entire agreement between Party A and Party B with respect to the joint venture, and supersedes all prior negotiations and understandings between the Parties.
