一、保密内容：本协议所称“保密内容”是指一切原创技术、商业计划、财务数据、销售数据、管理信息等，且不论是以文字形式、口头讲述、书面资料、电子文件等介质形式的披露。
二、保密责任：乙方在得知保密内容后，应当对保密内容予以保密，并且不得擅自向第三方透露、泄露或使用。乙方未履行保密义务而导致甲方损失的，应当承担相应的法律责任。
三、保密期限：保密期限为协议签署日起至（年/月/日），在保密期限届满之后，乙方有义务将保密内容归还给甲方，不得再予以使用或留存。
四、违约责任：乙方若违反本协议的任何一项规定，甲方有权要求乙方承担违约责任，并有权采取法律手段维护自身的权益。

Whereas Party A (hereinafter referred to as “Party A”) is a (company/organization/institution); Party B (hereinafter referred to as “Party B”) is another (company/organization/institution), in order to facilitate the mutual business activities, Party A and Party B hereby agree as follows in this Non-disclosure Agreement:
1. Confidential Information: The term “Confidential Information” as used in this Agreement shall mean all original technology, business plans, financial data, sales data, management information, etc., disclosed in any form including written, oral, or electronic.
2. Confidentiality Obligation: Upon learning the Confidential Information, Party B shall keep the Confidential Information confidential and shall not disclose, reveal or use it for any unauthorized purposes. Party B shall be liable for any loss caused to Party A due to breach of this obligation.
3. Term of Confidentiality: The term of confidentiality shall commence from the date of this Agreement and shall continue until (Year/Month/Day). Upon expiration of the term, Party B shall return the Confidential Information to Party A and shall not use or retain it thereafter.
4. Breach of Agreement: In the event of breach of this Agreement by Party B, Party A shall have the right to demand damages for such breach and to take legal action to protect its rights
5. Amendment: This Agreement shall come into force after being signed and sealed by both parties. Any matters not covered herein shall be discussed and decided by the parties and signed on the hardcopy of this Agreement.

Whereas Party A and Party B need to share certain confidential information in their business cooperation, in order to protect the legitimate rights and interests of both parties, this Non-disclosure Agreement is hereby formulated.
1. Confidential Information: The term “Confidential Information” in this Agreement includes but is not limited to business secrets, business plans, customer data, and other sensitive information.
2. Confidentiality Obligation: Party B shall strictly keep confidential the confidential materials provided by Party A, and shall not disclose such materials to any third party without explicit consent, or use them for any unauthorized purposes.
3. Term of Confidentiality: This Agreement shall come into effect upon being signed and sealed by both parties and shall continue until (Year/Month/Day). Upon expiration of the term, Party B shall return or destroy all information related to the confidential content.

Whereas Party A and Party B need to further cooperate on certain technology or business secrets, in order to ensure the confidentiality of relevant information, this Non-disclosure Agreement is specifically formulated.
1. Confidential Information: Confidential Information includes but is not limited to technical data, business plans, market research data, and other sensitive information.
2. Confidentiality Obligation: Party B shall undertake to keep confidential the confidential materials provided by Party A, and to use them reasonably according to the agreed scope, without disclosing them to third parties or using them for other purposes without authorization.
3. Term of Confidentiality: The term of confidentiality under this Agreement shall be from the date of signing until (Year/Month/Day), at which time Party B shall destroy or return all confidential materials to Party A.
4. Confidentiality Responsibility: In the event of disclosure or improper use of the confidential materials by Party B resulting in losses to Party A, Party B shall be liable for corresponding economic compensation.
