第一条 项目背景
1.1 甲方是一家具有核电工程设计与施工经验的公司，拥有一支经验丰富的工程设计与施工团队。
1.2 乙方是一家具有承包核电工程总包项目能力的公司，拥有强大的施工队伍和管理团队。
第二条 项目范围
2.1 甲方委托乙方承包核电工程总包项目，包括但不限于设计、采购、施工、监理等全过程服务。
2.2 乙方应按照相关法律法规和甲方要求，完成核电工程总包项目的各项工作，确保工程质量和工期的按时保质完成。
第三条 服务内容
3.1 乙方应当按照甲方提供的设计图纸和技术要求，进行全面的施工准备工作。
3.2 乙方应当严格按照工程进度计划，合理安排施工工序，保障工程进度和质量。
3.3 乙方应当配合甲方进行施工现场检查和质量验收工作，确保施工质量符合相关标准和要求。
第四条 价格及支付方式

第五条 合同变更

第七条 合同解除

第八条 争议解决
8.1 若因履行本合同发生争议，双方应首先通过友好协商解决。

第九条 其他
9.1 本合同未尽事宜，由双方协商解决。

Whereas Party A has rich experience in nuclear power engineering design and construction, and Party B has excellent general contracting capabilities, both parties, in the spirit of mutual benefit and win-win cooperation, have reached the following cooperation agreement:
Article 1 Background of the Project
1.1 Party A is a company with experience in nuclear power engineering design and construction, and has an experienced engineering design and construction team.
1.2 Party B is a company with the ability to contract for nuclear power engineering general contracting projects, and has a strong construction team and management team.
Article 2 Scope of the Project
2.1 Party A entrusts Party B to contract for the nuclear power engineering general contracting project, including but not limited to design, procurement, construction, supervision, and other full-process services.
2.2 Party B shall, in accordance with relevant laws and regulations and the requirements of Party A, complete various tasks of the nuclear power engineering general contracting project to ensure the quality and timely completion of the project.
Article 3 Service Content
3.1 Party B shall carry out comprehensive construction preparation work according to the design drawings and technical requirements provided by Party A.
3.2 Party B shall reasonably arrange construction procedures in accordance with the project schedule, ensuring the progress and quality of the project.
3.3 Party B shall cooperate with Party A in conducting construction site inspections and quality acceptance work to ensure that the construction quality meets the relevant standards and requirements.
Article 4 Price and Payment Method
4.1 The contract price for the nuclear power engineering general contracting project is (specific amount), including all expenses for design, procurement, construction, supervision, etc.
4.2 Party A shall timely pay the contract price according to the agreed payment proportion and time nodes based on the project progress and acceptance situation.
Article 5 Contract Change

5.2 The change agreement shall specify the changed content, fee adjustment, and schedule adjustment, and shall take effect after being signed and confirmed by both Party A and Party B.
Article 6 Guarantee and Compensation
6.1 Party B guarantees that the construction shall be carried out in accordance with the agreed quality requirements and standards to ensure that the project complies with relevant laws and regulations.
6.2 Party B shall bear the losses caused by construction quality issues or project delays, compensating according to the agreed compensation method.
Article 7 Contract Termination
7.1 If the contract cannot be continued due to force majeure or other reasons, both parties shall resolve it amicably and complete the termination procedures as soon as possible.
7.2 After the contract is terminated, both parties shall pay the corresponding amount based on the completed project quantity, and shall not hold each other liable for other responsibilities.
Article 8 Dispute Resolution
8.1 If a dispute arises in the performance of this contract, the parties shall first attempt to resolve it through amicable negotiation.
8.2 If no consensus can be reached through negotiation, the dispute shall be submitted to an arbitration institution for arbitration, and the arbitration award shall be final and binding.
Article 9 Miscellaneous
9.1 Matters not covered in this contract shall be resolved through mutual consultation.
9.2 This contract, in duplicate, shall come into effect upon signature and seal by both parties, with equal legal effect.
