鉴于甲方有意委托乙方为其提供一定期间内的非人力资源服务，经甲、乙双方友好协商，谨制定本合同书，并共同遵循合同所列之解决方式及方法履行（合同所提及之清单亦设为本合同之一部分）。
第一 权利及义务条款
1.1 乙方负责咨询、培训某市场的学生，并向甲方提交相应的服务方案、进度方案等计划及报告。
1.2 乙方有义务按时按质地完成甲方给予的任务，达到双方商定的服务目标及要求。
1.3 甲方有权对乙方提供的服务进行评估，若不符合双方要求，甲方有权终止合同并要求返还相应款项。
1.4 合同期内，双方应保持密切联系，随时沟通，确保合同顺利履行。
1.5 乙方应保证所提供的服务不侵犯他人的知识产权，并承担由此衍生的一切法律责任。
1.6 甲方应按时支付乙方所提供的服务费用，任何因付款延误而产生的损失由甲方承担。
1.7 本合同履行过程中如有争议，双方应友好协商解决；若无法协商一致，可向有管辖权的法院提起诉讼。
第二 价款及结算方式
2.1 本合同期限为______年，具体服务内容及费用详见附件《服务合同清单》。
2.2 甲方应按照乙方提供的服务清单及合同约定，按期支付服务费用。
2.3 服务费用一经支付，不可退还，除非有违约行为或双方另有约定。
2.4 按季度/年度为支付期限，后付款形式。即每季度末/年度末结算上一季度/年度的服务费用。
第三 违约责任
3.1 若一方违反了合同的具体条款，对方有权要求其承担相应的违约责任。
3.2 违约方应承担由此而造成的一切经济损失，并按照合同规定支付相应的违约金。
3.3 一方违约造成另一方损失的，违约方应及时给予赔偿。
3.4 若双方都违约，应友好协商解决，无法解决的，可向有管辖权的法院提起诉讼。
第四 合同解除
4.1 双方经友好协商一致，可以解除本合同。
4.2 如一方违反合同的重大条款或严重影响合同履行的，对方有权解除合同，并要求追究违约责任。
4.3 合同解除后，双方应按照合同约定清算未结算的费用，并归还对方相应的资料及资产。
第五 其他约定
5.1 本合同未尽事宜，由双方协商解决。
5.2 本合同自双方签字生效，有效期至服务完成或解除合同为止。
5.3 本合同一式两份，甲、乙双方各执一份，具有同等法律效力。
5.4 本合同适用中华人民共和国法律，未尽事宜均依据该法规定。

Whereas, Party A intends to entrust Party B to provide non-human resource services for a certain period of time. After friendly negotiation between both parties, this contract is hereby formulated and both parties shall follow the resolution methods and procedures outlined in the contract (the list mentioned in the contract is also part of this contract).
Clause 1 Rights and Obligations
1.1 Party B is responsible for consulting and training students in a certain market and submitting corresponding service plans, progress plans, and reports to Party A.
1.2 Party B has the obligation to complete the tasks assigned by Party A in a timely and quality manner, and achieve the service goals and requirements agreed upon by both parties.
1.3 Party A has the right to evaluate the services provided by Party B, and if they do not meet the requirements of both parties, Party A has the right to terminate the contract and request the return of the corresponding payment.
1.4 During the contract period, both parties shall maintain close contact, communicate at any time, and ensure the smooth implementation of the contract.
1.5 Party B shall ensure that the services provided do not infringe upon the intellectual property rights of others and shall bear all legal responsibilities arising therefrom.
1.6 Party A shall pay the service fees provided by Party B on time. Any losses arising from delayed payment shall be borne by Party A.
1.7 In case of any disputes during the performance of this contract, both parties shall resolve them through friendly consultation. If they cannot reach a consensus, they may bring a lawsuit to the competent court.
Clause 2 Price and Settlement Method
2.1 The term of this contract is ____ years, and the specific service content and fees are detailed in the attached "Service Contract List".
2.2 Party A shall pay the service fees according to the service list provided by Party B and the contract agreement, on time.
2.3 Once the service fees are paid, they are non-refundable, unless there is a breach of contract or a separate agreement between both parties.
2.4 Payment is made on a quarterly/annual basis. Payment is made at the end of each quarter/year for the service fees of the previous quarter/year.
Clause 3 Default Liability
3.1 If either party violates the specific terms of the contract, the other party has the right to demand that the defaulting party assume corresponding default liability.
3.2 The defaulting party shall bear all economic losses caused thereby and pay the corresponding liquidated damages according to the contract.
3.3 If one party's default causes losses to the other party, the defaulting party shall promptly compensate for them.
3.4 If both parties default, they shall resolve the matter through friendly consultation. If they cannot resolve it, they may file a lawsuit to the competent court.
Clause 4 Termination of Contract
4.1 Both parties may terminate this contract by consensus through friendly consultation.
4.2 If either party violates a major provision of the contract or severely affects the performance of the contract, the other party has the right to terminate the contract and seek accountability for the breach.
4.3 After the termination of the contract, both parties shall settle the outstanding fees according to the contract, and return the corresponding documents and assets to each other.
Clause 5 Other Agreements
5.1 Matters not covered in this contract shall be resolved through negotiation between the two parties.
5.2 This contract takes effect upon the signatures of both parties and remains valid until the completion of the service or the termination of the contract.
5.3 This contract is made in duplicate, with Party A and Party B each holding one copy, and both copies have the same legal effect.
5.4 This contract is governed by the laws of the People's Republic of China, and any matters not covered therein shall be governed by said laws.
