律师聘用协议--风险收费
in consideration of the legal services to be rendered by zhang, wang lee (hereinafter referred to as “law firm”) for any claim that bmi inc. of u.s.a. (hereinafter referred to as “client”) may have against the parties for default payment of a debt owed, the client does employ said law firm to commence and prosecute such claim.
考虑到张王李律师事务所（下文称为“律师事务所”）愿为美国bmi企业（下文称为“委托人”）提供诉讼法律服务以处理相关债务纠纷, 委托人特此聘用该律师事务全权处理相关法律事务。
client agrees to pay, and hereby assigns to law firm, a lien of 33% of all amounts recovered on behalf of client by settlement before the filing of a lawsuit or other legal proceedings; 33% of all amounts recovered after the filing of a lawsuit or other legal proceedings but prior to trial; and 33% of all amounts recovered or awarded upon trial.
不管在提起诉讼之前双方达成庭外和解, 还是诉讼提起以后但在审判前双方达成和解, 仰或是经过庭审判决得到赔偿, 委托人同意向律师事务所支付获偿额33%作为律师费。
all necessary costs and expenses in the prosecution of the case shall be the responsibility of the client. if law firm advances funds on behalf of the client for any costs or expenses, client agrees to reimburse law firm for such advancements.
在案件诉讼过程中全部必需费用都应由委托人支付。假如律师事务所为委托人预先垫付任何费用, 委托人同意偿还相关垫付费用。
all expenses and charges of any nature made in conjunction with the case are not litigation costs and will be paid by client. in the event of a recovery, client agrees that law firm may pay any of these unpaid bills from client’s share of the recovery. if client recovers nothing, it is understood that law firm is not bound to pay any of these expenses.
委托人同意因办理本案所产生非诉讼费用也应由委托人支付。在得到获偿赔付情况下, 律师事务所能够从委托人应得赔付金额中扣除未付非诉讼费用。假如委托人得不到获偿, 委托人也须支付这些费用。
law firm, in its absolute discretion, may withdraw at any time from the case upon notice to client if investigation discloses no basis for further action on behalf of client, or if client fails to cooperate in law firm’s prosecution of the case. associate counsel may be employed at the discretion and expenses of law firm.
假如调查表明案件无深入诉讼理由, 或委托人在诉讼中不予配合, 一经通知委托人, 律师事务全部权自主决定于任何时候退出案件代理。
client agrees not to compromise the claim without law firm’s consent and law firm is not authorized to do so without the consent of the client.
委托人承诺未经事务所同意不得对本案作任何妥协和让步, 且未经委托人同意律师事务所也不得作任何妥协和让步。
the fee for services rendered by law firm does not include the perfecting of an appeal on
behalf of the client or the representation of the client if an appeal has been perfected by the adverse party. fees for appeal shall be subject to renegotiation between law firm and client. 本协议约定付给律师事务法律服务费不包含代理委托人提起上诉或因对方当事人上诉而应诉所产生费用。上诉费用应由律师事务所与委托人重新约定。
client agrees to keep the law firm advised of his whereabouts at all times and to cooperate in the preparation and trial of the case, to appear on notice for depositions and court appearances, and to comply with all reasonable requests made of him in connection with the preparation and presentation of this case.
委托人同意随时通知律师事务所其行踪, 在案件准备和庭审期间参与合作, 接到庭外当面质证和庭审通知时按时到场, 并推行在案件准备和庭审过程中对其全部合理要求。
client hereby authorizes law firm to provide all information, including doctors’ reports,
hospital records, etc., and any and all pictures to the insurance company or the attorney for the adverse party.
据此, 委托人授权律师事务所向对方保险企业或律师提供相关全部信息, 包含医生诊疗汇报, 医院病例统计等等, 以及任何相关照片。
no presentation has been made regarding what amount, if any, client may be entitled to recover in this case, nor have any warranties been made regarding the outcome of this matter. 律师事务所并未对赔付额作任何表述或担保, 也未对案件诉讼结果作出任何确保。

甲方现就与 相关事宜, 委托乙方代理该案。双方经平等协商, 签订以下条款, 共同遵照推行: party a hereby with respect to matters entrusted party b as the agency of the above case. the two parties through consultation hereby agree upon, and shall be bound by, the following terms:
1. 委托及人员指定/agency officers designated
1.1. 乙方接收甲方委托, 指派 律师办理甲方上

party b accepted the entrustment of party a and appointed lawyer to deal with the transaction, negotiation, conciliation, mediation, the first trial proxy, the second trial proxy, the application for execution of the above matters of party a.

2.1. 乙方代理权限为 1、 通常代理。或2、 代为认可、 放弃、 变更诉讼请求, 进行和解、 调解, 提起反诉或者上诉, 申请实施, 代为签收、 签发法律文书。
the agency authority of party b is: 1.general agency; 2. to admit, waive or modify claims, to participate in reconciliation or mediation, to file a counterclaim or an appeal, to apply for execution, to sign or issue legal instruments on party a’s behalf.
3. 甲方义务/responsibility of party a
3.1. 主动配合乙方律师相关工作, 提供必需文件资料, 并对所提供文件资料真实性、
正当性、 正确性及完整性负责;
party a should cooperate with the work of party b positively and provide necessary materials. party a should be responsible for the authenticity, legality, accuracy and completeness of the documentation provided;
3.2. 甲方必需如实向乙方律师陈说案情, 提供相关本案证据。乙方接收委托后, 发觉
甲方捏造事实弄虚作假, 有权终止法律服务, 依约所收费用不予退还;
party a should present its case to party b truthfully and provide evidence of the case. after accepting the commission, party b has the right to terminate the legal services if party a fabricates the facts or frauds. the fees which have been charged according to the contract are non-refundable.
3.3. 依据本协议按时、 足额向乙方支付法律服务费。
party a should, in accordance with this contract, pay the legal service fees in full and on time to party b.
4. 乙方义务/responsibility of party b
4.1. 乙方应勤勉尽责、 谨慎地实施甲方委托法律事务, 依法维护甲方正当权益;
party b should be positive and responsible for party a to provide services within the scope of the contract, and to do its utmost to safeguard the interests of party a;
4.2. 不管何时, 乙方对服务过程中获知甲方任何秘密均负有保密义务, 非由法律要求、
司法裁决或者甲方同意, 不得向任何第三方披露;
whenever, informed of party a’s all information, party b should undertake the duty of confidentiality obligations, and should not disclose them to any
third party without the permission of party a, laws or judicial decisions;
4.3. 乙方对甲方业务应该单独建档, 应该保留完整工作统计, 对包含甲方原始证据、
法律文件应该妥善保管。
party b shall keep separate files and complete documents of the work records
for party a. the original evidence and legal files related to party a should be kept properly.
5. 收费/charge
5.1.
5.2. 因本协议工作需要, 乙方律师在武汉中心城区（不包含江夏、 新洲、 汉南、 黄陂、
蔡甸、 东西湖等远城区）内花费交通费由乙方负担。
due to the needs of the legal work of this contract, party b’s transportation expenses spent in the wuhan center city(not including jiangxia, xinzhou, hannan, huangpi, caidian, east and west lake and other remote city areas) should be borne by party b.
5.3. 因本协议工作产生文印费、 翻译费、 相关部门收费及武汉中心城区外交通、 食
宿等必需费用由甲方负担。
due to the legal work of this contract, the text printed fees, the translation fees, the government fees and charges, transportation expenses, accommodation, catering and other necessary expenses that may occur outside the wuhan center city should be borne by party a.
6. 通知和送达/ notice and service
6.1. 甲乙双方因推行本协议而相互发出或者提供全部通知、 文件、 资料, 均以本协议
所列明地址、 传真或电子邮件送达, 一方假如迁址或者变更电话、 传真、 电子邮件, 应该以书面形式通知对方。
all notifications, files and data mutually issued by both parties arising from the performance of this agreement should be served according to the address, fax or e-mail specified in this agreement; any party shall notify the other party in writing in the occasion of relocation or changing the phone, fax, or e-mail.
6.2. 使用传真方法, 在发出传真时视为送达; 以邮寄方法, 挂号寄出或投邮日视为
送达; 使用电子邮件方法, 邮件发送成功视为送达。
by fax, the fax is deemed served upon the issue; by mail, the mail is deemed
served on the date of posting or registering; by e-mail, the message is deemed served when sent successfully.
7. 协议终止/ termination of agreement
7.1. 本协议双方经协商一致后可终止本协议。
upon the agreement of both parties the contract can be terminated.
7.2. 本代理协议包含纠纷各方达成和解, 或一审（二审）判决、 调解、 案外和解及撤
回起诉, 则属于乙方律师完成代理工作, 本协议终止。
if the parties of the dispute involved in this agreement reached a settlement agreement, mediation, reconciliation or got the first trial (second trial) judgment, or withdrew the prosecution, the agency work of party b is completed and this agreement is terminated.
7.3. 本协议终止后, 双方应进行对应清理和工作交接。
upon the termination of this agreement, the parties shall make the appropriate cleanup and transfer of work.
8. 争议处理/dispute resolution
8.1. 双方在推行本协议过程中发生争议, 由双方协商处理。
in the course of performance of this agreement, disputes should be resolved through friendly consultations.
8.2. 协商不能处理, 可向武汉仲裁委员会申请仲裁。
if consensus can’t be agreed upon, any party may apply to the wuhan arbitration commission for arbitration.
9. 其她/others
9.1. 本协议一式两份, 双方各执一份, 含有相同法律效力。
this contract has two originals; party a and b each has one. each one has the equal legal effect.
9.2. 本协议未尽事宜由甲、 乙双方另行协商处理。
parties hereto may revise or supplement the matters not mentioned herein through negotiation.

委托方因 一案, 委托上海四维乐马律师事务所作为代理人, 受托方接收委托方委托, 经双方协商, 达成以下委托代理协议:
party a hereby aut
horizes party b to be the attorney-at-law in the case (the first instance) of both parties agree to enter into the agreement therefore on the following terms.
一、 受托方指派受托方应根据《中国律师法》相关要求, 保护委托方正当权益, 参与处理本案相关活动。
1. party a does hereby grant and, attorneys-at-law of to be the legal representatives of the above-mentioned case. party b shall protect the legally rights and interests of party a according to “the lawyers law of the people’s republic of china”.
二、 委托方应向受托方叙述真实案情, 并提供相关证据; 受托方发觉委托方未能叙述真实案情, 或提供虚假证据时, 有权终止代理。委托方同意, 因上述情况引发本案终止, 将支付已发生律师费和其她费用（膳宿费、 差旅费、 通讯费和办案杂费等）。
2. the evidences, documents and proofs concerned provided by party a to party b should be based on real facts. party b may terminate the agreement when the evidences, documents and proofs of the case stated are found not authentic. party a agrees to pay the attorney fees and other costs and expenses (including expenses for
board and lodging, business trips, communications, etc.,) taken under such circumstances.
三、 委托方在向受托方提交证据材料影印件时应该同时提交原件以供受托方查对, 原件由委托方保管; 如必需由受托方保管时, 委托方可向受托方索要收妥该原件材料凭证及清单。受托方有义务对委托方商业秘密和个人隐私给予保密, 但向司法机关、 国家行政主管机关和为办理案件需要, 经委托方同意第三人披露不在此限。
3. without written consent of party a, party b agrees not to disclose and/or spread to any third party (excluding the hearing courts), any material and information, which provided by party a and/or acquired by party b during the period of agency.
四、 受托方代理本案期间, 因职务性疏忽或过失造成委托方经济损失, 依法应由受托方负担经济赔偿责任, 受托方须对此损失给予赔偿。受托方责任赔偿限额和追诉时效为司法行政机关要求, 受托方投保保险企业《律师职业责任保险条款》要求赔偿限额和追诉时效。
4. because of the position of the fault or neglect of the economic loss caused by party b, party b shall be entrusted to assume economic liability and shall compensate for such losses. party b’s liability limitation and the limitation of prosecution was made by the judicial administrative organ and the insurance company to lawyer
occupation liability insurance clause provisions of the limitation of compensation and limitation of prosecution.
五、 本案基于委托方对真实案情叙述和受托方对案件难易程度评定, 双方经协商, 同意律师费按以下措施支付:
按工作小时收费: 2500元人民币/时, 按阶段提供工作统计, 按阶段计算工作小时并支付律师费。
上述律师费不包含为办理本案件所花费膳宿费、 差旅费、 翻译费、 通讯费和其她办案杂费。
委托方未立刻支付律师费或对工作时间有异议, 受托方有权临时停止工作。
5. based on the statement and comment made by party a, both parties agree that, the attorney fees will be paid as follows:
the attorney fees shall be paid according to the working time: rmb2500/hour, we will provide the detailed working record and the fees should be paid according to the record.
the above-mentioned attorney fees do not include the costs for board and lodging, traveling, communication, etc., arising in the captioned case. party b will reimburse such costs by bills.
if party a does not pay the amount accordingly, party b would suspend the work.
六、 委托代理协议一经签署, 任何一方不得无故解除。
因客观情况发生改变, 致本协议代理事项已不复存在（如: 诉讼案件法院不予受理、 当事人死亡等）, 委托方提出解除本协议要求, 经受托方同意, 能够解除本协议。在此情况下, 委托方同意依据律师工作量、 办案进程、 案件处理效果等原因支付与之相当律师费和其她费用, 受托方业已收取律师费之超出部分应予退还。受托方还未开始工作, 退还部分不超出全部律师80％; 受托方业已开始工作, 退还部分不超出全部律师费50％。
委托方因其她正当理由提出提前解除本协议, 经受托方同意能够解除本协议, 在考虑律师工作量、 办案进程、 案件处理效果等原因后, 委托方同意支付与之相当律师费和其她费用, 受托方业已收取律师费之超出部分应予退还。退费限额为全部律师费50％。
6. any party shall not terminate the contract without any reason after signing, but if the party has some proper reasons, both can terminate the contract through consultation.
because of the objective situation changes, such as the death of the parties, it may terminate the contract. in this case, party a agrees to work, the process, the case law treatment effect factors such as payment of attorney fees and other expenses, party b has charged attorney fee beyond the refundable. party b has yet to begin work, a partial refund of no more than80% of all attorney fees; party b already start working, refund part does not exceed50% of all attorney fees.
七、 受托方代理权限为: 全权委托 。
7. the agreement will remain in full force from the date of conclusion till the settlement of the case (the first instance).
八、 本协议使用期自签署协议之日起至 一审（判决、 仲裁裁决、 裁定、 和解、 调解、 撤诉、 、 ）完成时止。
8. the validity of the contract is from the date of signing till the first instance.
九、 本协议如有未尽事宜, 双方可另行协商签署补充协议, 由本协议起
一切争议, 可由上海市律师协会进行调解, 调解不成, 由上海市杨浦区人民法院处理。
9. parties can conclude the supplementary contract, the disputes arise from this contract can be mediate by shanghai lawyer bar, if cannot conclude the mediation, then shanghai yangpu district court would get the jurisdiction.
