Buyers: Boston Trading Co. Ltd.
This Sales Contract is made by and between the Sellers and Buyers whereby the Sellers agree to sell and the Buyers agree to buy the under-mentioned goods according to the terms and conditions stipulated below:
1. Name of Commodity: Fountain Pens
2. Description&Specification: Model LC001
3. Quantity: 1000 dozen
4. Unit Price: US$20 CFRC5 Boston
5. Total Amount: US $ 20,000(SAY USDOLLARS TWENTY THOUSAND ONLY)
6. Packing: In boxes of one dozen each, 20 boxes to a carton
7. Time of Shipment: To be effected during March/ April
8. Port of Shipment: Beijing
9. Port of destination: Boston
10. Insurance: To be covered by the Buyers
11. Payment: By confirmed, irrevocable L/C payable by draft at sight to reach the sellers and to remain valid for ingotiation in China until 15 days after the time of shipment.
12. Force Majeure:
Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.
13. Arbitration:
All disputes arising from the execution of this agreement shall be settled through friendly consultations. In case no settlement can be reached, the case in dispute shall then be submitted to the Foreign Trad Arbitration Commission of the China Council for the Promotion of International Trade for Arbitration in accordance with its Provisional Rules of Procedure. The decesion made by this commission shall be regarded as final and binding upon both parties. Arbitration fees shall be borne by the losing party, unless otherwise awarded.
