RECITALS:

The Parties enter into this Agreement based on mutual benefits and friendly negotiation.

协议双方本着和谐互利、和谐原则签订本协议。

The Parties have expressly represented respectively that: the BUYER has the capacity and willing to buy the commodity under this Agreement; the SELLER is the legal distributor or beneficial owner of the commodity under this Agreement.

双方各自明确表达：买方有能力并乐意购买协议中规定的产品; 卖方方是协议规定的产品的合法经销商或所有者。

The SELLER agrees to sell Manganese Ore to the BUYER and the BUYER agrees to buy

Manganese Ore from the SELLER under the terms and conditions contained in this Agreement:

CLAUSE 2 : Commodity产品

2.1 Lumpy Ores (hereinafter called the “Commodity”) – 块矿(以下称“产品”)

CLAUSE 3 : Delivery, Packing and Quantity 运送，包装，数量

3.1 Each week 1.000 tons ,Each month 4.000tons, total 12 months

每星期1.000吨. 每月4.000吨, 共计12个月

3.2 SELLER shall deliver the first shipment at minimum of 1.000MT +/-10% within 5days period from signing of the contract.

卖方须在协议签订好5天内备好1.000公吨+/-10%矿准备装运。

3.3 SELLER appoint the transport company, the transport costs is agreed by the BUYER.

由卖方指定货柜运送公司, 货柜运送费用必须经买方批准

CLAUSE 4 : Specifications规格

4.1 The chemical analysis of Ores (dry basis) and its physical characteristic shall conform to the following:(It’s up to seller’s test report)

CLAUSE 5 : Price 价格

5.1. As mutually agreed upon the price of shipment per wet metric ton, basic Moisture is 8 %,

of Manganese Ore FOB BUYER’S Cargo vessel shall be as follows:

双方批准按FOB条款(含水率8 %为基准)制定如下锰矿价格:

5.2 Settlement currency: UNITED STATES DOLLAR (“USD”). The price is US

Dollar : /MT FOB on the basis of Mn content 47% for Manganese Ore

5.3 First shipment contract amount is say US.dollars three hundreds and five thousand only.

5.4 Rejection of goods is permitted, however the BUYER has the option to buy the ores based on negotiated price with the SELLER. The assay of ores are to be performed at the stockpile area before loading to the container. The cargo hauling from the stockpile and loading to the ship shall be handled by the SELLER.

允许拒收货品，但假如买方批准，可与卖方协商一个新的价格。化验的样品应在装货前从堆场提取。从堆场到码头以及装船工作由卖方负责。

5.5 Price adjustment based on assay result:

价格根据检查结果调整。

5.5.1 If the assay of the manganese ore is below 45%, the BUYER has the option to reject . If the assay is below 47 %, the buyer can impose a penalty of USD 4.0 per 1.00% decrease, fractions pro rata.

假如锰的含量低于45％，则买方有权拒收；假如含量低于47%，每少1％含量，每吨

度单价扣4.0美元。局限性1％按比例计算。

5.5.2 If the assay of the Manganese is above 47 %, the price shall be increased by USD4.0per 1.00% increase, fractions pro rata.

假如锰的含量高于47％，每高1％含量，每吨度单价加4.0美元，局限性1％的按比例计

算。

5.5.3. IF SULPHUR CONTENT IS OVER 0.08%, THERE WILL BE A PENALTY OF USD0.15 PER DRY METRIC TON FOR EACH 0.01% OF SULPHUR IN EXCESS OF 0.08%, OR FRACTION PRO-RATA. REJECTION UP 0.1%

假如硫（SULPHUR）含量高于0.08%，高于0.08%的每0.01%每干吨的罚款为美金0.15元，实际罚款按此比例计算。超过0.1%拒收。

5.5.4. IF POSPOROUSE CONTENT IS OVER 0.12%, THERE WILL BE A PENALTY OF USD0.15 PER DRY METRIC TON FOR EACH 0.01% OF POSPOROUSE IN EXCESS OF 0.12%, OR FRACTION PRO-RATA. REJECTION UP 0.15%

假如磷（POSPOROUSE）含量高于0.12%，高于0.12%的每0.01%每干吨的罚款为美金0.15元，实际罚款按此比例计算。超过0.15％拒收。

5.5.5. In the water less than 8 percent in the fixed price. Exceed this standard, each in excess of one percentage point lower priced goods prices 1%.

内水分在8 %以内价格不动。超过此标准，每超过一个百分点货品价格单价减少1%。

CLAUSE 6 : Weighing/Sampling & Analysis计重，取样，检查

6.1 Weighing:计重

6.1.1. The dry quantity shall be determined by deducting the free moisture for wet quantity

and shall be the basis of the payment. If there are differences of weight outturn over 0.5%, then BUYER and SELLER in order to avoid dispute may consult and settle the differences.

干重为湿重扣掉水份的重量，并做为付款的依据。假如双方对重量的认知差别大于0.5％，则双方应通过和谐协商来避免纠纷。

6.1.2. Final payment to be made basis the average of the final result for Mn content obtained by CIQ China at the port of discharge and the result obtained by CIQ China for moisture and Weight at the port of discharge to the final.

以卸货港中国出入境检查检疫局检测的锰和水分含量为最终付款依据。

6.2 Sampling and Analysis 取样及化验

6.2.1.Analysis at the stockpile:在装货港化验

6.2.2.At the destination, BUYER shall appoint CIQ to determine the specification of ore content discharged from the Vessel, and shall probide a certificate showing details of the determination.

在目的港，指定中国出入境检查检疫局来检查被卸货品的规格，并出具检测报告。

取样及化验

At the stockpile, SELLER shall bear the professional fees of the appointed Sucofindo Indonesiain To determine the specification of ore content loaded in the Vessel, and shall provide a certificate showing details of the determination and also the percentage of free moisture loss at 105 degrees centigrade.

在装货港，指定的Sucofindo印度尼西亚公司检查单位来检查被装进船货品的规格，并提供一份证明来确认检查结果，并确认在105摄氏度时，水份减少量，费用由卖方支付。

CLAUSE 7 : Shipment（装船）

BULK OR Terylene bag with shipping marks or determined by the buyer.Net weight:50 kgs per bag.or determined by the buyer.

散装或者涤纶袋装，每袋装净重50 kg，并尽也许标有运送标志。或卖方决定。

CLAUSE 8 :Terms of Payment

付款方式

The buyer received the seller of the container receipts, invoices to pay the purchase price after the first 30% of the buyer received the seller to provide a full set of documents in advance of the original documents (see CLAUSE10) and then pay 60% of the remaining 10% are found to be China after For the contract be put to the no-objection.

. 买方收到卖方的货柜单据,发票后先行支付货款的30%,在买方收到卖方预付单据提供全套单证正本（详见CLAUSE10）后再付60%,剩余10%待中国商捡完后针对合约无异议再付.

CLAUSE 9 : Insurance 保险

Marine Insurance shall cover all risk by the BUYER for the commodity loaded in the container from loading port up to the discharge port at 110% of invoice value.

由买方选择并负责购买从装货港到卸货港的海上运送保险, 按发票金额百分之110。

CLAUSE 10 : Document required for payment议付单证详见

10.1. Complete set of clean Ocean BILL of Lading consigned to ORDER and notify buyer;

全套清洁海运提单；

10.2. SELLER’ s regular Invoice of 100% exact shipment value in one original and three copies;

卖方的100％实际装船货值的正式发票正本1份，副本3份；

10.3. Certificate of Origin in 1 original and 2 copies

原产地证正本1份，副本2份；

10.4. Packing List in 3 originals;

装箱单正本3份；

CLAUSE 11:Arbitration仲裁

Any disputes arising from or in connection with this contract and execution thereof shall be friendly negotiation. If no settlement can be reached within 21 days, the case in dispute shall then be submitted for arbitration to SINGAPORE INTERNATIONAL ARBITRATION CENTRE, which shall be conducted in accordance with the Commission's arbitration rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties. The fees for arbitration shall be borne by the losing party unless otherwise awarded by the Commission.

双方应和谐协商解决任一争端，若在21天内不能达成共识，应提交此争议到新加坡国际仲裁中心 仲裁委员会。此仲裁结果应视为最终的，费用由败诉方承担。

CLAUSE 12:Miscellaneous附加条款

Notice or communications referred to in this Contract shall be in writing and will be sent by courier

or by fax and E-mail.

与本协议有关的告知与通信，须以书面形式通过快递或传真与电邮还传送。

The agreement will change to long-term contract ofter completing the quantity of the every month’s

Shipment will be 5000 mts,negotiating in write if the quantity need be changed.

此合约自动完毕后转为长约,原则上每月出货量转为5000吨,若数量增减须与书面协商.

This “Agreement” cancels and supersedes any and all previous agreements, notices and communications in connection therewith and any and all parallel agreements.

本“协议”生效后，取代并取消了之前关于本协议的协议，告知，通信，以及类似的协议
