This contract signed in _ (month) on _ (date), _ (year), by and between (hereinafter referred to as the “Seller”) and _ (herein-after referred to as the “Buyer”) on the other hand.1. AgreementThe Seller shall sell and deliver to the Buyer _units of products each nit to contain kilograms of product. The product delivered under this Agreement shall conform to the standard specifications for the product adopted by the _ Trade Association.2. Price The price shall be _ dollars per unit, F.O.B. _ (place).The Seller shall have the right to increase the price of the goods specified in this contract at any time. If the Buyer refuses to accept te price increase specified by the Seller, the Buyer may cancel this Agreement. Unless this contract is so canceled, the increased price shall be charged for all goods shipped thereafter.The price specified above is based on freight rates on the goods between the warehouse of the Buyer and the factory of the Seller. If such freight rates increase or decrease, he price specified shall be adjusted accordingly.3. Payment TermsPayment shall be made by net cash against sight draft with bill of lading attached showing the shipment of the goods. Such payment shall be made through the (bank) of (place). The bill of lading shall not be delivered to the Buyer until such draft is paid.Within _ days from the date of this Agreement, the Buyer shall establish an irrevocable letter of credit with a first class bank in compliance with the terms and conditions set forth in this contract.Payment for the goods specified herein shall not mean an acceptance thereof by Buyer with regard to its quality. All goods shall be accepted only after the Buyers inspection._ percent of contract price shall be paid in _ on the basis of RMB. _ percent of contract price shall be paid in _ dollar on the basis of RMB. QuantityIf the Buyer is unable to sell out the amount of goods which he has agreed to purchase from the Seller, the Buyer may reduce the quantity of goods to be delivered to him by giving notice thereof to the Seller before the shipment is made. If the Seller refuses to agree to the reduction of the amount of goods to be delivered, the Seller may cancel this Agreement.The Seller shall have the right to reduce the amount of the goods to be delivered to the Buyer. If the Buyer refuses to accept delivery of goods because of such reduction, this Agreement shall then be terminated.It is agreed that a margin of _ percent shall be allowed for over or short account.5. ShippingThe Buyer must get the shipping informed of at least _ days before the designated date of shipment. Failure to furnish above mentioned shipping information will entitle the Seller, without further notice, to cancel order or to ship at its convenience within _ days from the designated date of shipment at the agreed price.Should the freight, insurance premium and other extra expenses at the time of shipment be raised owing to unexpected circumstances after this contract is made, such additional expenses shall be borne by the Buyer.The Buyer shall give shipping instructions in time and provide necessary shipping space, otherwise, the Seller shall not be under the obligation to make the shipment within the stipulated time.In the event the Buyer does not furnish the Seller with shipping information on or before (date), the Seller may at his option cancel this contract and demand the Buyer to pay any damages he has sustained on account of such failure on the part of the Buyer to give such information.6. PackingThe cost of the non-returnable containers of the goods sold under this Agreement is included in the price herein specified.The package must bear the Buyers order number showing the gross, tare, and net weight of quantity.
