Now the agreement is reached with articles as following: 一、合同价格 Contract amount合同总金额为人民币（含17%增值税）xxx元。（大写：xxx）。The total amount of the contract is xxxRMB (including 17% VAT) (in words: xxx).二、工作范围 Working scope三、付款方式与条件 Payment terms and conditions3.1、合同生效后，甲方预付合同总价的30%。 Party A shall pay 30% of the total contract amount as down payment after the contract is signed and valid.3.2、完成预验收后，乙方向甲方开具相应的发票，甲方预付合同总价的30%。 After the pre-acceptance, Party A shall pay 30% of the total amount against the invoice issued by Party B.3.3、在最终客户完成终验收，甲方预付合同总价的30%。 Party A shall pay 30% of the total contract amount after the final customers final acceptance.3.4、质保期为1年，年满后付合同总价的10%。 After the warranty period of 1 year, the last 10% of the total amount shall be paid.3.5、合同金额包含往来运费。The total contract amount shall include all transportation fees.3.6、 未尽事宜，双方协商解决。The two parties shall negotiate for the solution on the matters not mentioned here in.四、验收条件与标准 Conditions and standard for acceptance五、交货时间及地点 Delivery time and place六、违约责任 Responsibility of breach如乙方不能按期交货，每延误一天按合同总金额的xx%累计违约金。因此影响项目总体进度，乙方除承担违约责任外，甲方有权提出终止和提出经济赔偿。If Party B can not deliver the goods on time, the penalty of xx% of the total contract amount per delayed day shall be paid. At the same time, besides Party B take the breach responsibilities, Party A shall have the right to terminate the contract and request for economic compensation.七、更改 Modification7.1、甲方工作内容有小改动，不增减合同总金额，不改变进度计划；甲方工作内容有较大改动，增加合同总金额，交货时间不改变。If there is small modification on working scope, the total contract amount and the schedule shall not be changed. When there is a bigger modification, the contract amount shall be increased, but the delivery time shall not be changed.八、其它条款 Other articles8.1、本合同正本一式三份，甲方两份，乙方一份。This contract is in triplicate, Party A holds two copies and Party B one.8.2、若发生与本合同或技术条件有关的争端，双方应通过友好协商来解决，或经长春仲裁委员会仲裁。When there is the dispute about the contract and technology conditions, the two parties shall solve the problem by friendly negotiation or be arbitrated by Changchun Arbitration Committee.8.3、遵守各项安全规章制度，如发生安全事故，由乙方负责。The safety regulations must be obeyed and Party B shall take responsibilities once there is the accident on safety.8.4、合同进行过程中双方签定的会议纪要等同样具有法律效力。The meeting summary signed by two parties when performing the contract is also with same legal effect.
