TEMPORARY IMPORT & EXPORT AGREEMENT NET/2012/06/02

甲方：******公司
PARTY A: CSM LTD
乙方: ******公司
PARTY C: SEMT LTD

甲方为协议项下货物的出口商，乙方为本协议项下货物的用户。甲、乙方经友好协商，达成本协议：
Party A is the exporter: Party C is the end user. The above parties agree to agree to sign the agreement as following clauses.
乙方从甲方暂时进口1台P20系统和一个BSIU手表等到首尔韩国以供乙方试验示范，使用完毕后会在六个月内复出口回上海退回甲方。
Party C is consigned by part C and import 1 set P20 system and a BSIU by-pass switch to Seoul,Korea from party A transitorily, for demonstration, We will re-export to Shanghai Within 6 months after using.
一、 进口货物名称、规格、数量

二、 运输方式： 空运。乙方保证在检测完毕后将货物全部退回甲方公司。
Terms of transportation : By Air . Party C guarantees that the test is finished goods all party returned to the company.
三、 与此暂时进出口业务相关的港杂费、报关费、商检费、仓储费、内陆运输费等费用均由乙方承担。
Regarding the whole charge, including Custom fee, storage fee and transportation fee indland, will be paid by party C.
四、 若因丙方原因造成滞港，滞箱、仓储等费用，由乙方承担。
If the delay of the customs clearance due to the party C, the party C will pay the surcharge.
五、 如乙方保证金未能按时给付而造成的滞纳、滞报、滞港等一切经济损失，乙方付全部责任。
If the delay of the customs clearance due to the party C, the party C will pay the surcharge.
六、 协议的有效期
Valid of the agreement
本协议有效期到进出口业务履行完毕及乙方付清全部费用时方为终止。
The agreement is not terminate until finish the import & export operation and Party C pay the whole fee (including agent fee) to party C.
七、 不可抗力
Force Majeure
由于签约双方在签约时不能预料，不能抗拒的事件造成的不能交货或延迟交货，乙方得以免责，包括以下几点：
An event of Force Majeure means the event that the parties could not foresee and occurrence and consequences cannot be avoided and cannot be overcome：
1、自然灾害； 2、国内外政府禁令，政策变化及进口限制；3、战争罢工，暴乱等社会事件；4、其他不可抗力 1.Nature Calamity; 2. Inside and outside government ban, policy changes and import restrict; 3. War, Strike ; 4. Other Force Majeure

本协议一式两份，双方各执一份，未尽事宜两方协商解决，协商不成，提交乙方所在地法院仲裁。
This agreement is made in two originals , one for each party. All disputes arising from the
execution of the agreement shall be settled through amicable consultation by all parties. In case no settlement can be reached, the disputes be submitted for arbitration..
