Client agrees not to install wireless network or any
technology/equipment that affects OFI’s operations.
Should Client deploy his/her network without authorization
from OFI, the connection/equipment will be deactivated
immediately without notice. Client shall be charged for installation
at the regular rate.
客户承诺不安装任何可能影响澳菲正常运作的无线网络系统或其他
技术设备。若客户非经澳菲授权许可,而对其网络系统擅自进行配置,
则无须告知即可对其连接端口/设备立即予以断开处理。客户须按正常收费
标准承担安装费用。
(D) Termination Notification
The duration of this agreement as it stated in (A), early
termination is not allowed in this contract. This agreement will be extended automatically for successive period equal to the current
term. All period should be run to the last day of the month in
which they would otherwise expire .Client can terminate this agreement at the end date stated in it by giving at least two months' written notice to OFI. However, if this agreement is for two months or shorter, the client should inform OFI one week before the end date stated in this agreement.
(D)终止协议通知
此合同到期时间如(A)节中所约定,不可提前解约。若到期客户未终止本合同,则合同可自动延长与现签订的合同期限相同长的时间。所有期限都于到期月份的最后一日到期。合同终止的条件是,客人必须在两个月前以书面形式通知澳菲,若合同租期少于两个月,则客人必须在一个星期前通知澳菲。

ü All utility costs: heating, air-conditioning, water, electricity
ü Building management fee and general insurance costs

ü Newspaper and magazines

房屋PREMISE
客户取得房屋,表明其已接受该房间达到“符合”项下条件,并适于其拟定用途。客户不得将该房屋与任何第三方分租或合用。
By taking possession of the premise, Client has accepted the suite(s) is under "AS IS" condition and suitable for Client's intended use. Client must not sublet or part with possession of the Premises to any third party.
租金RENT
每月租金须以现金、支票及/或银行转账形式,于前一个月25日前缴至(B)节中澳菲指定银行账户;每月服务费须以现金、支票及/或银行转账形式,于下月25日前缴至(B)节中澳菲指定银行账户
The monthly rental and service fee shall be payable monthly by means of cash, cheque and/or bank transfer respectively on the 25th day of previous month and 25th day of next month to OFI designated bank account as stated in section (B).
汇率 Exchange Rate
客户可以选择支付美元,欧元以及日元到澳菲指定的账户(详情请见上页).因此客户必须确保所收到的金额在兑换成人民币后与账单中的金额相符.澳菲将收取根据汇率的转换所产生差额.
Client may option to wire payment in US$, Euro$, Japanese Yen to the specific bank account as stated in section B. Client must ensure payment collected by OFI after converting into RMB will not be less than the invoice amount. OFI will recover any loss of revenue due to exchange rate conversion.
服务SERVICES
每周一至周五,上午9时至下午6时,澳菲将提供各项服务。如需在正常工作时间以外的其他时间特别安排提供此类服务,将另加付人民币150/小时。
OFI will provide services from 9:00 am ~ 6:00 pm Monday to Friday. Special arrangement for use of such services outside normal business hours is available upon request subject to additional RMB 150 per hour.
使用及使用限制USE AND LIMITATIONS ON USE
客户除自身拥有的笔记本电脑或个人电脑、传真机及桌面打印设备之外,不得再安装或变更任何电线、电缆、导线或其他电气及通讯线路。
Client shall not install or alter any wiring, cabling, conduit or other electrical or telecommunication lines, other than Client-owned laptop or personal computers, fax machine and desktop printers.
客户如需在本机构内设置无线通讯连接装置,则须征得澳菲同意。
Client is required to obtain permission from OFI for establishing wireless connectivity settings in the Facility.
客户仅限于将该房屋作为办公用途,并且不得使用或允许他人使用该房屋,以达到下列任何目的、或采用下列任何方式:(a)该目的或方式为非法的;(b)该目的或方式对业主或其他租赁单位造成骚扰的;(c)该目的或方式可能对物业构成危险、或造成本机构保险费用上升的;(d)损害本机构作为一流商务中心的性质的;(e)其“零售”经营性质造成无关人士进入该处所的。
Client will use the Premises for office purpose only and will not use or permit the use of the Premises for any purpose or in any manner that is (a) illegal, (b) creates an unreasonable annoyance to owners or other tenants, (c) which may be dangerous to the property and increase the insurance premium of the Facility, (d) impair the character of the Facility as a first class business center, (e) “retail” nature involving visits by members of the public.
严禁在墙上钉钉子。若客户需在墙上陈列图表或图纸等,请确保墙纸或油漆免受污渍损害。根据租用房间大小和状况,客户可能须缴纳人民币2500~4000元的翻新费。公共区域的家具、固定附着物或装饰品等,客户概不得随意移动。除澳菲向客户提供之设施外,客户不得在本机构处所添加任何锁具或报警装置,也不得复制任何钥匙及/或门卡。若钥匙/门卡丢失,须立即向澳菲报告。同时,客户须承担钥匙/门卡更换费,如有必要,还须承担锁具换装费。就第(F)节中所约定之客户要求更换、或另行增配的钥匙,客户须按标准价格向澳菲进行偿付。未经澳菲许可,客户不得将本协议或任何服务收益权转让给任何第三方。
Nailing on the wall is strictly prohibited. If Client needs to display charts or drawing on the wall, make sure you leave no stain marks or damage to the wallpaper and paint. A renovation cost of RMB2500 ~ RMB4000 will apply depending on the suite’s size and condition. Client shall not remove furniture, fixtures or decorative materials from the public areas. Client shall not add any locks or alarms to the Facility or duplicate any keys and/or cards in addition to those furnished by OFI. Any loss keys and/or cards must be reported to OFI immediately and Client shall pay for replacement cost and changing of lock if required. Client will pay OFI standard charges for any additional or replacement keys required by Client as stated in section (F). Client cannot transfer the agreement or any services benefiting to any third party without OFI consensus.
房屋的使用及维护 USE AND CARE OF THE PREMISE
客户务必细心爱护其商务中心,各办公用房及其中的设备、配置及家具。若因客户一方的业务代表人员、雇员及/或访客所造成的任何财产损失,概由客户承担。凡从客户所租房屋之外能够看见之处,客户概不得将其公司名称、图片或任何其他装饰附着于门或其他任何地方。
Client must take good care of the business center, the office suites, its equipments, fitting and furniture that you use. Client is liable for any damage caused by your representatives, employees, and/or visitors. Client shall not affix signs, pictures or other decorations on the door or anywhere else that is visible from outside your occupied suite(s).
不可抗力:有关责任的限制 FORCE MAJEURE: LIMITATIONS ON LIABILITY
澳菲概不保证其所提供之各项服务不会出现因与客户使用的服务项目相关的机械故障而导致的中断或差错。对于因非澳菲所能够合理控制的原因而造成的任何妨碍、延误或停顿,澳菲概不承担任何责任。若发生该等情形,则只要此类情形继续存在,则澳菲将免于继续承担提供受影响之服务项目的责任。客户须允许澳菲有合理的时间恢复提供该等服务。在任何情形下,对于经营业务及/或利润损失、数据破坏、第三方索赔或任何继发性损失等,澳菲不承担任何责任。
OFI cannot guarantee its service being interrupted and/or error free as a result of mechanical breakdown in connection with Clients’ use of the services. OFI shall have no liability for any preventions, delay or stoppage of services due to causes beyond OFI ’s reasonable control. In such event, OFI shall be excused from providing the affected service for so long as such prevention, delay or stoppage continues. Client will allow OFI reasonable time to resume such services. Under no circumstance, OFI will be liable for any liability for loss of business, profit, damaged data, third party claim or any consequential loss.
违约及提前终止协议 DEFAULT AND EARLY TERMINATION OF AGREEMENT
若发生以下任何情形之一,澳菲可立即终止本协议:
OFI may terminate the agreement immediately for occurrence of any of the following:
(a) 客户未能偿付任何到期应付款项、或履行本协议项下任何其他付款义务的。
Customer fails to pay any sum due and payable, or to perform under this Agreement any other payment obligations.
(b) 客户未能履行本协议项下任何其他条款约定,并且在向客户发出有关该等未能履行义务事实的通知之后,于十(10)日内仍未得到纠正的。
Failure to perform any other provision of this Agreement if not cured within ten (10) days after notice of such failure has been given to client.
(c) 客户及其员工或业务代理人员的行为不符合正常办公室使用规定的。
Client, its employee or agent’s conduct is incompatible with ordinary office use.
在该等情形下,客户必须:
Under such circumstances, Client must:
(d) 对于因协议终止而造成的任何损失进行赔偿,免除澳菲的任何责任。
Indemnify OFI against any losses incurred as a result of the termination
(e) 足额清偿协议剩余期间(若其尚未被澳菲所终结)的所有月度服务费(包括租赁费)
Pay in full all monthly service fee (included rental fee) for the remaining period of the agreement should OFI not ended it.
(f) 足额清偿所有尚未支付的服务费。
Pay in full all outstanding services fee.
延迟付款 LATE PAYMENT
截止到每月二十五日(付款截止日)尚未缴纳的到期应付款项,须按以下利率承担滞纳金:
Fee not paid on the 25th day (the “due date”) of each month when due will bear late payment charge at the following rate:
滞纳金: 每日收取该到期账单金额的千分之五作为滞纳金。
Late Payment fee: OFI will charge client 5‰ of outstanding invoice daily.
在足额缴清应付款项前,本公司保留暂停提供服务(包括拒绝进入房屋权)。
We reserve the right to withhold services (includes denying access to the premise) until outstanding payment is received in full.
保证金 SECURITY DEPOSIT
待办公室的服务租赁合同期满后,澳菲将保证金予以返还。在最后一个开票周期结束时,保证金将在扣除所有到期应付款之后予以返还。保证金余额将存入客户在中国境内指定的银行账户内。保证金不得用于抵冲客户最后一个月的租金及/或服务费。
OFI will refund the security deposit after office contract has expired. The security deposit refund less any outstanding dues shall be processed upon completing the final billing cycle. The remaining balance will be deposited into Client’s designated bank account in China. The Security Deposit cannot be used to offset Client’s last month's rental and/or service fees.
在本合同解除或正常终止之后,客户必须做到以下两点:
其一客户应负责向上海市长宁区房地产交易中心办理本合同的注销租赁备案登记手续, 并承担相应费用;或客户可委托澳菲负责办理前述注销租赁备案登记手续,但应承担澳菲为完成该等注销租赁备案登记手续所发生的所有合理费用。
其二, 客户将在其搬离本合同项下的房屋之前变更其上海代表处(或公司)的注册地址, 并将反映客户上海代表处(或公司)注册地址变更的证明文件之复印件提供给澳菲。
如果客户未能在规定期限(自客户书面通知我司解除本合同之日至客户实际搬离本合同项下的房屋之日的前一天为止的期限)内做到上述两点,则我司将有权没收客户的已经实际缴纳的保证金。
Client either unilaterally terminates this Contract before expiration of this Contract or when the contract expires, Client is still liable for the following two obligations after termination of this Contract:
Firstly, Client is responsible for dealing with the deregistration formalities of this Lease Contract with the CHING NING real estate municipality on its own costs; as an alternative, Client may entrust OFI to go through all such deregistration procedures and compensate OFI of any reasonable costs already assumed by OFI in connection with such deregistration.
Secondly, Client shall change the registered address of its Shanghai Representative Office before moving out of the Premise hereunder, and provide OFI with a copy of the evidence of such change of the registered address of the Client’s Shanghai Representative.
If Client fails to perform the above two responsibilities within the stipulated period (the period commencing from the issuance date of the written termination notice by the Client and ending on the day before the date when Client actually moves out of the Premise hereunder), OFI will be entitled to withhold and keep the security deposit Client already paid.
赔偿 INDEMNITY
客户同意,对于客户或任何其他人因任何原因在房屋或本机构之内、之中或其周围所遭受的任何损失、责任、人身伤亡或财产损失等,澳菲或其业务代理人员概不承担任何责任。对于因在房屋或本机构之内、之中或其周围发生任何人身或财产损失而提出的任何索赔,而致使澳菲遭受的一切损失、损害、赔偿、债务、费用开支及律师费用等,客户均将给予赔偿并保护澳菲免遭任何该等损失或损害情形之侵害。
Client agrees that neither OFI nor its agents shall be liable for any loss, liability, injury, death or damage to persons or property which is suffered or sustained by Client or any other person in, on or about the Premises or Facility from any cause. Client will indemnify and hold OFI harmless from all costs, damages, claims, liabilities, expenses and attorney's fees arising out of any claim of damage to any person or property occurring in, on or about the Premises or the Facility.
进入房屋之权利 ENTRY ON PREMISES
我司有权在事先口头或书面通知客户的情况下,于正常工作时间内进入房屋进行认为有利于房屋的维护、安全或改善任何修理、更换或清扫作业。任何情况下,该等进入不得被视为或当作针对客户的收回或非法侵入其租赁屋舍之行为。
OFI have the right to enter the Premises during office hours with prior verbal and/or written notice to Client for the purpose of making any repairs, alterations or cleaning which it shall deem necessary for the preservation, safety or improvements of the Premises. Such actions are without in any way being deemed or held to have committed an eviction of or trespass against Client.
客户租赁期满前六十(60)日,经客户确认将终止租赁关系的,客户应允许我司向任何有意租用的第三方展示该房间。
Sixty (60) days prior to the expiration date of the Client’s lease, Client shall allow OFI to show the suite to any 3rd parties who intend to occupy the suite after Client confirm to terminate its lease.
房屋之退还 SURRENDER OF PREMISES
租赁期满或终止后,客户须将房屋以干净、整洁、无需修理的状况退还给澳菲,并将其中 客户的所有个人财产及杂物等清运出场。对于租赁期满仍被弃置的任何个人财产,澳菲有权对之进行转售处理,而无须承担任何经济责任。
