(individually a "Party" and collectively the "Parties").

WHEREAS 鉴于
A. The Parties wish to explore a possible business opportunity and pursue mutually beneficial business interests with regard to the purchase of certain equipments in the People's Republic of China ("PRC"), during the course of which either Party ("Disclosing Party") has disclosed and/or may disclose Trade Secret (as defined below) to the other Party ("Receiving Party").
双方旨在探讨未来在中华人民共和国(以下简称“中国”)采购业务合作机会之可能性及寻求使双方均能获取商业利益之合作方式,其间将涉及任何一方(以下简称“披露方”)已向及(或)需向另一方(以下简称“接受方”)披露其商业秘密(定义见下文)。
B. The Parties hereby agree to enter into this Agreement for the purpose of protecting their respective Trade Secrets against any unauthorized use or disclosure.
双方同意,为保护其各自的商业秘密及防止其受到未经授权的使用或披露,共同签署本协议。
NOW THE PARTIES HEREBY AGREE AS FOLLOWS:
故此,双方同意如下:
1. Definition of Trade Secret 商业秘密之定义
1.1 For purposes of this Agreement, a "Trade Secrets" refers to any proprietary technical information and business information belonging to Disclosing Party which is unknown to the public, of economic benefit to Disclosing Party, has a practical application and for which reasonable protective measures have been adopted by Disclosing Party; including without limitation, any of the following information or materials owned by Disclosing Party (regardless of the medium on which such information or materials are stored or recorded):
出于本协议之目的,商业秘密指属于披露方享有的,不为公众所知悉,并经披露方采取保密措施加以限制,能为披露方带来经济利益,具有实用性的技术信息和经营信息,包括但是不限于披露方享有的以下信息和材料(无论系以任何形式的媒介储存或纪录):
1.1.1 Disclosing Party's company files and documents, such as any type of contract, agreement, letter of intent, personnel files, administrative documents and information regarding Disclosing Party's investors, vendors, customers or suppliers;
披露方之公司档案资料,如各类合同、协议、意向书、人事档案和行政文件等,以及与披露方的投资商、销售商、客户或供应商有关的信息;
1.1.2 any information relating to Disclosing Party's business activities and business development, such as costs, business plans (including future plans which during the course of Receiving Party's employment with Disclosing Party), business strategies (including pricing strategies), marketing strategy and plans, distributors, distribution channels, sales models, quotations, client lists and other relevant information;
与披露方商业活动和业务发展有关的信息,如成本、业务发展计划(包括在接受方受披露方雇用期间的未来发展计划)、商业战略(包括定价策略)、市场推广计划、经销商、销售渠道、销售模式、报价单、客户名单及其它有关的资料;
1.1.3 information regarding Disclosing Party's financial status, such as assets, debts, account receivable, status of commercial operations and investments;
披露方之财务信息,如资产的数量、负债和收入、经营状况及投资情况;
1.1.4 information concerning Disclosing Party's management methods;
关于披露方管理方法之信息;
1.1.5 algorithms, procedures or techniques and principles underlying such algorithms, procedures or techniques that are developed by Disclosing Party;
披露方开发的算法、流程、或技术和原理;
1.1.6 information relating to computer hardware and software development, including without limitation methods for the development of hardware and software and related drawings, testing result, operational manual, reports and record materials, software programs (including source codes, object codes, database, software installation and maintenance methods);
与计算机硬件或软件开发有关的信息,包括但不限于开发硬件或软件的方法以及相关的图样、测试结果、操作手册、报告及记录材料、软件程序(包括源代码、目标代码、数据库、软件安装和维护方法等);以及
1.1.7 information relating to know-how, including technological methods, technological processes, data, design drawings, formulae, technical specifications, quality control and management as well as other relevant materials, which are not publicly available and have not been applied for registration as patent or other Intellectual Property Rights.
与专有技术有关之信息,包括技术方法、技术流程、数据、设计图、公式、技术规格、质量控制和管理以及其他相关材料,上述信息尚未公开并且没有申请专利注册或其他知识产权保护;
1.2 Any information that is disclosed orally will only be deemed to be a Trade Secret if the information is confirmed immediately in writing by the Disclosing Party to be Trade Secret after such oral disclosure.
任何口头披露的信息只有在披露方作出口头披露之同时亦经由披露方以书面形式确认为商业秘密的情况下,方被视为商业秘密。
1.3 For purposes of this Agreement, the Receiving Party acknowledges and agrees that a Trade Secret shall be deemed to include any confidential and business information relating to the production, sales and operation of the Disclosing Party.
出于本协议之目的,接受方理解并同意商业秘密将包括任何与披露方之生产、销售及营运有关之机密信息及商业信息。
2. Confidentiality Obligations 保密义务
2.1 The Receiving Party has the duty to perform the following obligations in respect of maintaining the confidentiality of Trade Secrets and use reasonable care not to disclose the Trade Secret to any third party, such care to be at least commensurate with the care exercised by the Receiving Party with respect to preserving its own Trade Secret, namely:
接受方有责任和义务严格保守商业秘密,并且应尽到合理的注意,不向任何第三方披露商业秘密。此等注意至少应等同于接受方在保护其自身的商业秘密时所尽到的注意。包括:
2.1.1 without the Disclosing Party's prior written consent, not to disclose a Trade Secret in any form whatsoever to any third party;
非经披露方书面同意,接受方不得在任何时间以任何形式将商业秘密披露或提供给任何第三方;
2.1.2 not to use a Trade Secret for any purpose, unless such Trade Secret is used by the Receiving Party for the purpose of performing a task assigned or entrusted to it by the Disclosing Party. The Receiving Party is not allowed to copy in any manner information that is deemed to be a Trade Secret;
除了接受方为执行披露方所安排或委托的有关工作外,接受方不得将商业秘密用于任何其他目的;且非为工作需要,接受方不得以任何方式复制被列为商业秘密的信息;
2.1.3 to abide by the confidentiality guidelines formulated by the Disclosing Party when the Receiving Party is required to copy any information comprising a Trade Secret in the course of the performance of his/her job duties, and to store properly and indicate on all copies of such information its level of confidentiality;
接受方确因工作需要而必须复制含有商业秘密之资料时,应严格遵照披露方之保密要求,对任何复制文本给予妥善保管并明确标记保密等级;
2.1.4 without the Disclosing Party's prior written consent, not to use or allow any third party to use a Trade Secret obtained through improper means. For purposes of this Agreement, the term "obtained through improper means" shall include the acquisition of a Trade Secret by means of theft, fraud, intimidation, bribery, unauthorized reproduction, violation of confidentiality obligations, enticement of others to violate confidentiality obligations or other similar means; and
未经披露方书面同意,接受方不得使用或允许任何第三方使用以不正当的手段获取的商业秘密。出于本协议之目的,本条款中所称之「以不正当的手段获取」包括窃盗、诈欺、胁迫、贿赂、擅自重制、违反保密义务、引诱他人违反保密义务或其他类似方法;及
2.1.5 to make every effort to prevent third parties from stealing any Trade Secret that is in the Receiving Party's possession.
尽其一切努力防止任何第三方窃取由其所掌握之商业秘密。
2.2 If the Receiving Party is uncertain as to the nature and degree of confidentiality applicable to any piece of information, the Receiving Party is obliged to seek written clarification from the Disclosing Party.
接受方对任何信息的性质、保密程度不明确的,应主动向披露方寻求书面确认。
2.3 During the term of this Agreement, the Receiving Party agrees to use Trade Secret only for the intended purpose set forth above.
在本协议期限内接受方同意仅为上述目的而使用商业秘密。
3. Exceptions 例外情况
The Receiving Party will not be liable for disclosure of any Trade Secret if the Receiving Party can prove that such Trade Secret:
在下列情况下,接受方对于商业秘密的披露将不承担责任,惟前提条件是如果接受方能够证明该信息系:
3.1 was already known by the Receiving Party prior to receipt from the Disclosing Party;
其在接受披露方的信息以前已知悉该商业秘密;
3.2 has entered the public domain other than as a result of its disclosure by the Receiving Party in violation of this Agreement upon the signing of this Agreement or at any time thereafter;
在本协议签署之日或其后之任何时间在接受方不违反本协议的情况下为公众所知悉;
3.3 is independently developed by the Receiving Party after the signing of this Agreement, provided, however, that the person(s) developing such information have not had access to such information received from the Disclosing Party;
在本协议生效日后由接受方独立开发的,其条件是开发该信息的人士并无渠道接触披露方所披露的该信息;
3.4 is lawfully obtained from a source other than the Disclosing Party;
经由披露方以外的渠道合法获得;
3.5 is furnished to others by the Disclosing Party without restrictions against further disclosure similar to those herein; or
由披露方向他方提供,但披露方并未要求对方受到类似于本协议禁止该信息被披露之限制;
3.6 was approved in writing by the Disclosing Party for disclosure to a third party by the Receiving Party; and
披露方书面批准接受方向第三方披露该信息;及
3.7 is compelled to disclose under an applicable law or court order, in which event the extent of disclosure of such Trade Secret shall be limited by the Receiving Party to the information or materials required to be disclosed under the said applicable law or court order. The Receiving Party agrees to promptly notify the Disclosing Party of the relevant law or court order prior to disclosing of any such information or materials, in order that the Receiving Party may consider taking appropriate protective measures.
因适用法律或法院命令的要求而使用或披露的亦不在此限。遇此情形,所使用或披露的范围应仅限于该适用法律或法院命令所明确规定的内容。接受方同意在此种使用或披露之前及时通知披露方该适用法律或法院命令的有关规定,以便接受方考虑采取适当的保护性措施。
4. Return of Materials 材料之返还
All materials transmitted from the Disclosing Party to the Receiving Party and containing Trade Secret will remain the property of the Disclosing Party and shall, at the request of the Disclosing Party, be returned to the Disclosing Party (including photocopies thereof) or destroyed by the Receiving Party at the Disclosing Party's option and under the supervision of the personnel designated by the Disclosing Party.
所有由披露方向接受方传递的包含披露方商业秘密的材料均应为披露方的财产,并应在披露方要求时全部返还予披露方(包括任何形式的复印件);或可由披露方决定在披露方指定之人员之监督下予以销毁。
5. Liability for Breach 违约责任
If the Receiving Party violates any provision of this Agreement and causes losses for and damages to the Disclosing Party as a result thereof, then the Receiving Party shall compensate the Disclosing Party for such losses and damages. If the said amount is not sufficient to offset the amount of actual losses and damages caused to the Disclosing Party as a result of the Receiving Party's violation of this Agreement, the Disclosing Party is entitled to request the Receiving Party to compensate for the actual losses and damages it has suffered. This provision shall not prejudice the Disclosing Party's right to resort to any remedies available under PRC law.
接受方如违反本协议之规定给披露方造成损失的,应向披露方支付损失赔偿。如该金额不足以抵扣披露方因接受方违反本协议而造成之实际损失时,披露方有权要求接受方赔偿披露方所遭受之实际损失及损害。此外,本条约定并不妨碍披露方依据中国法律寻求其他救济的权利。
6. Customers of Disclosing Party 披露方的客户
For customers being disclosed by Disclosing Party to Receiving Party (hereafter “customer”), the Receiving Party and its employees or members agree not to contact the customer directly or indirectly, and only work with Disclosing Party.
对于经由披露方披露给接受方的客户(以下简称“客户”),接受方及其雇员或成员,承诺不与客户进行直接或间接的联系,而只与披露方开展业务。
7. Miscellaneous 附则
7.1 Nothing contained in this Agreement will be construed as granting by implication, estoppel or otherwise, any licenses or rights under any patents, copyrights or other legally protectable proprietary rights (present or future) of either Party.
本协议中的任何内容,均不构成任何一方通过暗示的、禁止性的或同意的方式授予另一方对任何专利、版权或其他法律保护的专有权利(无论现在或将来)的任何许可或任何权利
7.2 The term of this Agreement will be [five (5)] years from the date of its execution (unless otherwise terminated pursuant to the mutual agreement of the Parties), but the obligations set forth in Article 2 above shall survive for following the termination or expiration of this Agreement.
本协议期限为自签署日起[伍(5)]年(除非经双方协商一致解除本协议),但上述第2条“保密义务”中规定的义务在本协议终止或期满后持续有效。
7.3 No amendment or supplement to this Agreement shall be made unless mutually agreed by the Parties. An amendment or supplement to this Agreement shall only become effective if it is made in writing and signed by both Parties.
本协议未经双方协商一致,不得变更或补充;对本协议所进行之任何变更或补充,惟经双方签署之书面协议始生效。
7.4 Either Party's performance of its obligations hereunder shall not be affected by any change in the name or title of its respective legal representatives, successors or assignees after the Agreement takes effect.
本协议生效后,任何一方均不得因其法定代表人、继承人或受让人之姓名及职称之变更而不履行其在本协议项下之义务。
7.5 All notices and communications between the Parties shall be made in writing in the English or Chinese languages and sent by way of facsimile transmission, delivery in person (including courier service) or registered airmail letter to the appropriate correspondence address as set forth below, unless either Party notifies the other Party in writing of a change in its correspondence address:
双方之间的任何通知或函件均必须以书面形式并应以英文或中文写成,以传真、人工递送(包括快递服务)或航空挂号邮件之形式发送。在未接获另一方更改通讯地址之书面通知前,所有通知均应发予下列通讯地址及指定之收件人:
