The Seller and the Buyer above named have this 14 day of December , 2009 , entered into this Contract on the followins terms and conditions.

5. INTENDED PLACE OF LOADING: Bangkok, Thailand.

6. DELWERY PLACE:

7. DELMRY PERIOD: The goods should arrive at abovementioned place indicated in Clause 6 within seven (7) days after the Contract signing.

8. TERLS OF PAYMENT: Total Contract Value will be paid by T/T within fifteen (15) days after arrival of goods to the abovementioned place indicated in Clause 6 and receiving of invoice with corresponding value and other required documents indicated in Clause 9 (a), (b), (c), (d) and (e).

9. REQUIRED DOCUMENTS:
(a) Commercial invoice in three (3) originals and three (3) copies;
(b) Packing List in three (3) originals and three (3) copies;
(c) Certificate of receipt of cargo at about kilometers from the center of Saravan city, Saravan Province, Lao PDR issued by the Buyer or its nominated persons (Mr. , Passport No. : ).
(d) Certificate of quality/quantity/weight in one (1) original and one (1) copy issued by Project consultant representative from Maunsell Powergrid Limited indicating the actual surveyed quality quantity/weight of shipped goods as well as the packing conditions;
(e) Truck Receipt in one (1) original and one (1) copy indicating *Freight Prepaid" showing shipment from Bangkok Thailand to Saravan, Lao PDR consigned to Buyer.

10. COMPLETE CONTRACT Ai\D ASSIGNMNNT:
(a) The terms and conditions found within this Contract constitute the complete and final understanding of the Seller and the Buyer (hereinafter 'the Parties') with respect to the commodity referred to herein. No modification or release from and provision hereof shall be effective unless the same shall be confirmed in writing by the Parties.

(b) Neither this Contract nor any interest therein shall be assignable without the prior written consent of the Seller.

IN WITNESS WHEREOF the Seller and Buyer have caused this Contract to be executed by their duly authorized officers of the day and year first above written.
