To be packed in strong wooden case(s) or in carton(s), suitable for long distance parcel post /air freight transportation and change of climate, and necessary measures shall be taken so that the Contract commodity will be well protected against moisture, shocks, rust, corrosion and other damages.
装在适于长途包裹邮寄／空运的坚固木箱或纸板箱内，能适应气候变化，并采取抗潮、抗震、防锈、防腐蚀及防止其他损坏的必要保护措施。
If any of the commodity is damaged or lost due to improper packing and/or inadequate or improper protective measures taken by the Seller in regard to the packing, the Seller shall be liable for repair, replacement and /or compensation.
卖方负责由于包装不良以及在包装方面因卖方采取了不当的或不良的保护措施造成的任何商品损坏或丢失时，卖方应按合同规定负责修理、更换或赔偿。
The wood packaging the Seller used shall be treated by the enterprises qualified by the phytosanitary organization of exporting countries or areas in accordance with the approved measures by PRC (e.g. HT, MB) and carried with legible special mark of IPPC (the use of red or orange avoided) in the obvious place of wood packaging (on at least two opposite sides).In case the phytosanitary organization of PRC finds through quarantine measures that the wood packaging does not carry with the required mark, the mark does not meet the requirements or live pests are intercepted, the Seller should pay for all the expenses at the port of unloading of treatments to eliminate the pests, destroy the packaging or transport back and shall compensate the Buyer for all the expenses , costs and damages thus incurred.
卖方使用的木质包装应当由出口国或地区政府植物检疫机构认可的企业按中国确认的检疫除害处理办法处理，并在木质包装显著位置(至少应在相对的两面) 加施清晰易辨的IPPC专用标识（标识避免使用红色或橙色）。如果经中国检疫机构检疫发现木质包装无标识、标识不符合要求或截获活的有害生物的，卖方应承担在卸货港对木质包装实施除害处理、销毁处理或作退运处理所发生的所有费用，并赔偿买方因此遭受的所有损失和费用。
To the extent required by the law of PRC, the Seller shall provide the Buyer with a plant quarantine certificate/fumigation certificate issued by the competent government quarantine authority of the export country proving that heat treatment or fumigation treatment has been carried out, or a written statement proving that non-wooden materials have been used in case non-wooden packages are agreed upon by the Buyer so as to enable the Buyer to make the customs clearance in time. If the Seller fails to present the said certificate or statement in due time, the Seller shall compensate the Buyer for all the costs, expenses and damages thus incurred, including but not limited to storage expenses, penalties imposed by the customs and container overdue fine.
按照中华人民共和国法律如果需要，卖方应向买方提供出口国有关检疫当局出具的证明已对木质包装进行热处理或熏蒸处理的植物检疫证书或熏蒸证明，或如果买方同意使用非木质包装，卖方应出具未使用木质包装的声明,以便买方及时办理清关手续。如果卖方未能及时提供上述证明或声明，卖方应赔偿买方因此遭受的损失和费用，包括但不限于仓储费、滞期费及滞箱费。
In case China Compulsory Certification (CCC) for Contract Equipment is required by the law of PRC, the Seller shall at its own cost obtain certificate of the CCC, mark the sign of CCC on Contract Equipment and provide the Buyer the duplicate copies of the certificate of the CCC in accordance with the provisions of the Contract. If the Seller fails to submit such required CCC certificate in due time, all the costs thus incurred at the Port of Unloading including but not limited to storage expenses, penalties imposed by the customs and container overdue fine shall be borne by the Seller.
如果合同货物根据中国法律规定应获得中国强制认证（CCC），则卖方应自费根据本合同规定获得合同设备的CCC认证证书，对获得认证的合同设备加施CCC认证标志，并根据本合同规定向买方提供CCC认证证书复印件。如果卖方未能及时提供前述CCC认证证书，由此在卸货港发生的所有费用，包括但不限于仓储费用、滞期费及滞箱费，均应由卖方承担。
One full set of service and operation manuals concerned shall be enclosed in the case(s).
包装箱内应装入一整套产品的操作手册和使用说明。

4. SHIPPING MARK: 唛头
The Seller shall mark on each package with fadeless paint the Contract number, the airport of destination, consignee, the package number, gross weight, net weight, measurement and the wordings: “KEEP AWAY FROM MOISTURE” “HANDLE WITH CARE”, “THIS SIDE UP” etc. and the shipping mark.
卖方须以不褪色的油漆在每一个包装箱表面写上合同号、目的地机场、收货人、包装箱号、毛重、净重、尺寸和下列语句“勿使受潮”、“小心轻放”、“此端向上”等及唛头。

9. PAYMENT: under (A) (B) (C) below:
支付： 可采用如下（Ａ）、（Ｂ）或（Ｃ）方式：
(A) Under Letter of Credit: The Buyer, upon receipt from the Seller of the delivery advice specified in Clause 11 hereof, shall, 20--25 days prior to the date of delivery, open an irrevocable letter of credit with the Buyer’s Bank, in favour of the Seller, for the total value of shipment. The credit shall be available against Seller's draft(s) drawn at sight on the opening bank for 100% invoice value accompanied by the shipping documents specified in Clause 10 hereof. Payment shall be effected by the opening bank, (by telegraphic transfer/airmail transfer) against presentation to them of the aforesaid draft(s) and documents. The Letter of Credit shall be valid until the 15th day after the shipment is effected.
（Ａ）在开立信用证的情况下:买方在接到本合同第１１条所规定的由卖方发出的交货通知后，应在交货日前二十天到二十五天，通过买方银行开立以卖方为抬头的，等于装运货物全部金额的不可撤销信用证。该信用证凭向开证行提示１００％发票金额的卖方即期汇票及本合同第１０条所规定的装运单证付款，开证行将根据提交的上述汇票和单据（以电汇或信汇方式）支付货款。信用证有效期至装运后第十五天。
(B) On Collection: Within seven days after shipment, the Seller shall draw on the Buyer at sight and send the draft(s) together with the shipping documents specified in Clause 10 hereof, to the Buyer through the Seller's bank and Buyer’s Bank for collection.
（Ｂ）在托收的情况下:货物装运后７天内，卖方通过卖方银行提交即期汇票及本合同第１０条所规定的单证，通过买方银行向买方托收。
(C) By Direct Remittance: Payment shall be effected by the Buyer, by telegraphic transfer/ airmail transfer, within seven days after receipt from the Seller of the shipping documents specified in Clause 10 hereof which should be sent by express mail to the Buyer within seven days after shipment.
（Ｃ）在直接汇款的情况下
     买方于接到卖方在装运后７天内，以快件发出的，按本合同第１０条所规定的装运单
据后７天内，以电汇或信汇方式付款。

10. DOCUMENTS: 议付单据：
(1) In case of air-freight: 空运情况下：
original and photostated Airway Bill marked "Freight to Collect"/"Freight Prepaid", Contract number and shipping marks, and consigned to the Buyer, notifying the Enduser.
一份正本及一份副本空运单，标明“运费到付／运费预付”、合同号及唛头，交给目的港机场的买方通知人,并通知最终用户。
The Airway Bill issued by Airlines (Aviation Co.) or the House Airway Bill (HAWB) issued by the agent named by the Buyer for air transportation shall be acceptable. The HAWB not issued by the agent of the Buyer for air transportation shall not be accepted.
航空公司签发的空运单，或者由买方指定的空运代理人签发的航空分运单（ＨＡＷＢ）可以被接受，由不是买方空运代理人签发的航空分运单不被接受。
In case of air parcel post: 空运邮包情况下：
(1)One original and One photostated air-parcel post receipt indicating Contract number and shipping marks addressed to the Buyer.
(1)一份正本和一份副本以买方为收件人的航空邮包收据，标明合同号和唛头。
(2) Manually signed invoice in __2_ original(s) and __3__ copies indicating Contract number and shipping marks (in case of more than one shipping mark, the invoice shall be issued separately) made out in details as per the relative Contract.
（2） 2＿份正本及＿3＿份副本，标明合同号和唛头的手签发票（如果唛头不止一个，则发票将分别填制）。
(3) Packing list in 2 originals issued by the Manufacturers.
（3）由制造者出具的装箱单 2 份正本。
(4) Certificate of quality and quantity issued by the Manufacturers in 1 original(s) and 2 copies.
（4）由制造者出具的质量和数量证明书 1 份正本及 2 份副本。
(5) copy of fax to the Buyer made by the Seller within 24 hours after shipment advising the particulars of shipment.
（5）装船后 24 小时内，卖方出具给买方的写明详细装运情况的传真副本一份。
(6) For CIP Terms, 1 originals and 2 duplicate copies of air transportation insurance policy for 110% full CIP invoice value of Contract Commodity showing claims payable in China in Contract Currency without deductible clause and covering all risks, war risk.
（6）CIP条件下，投保一切险和战争险，投保金额为合同货物发票价值１１０％并注明可以在中国以合同货币理赔且不含免赔条款的空运保险单 1 份正本及 2 份副本。
(7) 1 originals and 2 duplicate copies of the valid export license issued by relevant authorities of the Seller’s and/or manufacturer’s country or the Seller’s statement certifying that no export license is required.
（7）卖方和/或制造商国家有关当局出具的有效出口许可证或卖方出具的不需要出口许可证的声明 1 份正本和 2 份副本。
(8) 2 duplicate copies of plant quarantine certificate or fumigation certificate issued by the competent government quarantine authority of the export country indicating that heat treatment or fumigation treatment has been carried out on the wooden case package, or written statement issued by the Seller proving that non-wooden materials are used for packing. (to the extent required by the law of PRC).
（8）出口国有关检疫当局出具证明已对木质包装进行热处理或熏蒸处理的植物检疫证书或熏蒸证明 2 份副本，或卖方出具的证明未使用木质包装的声明.
(9) 1 duplicate copies of China Compulsory Certificate (CCC) (to the extent required by the law of PRC).
（9）中国强制产品认证证书（CCC）1 份副本。(按照中国法律如果需要)
In addition, the Seller shall within 24 hours after shipment, send by express to the Buyer one original of airway bill, invoice, packing list, certificate of origin, plant quarantine certificate or fumigation certificate issued by the competent government quarantine authority of the export country or written statement issued by the Seller indicating that non-wooden materials are used for packing. (to the extent required by the law of PRC) and one duplicate copy of China Compulsory Certificate.
并且，卖方应在货物发运后 24 小时内，通过特快专递向买方寄送空运单正本、发票正本、装箱单正本、原产地证书正本、出口国有关检疫当局出具的证明已对木质包装进行热处理或熏蒸处理的植物检疫证书正本或卖方出具的证明未使用木质包装的声明正本以及三C证明副本(按照中国法律如果需要)。
The number of the documents and their contents shall be complete and correct, if the Buyer fails to pass the Customs and take over the goods in time due to the Seller not having provided the documents specified as above, all losses shall be borne by the Seller.
单据数量及其内容应该完整正确，如果由于卖方没有提供上述单据导致买方不能及时报关通关，并接收货物，由此产生的损失由卖方负担。
11. SHIPMENT: 装运
The Seller shall, 30 days before the date of shipment stipulated in the Clause 5 of this Contract, advise the Buyer by fax of the Contract No., commodities, quantity, value, number of package, gross weight, measurement and date of readiness at the port of shipment.
在本合同第五条规定的装运日期３０天前，卖方应以传真方式通知买方合同号、商品品名、数量、金额、包装数量、毛重、尺寸及在装运机埸的备运日期。
The Seller shall pay any taxes, customs duties and fees as well as charges levied in respect of the exportation of goods contracted, and bear all risks of the goods before the goods have been delivered to the above-mentioned air carrier (Aviation Co.), or the post office at the port of shipment specified in this Contract.
在货物交付给上面提到的发运港的航空公司或邮局之前，卖方负担税费、关税和货物出口所需的其他费用，并承担货物的一切风险。
(1) In case of FCA Terms: ＦＣＡ条件下：
a. By Air: 空运:
The Seller shall deliver the goods within the time of delivery into the charge of the air carrier (Aviation Co.) or his agent named by the Buyer at the airport of shipment specified in this Contract.
卖方应该在装运期内将货物交给本合同规定的起运机场买方指定的承运航空公司或其代理人。
b. By Air Parcel Post: 空运邮包
The Seller shall deliver the goods contracted within the time of shipment into the charge of the post office at the port of shipment specified in this Contract.
卖方应该在装运期内将货物交付给起运地的邮局。
(2) In case of CPT Terms: 在ＣＰＴ条件下
By Air/Air Parcel Post: 空运／空运邮包：
The Seller shall deliver the goods within the time of delivery from the port of delivery. The Seller shall, immediately after despatch of the goods, advise the Buyer by fax of the Contract No., commodity, invoiced value and date of despatch for the Buyer to arrange insurance in time.
卖方应在交货期内交货。卖方在发运货物后应立即以传真方式通知买方合同号、商品品名、发票金额和发运日期，以便买方及时投保。
Should the port of destination marked on the airway bill/air parcel post receipts be found not in conformity with the stipulations of this Contract, the Buyer shall have the right to refuse to effect payment.
如果空运单／空运邮包收据上的目的港机场与本合同规定不一致时，买方有权拒付货款。
(3) In Case of CIP Terms: ＣＩＰ条件下
By Air/Air Parcel Post: 空运／空运邮包：
The Seller shall deliver the goods to the airport of destination specified in Clause 7 of this Contract. (For the goods despatched by air parcel post, the goods shall be despatched to the post office at the port of destination stipulated in this Contract.)
卖方应交货至第七条规定的目的港机场（对空运邮包货物，交货至合同规定的目的地邮局）。
The airfreight, insurance premium in respect of the exportation of goods contracted shall be borne by the Seller.
卖方负担出口合同货物有关的空运费、保险费。

12. SHIPPING ADVICE: 装运通知：
The Seller shall, immediately upon the completion of the loading of the goods, advise by fax the Buyer of the Contract No., commodity, quantity, invoice value, gross weight, name of flight and date of sailing etc. In case the Buyer fails to arrange insurance in time due to the Seller not having advised in time, all losses shall be borne by the Seller.
卖方应在货物装运工作完成后，立即以传真通知买方合同号、商品品名、数量、发票金额、毛重、航班名字及启运日期等等，如由于卖方未及时通知买方以致买方未能及时安排保险，则一切损失均应由卖方负担。

13. GUARANTEE OF QUALITY: 品质保证
The Seller guarantees that the commodity hereof is made of the best materials with first class workmanship, brand new and unused, and complies in all respects with the quality and specification stipulated in this Contract and conforms to the data sheets or technical manuals of the commodities contracted.
卖方保证本商品采用一流工艺以最好的材料制成，全新而且未使用过，在各个方面均符合在本合同中所规定的品质及规格条件，并且符合合同商品技术手册及数据资料的规定。
The guarantee period shall be 12 months counting from the date on which the commodity arrives at the port of destination, or counting from the date on which the Acceptance Certificate has been signed by the representatives of both parties, if the installation and inspection for acceptance of the commodities contracted are required.
担保期为１２个月，从货物到达目的港之日起算，或者，如果需要安装、验收，则从双方代表签署验收证书之日起算。

14. CLAIMS: 索赔：
Within 90 days after the arrival of the goods at destination, should the specification, or quantity be found not in conformity with the stipulations of the Contract except those claims for which the insurance company or the carriers are liable, the Buyer shall, on the strength of the Inspection Certificate issued by State General Administration of Quality Supervision, Inspection and Quarantine of the People’s Republic of China or its local branch, have the right to claim for replacement with new goods, or for compensation or repair and all the expenses (such as inspection charges, repairing fee, freight for returning the goods and for sending the replacement, or the repaired goods, insurance premium, storage and loading and unloading charges etc.) shall be borne by the Seller.
