第一条 合作范围
(一)甲方授权乙方独家代理_____________产品在指定区域(具体范围详见附件一)的销售和推广工作。
(二)乙方应尽全力推广产品并具备相关的销售服务能力,保证实现销售额度。
第二条 市场开发
(一)乙方应根据市场需求制定有效的推广方案,将产品推向市场,提高产品的知名度和市场占有率。
(二)乙方应积极开发、维护和管理客户资源,实现销售量的稳步增长。
第三条 价格政策
(一)产品价格由甲方统一制定,并向乙方提供最优惠的价格。
(二)乙方不得擅自调整产品价格,需要调整时应提前征得甲方同意。
第四条 销售任务
(一)甲、乙双方应共同商定销售目标,并制定合理的销售计划。
(二)乙方应努力完成销售任务,确保完成销售额度。
第五条 付款方式
(一)乙方应按约定时间向甲方支付货款,并提供相关的销售数据和报表。
(二)甲方应按时向乙方提供货物,并提供相关的售后服务支持。
第六条 保密条款
(一)甲、乙双方应互相保守商业秘密,不得向第三方透露与本合同有关的任何信息。
(二)除非获得对方书面许可,否则不得擅自公开合作情况。
第七条 合同期限
本合同自签署之日起生效,期限为____年,期满后可续签。
第八条 违约责任
任何一方违反本合同规定,应承担相应的违约责任,并赔偿对方因此造成的全部经济损失。

Whereas, Party A holds the production and sales rights of _____________ products. In order to explore the market better, the Parties A and B have reached the following agreement through friendly negotiations:
Article 1 Scope of Cooperation
1. Party A authorizes Party B to be the exclusive agent for the sale and promotion of _____________ products in the designated area (specific scope see Annex 1).
2. Party B shall make every effort to promote the products and have the necessary sales service capabilities to ensure achieving sales quotas.
Article 2 Market Development
1. Party B should develop effective promotion plans according to market demands, promote products in the market, increase product awareness and market share.
2. Party B shall actively develop, maintain, and manage customer resources, achieve a steady growth in sales volume.
Article 3 Price Policy
1. Product prices are determined uniformly by Party A and the most favorable prices are provided to Party B.
2. Party B shall not adjust product prices without authorization and must obtain Party A's approval in advance if adjustments are needed.
Article 4 Sales Target
1. The sales target shall jointly be agreed upon by Parties A and B, and a reasonable sales plan shall be formulated.
2. Party B shall make efforts to fulfill the sales target, ensuring the completion of the sales quota.
Article 5 Payment Method
1. Party B shall pay the purchase amount to Party A on time and provide relevant sales data and reports.
2. Party A shall timely provide goods to Party B and offer relevant after-sales service support.
Article 6 Confidentiality Clause
1. Parties A and B shall keep business secrets confidential and shall not disclose any information related to this agreement to third parties.
2. Without written permission from the other party, the cooperation status shall not be disclosed.
Article 7 Term of Contract
This agreement shall come into effect upon signature and shall be valid for _____ years and may be renewed upon expiration.
Article 8 Default Liability
If either party breaches the terms of this contract, they shall bear the corresponding breach liability and compensate for all economic losses incurred by the other party.
