Party A and Party B, in the spirit of mutual benefit, after negotiation, hereby enter into this contract, for the purpose of transferring Party A's patented technology to Party B for development, and ultimately achieving mutual benefits.
Article 1 Transfer of Patented Technology
As the owner of the patented technology, Party A transfers the relevant patented technology to Party B, giving Party B the right to commence development work on the said technology.
Article 2 Mode of Cooperation
1. Party A shall provide the patented technology to Party B and assist in the technical development work.
2. Party B shall fulfill its obligations under this contract according to the agreed timeline and development progress.
3. Party A has the right to supervise and guide Party B's technical development work.
Article 3 Confidentiality Obligations of Patented Technology
It is agreed that all information and materials related to the patented technology are considered as trade secrets and shall not be disclosed to any third party.
Article 4 Term of the Contract
This contract shall come into effect upon signature by both parties, and shall terminate upon the completion of the cooperation objectives, or by mutual agreement to terminate the contract.
Article 5 Liability for Breach of Contract
1. Any party failing to perform or violating the contents of this contract shall assume liability for breach of contract and compensate the other party for any losses incurred.
2. In case of a serious breach of contract by either party, the other party has the right to terminate this contract and seek legal remedies against the breaching party.
Article 6 Miscellaneous
1. This contract is made in two counterparts, each party holding one, and both have equal legal effect.
2. For any matters not covered in this contract, the parties may negotiate to supplement or sign a supplementary agreement.
