Strategy Cooperation Agreement

此合作协议由甲乙双方通过友好协商于_____年 月 日签订。
This Agreement is signed by both two parties on _________________.

1． 定义
Definition

a) 乙方产品：指甲方设计进入甲方产品的乙方产品。由采购方下定单采购的产品。
Party B’s product: is the Party B’s product which is designed in the Party A’s designed product, esp. for the Party B’s product which is purchased by Buyer.

b) 甲方产品：指甲方设计的产品包括但不限于手机和模块等。
Party A’s product: is the product designed by Party A, include but not limited cellular phone, module, etc.

c) 采购方：向乙方下单采购的在甲方产品中使用的乙方产品的甲方或甲方客户。
Buyer: Party A or Party A’s client who place order to Party B to order Party B’s product which product is designed in Party A’s product by Party A.

2． 协议目的
Purpose

甲乙双方都希望通过忠实的合作，建立、发展和保持一个长期的战略合作关系来达到提高产品质量、降低产品成本和缩短产品进入市场的周期的目的。因此，双方通过友好协商签订本协议。
Both parties wish to keep a long term strategy cooperation relationship to improve the product quality, lower down the cost and shorten the time to market cycle.

3． 合作方式
Cooperation method

a) 在此合作协议下， 在与其他厂家在同等的品质、价格、付款条件下，乙方产品将由甲方优先设计进入甲方产品中。
Party A will set Party B’s as first priority to design in even if Party B’s product is at the same level with other company’s.

b) 乙方将保证：
Party B guaranty:

i. 乙方承诺所提供的乙方产品的品质完全满足甲方及采购方的设计及生产要求。对任何品质问题，乙方将承担责任并采取及时有效的措施使采购方的损失降到最低。
Party B commit the Party B’s product quality can meet Party A and Buyer’s design and production requirement. Party B will be responsible for Party A and Buyer’s any cost due to Party B’s product quality issue. Party B will take effective action to minimize the Party A’s lose.

ii. 乙方承诺提供给甲方及采购方的价格在同类同质的产品中具有竞争力。
Party B commits to provide competitive price to Party A and Buyer.

iii. 乙方承诺为采购方提供充足的供货。乙方不会因为乙方的原因而出现供货不足的问题。在供货短缺的情况下乙方将采购方的定单放到前三位的优先等级，优先保证采购方的供货。
Party B commits to provide enough products to Buyer. Party B will put Buyer as the first 3 priority customers if there is supply shortage.

iv. 乙方承诺提供给甲方及采购方在甲方产品的设计和生产过程中的优质及时的服务、技术支持，以保证甲方和采购方的设计及生产的顺利进行。
Party B commits to provide just in time service and technical support to Party A and Buyer during the Party A’s product’s design and production.

v. 任何由于乙方的品质、交期、价格及服务不能满足采购方要求的情况乙方除了要承担相应的责任以外还会极大地影响乙方产品在新的甲方产品中的使用比例。届时，甲方会及时通知乙方采取必要的措施来进行改善和减少损失。
If Party B’s product has quality issue, delivery issue, and service issue Party B will take all related responsibility and it will impact Party B’s product design in percentage. Party A will inform Party B to improve and reduce the lose.

4． 设计费
Design in fee

a) 乙方以已经收到的采购方的货款（不含增值税）为依据，将其中的 3%作为甲方的设计费付给甲方。
Party B will pay 3% as the Design In Fee to Party A according to the revenue amount (not include the VAT) Party B received from Buyer.

b) 双方在每季度的第一周内核对并确认上季度乙方应付给甲方的设计费。
Both parties check the payable design in fee data in the first week every quarter.

c) 双方约定此协议下的设计费从 年 月 日乙方收到的相关货款开始计算。
Both parties agree the design in fee calculation from ________________.

d) 乙方承诺将于每季度的前四周内将上季度的款项付到甲方的指定帐号：
Party B commit to pay the design in fee to Party A in the first 4 weeks every quarter to Party A’s appointed account.

5． 保密条款
Nondisclosure agreement

双方承诺对此合作协议的存在及协议的内容严格保密。其他相关保密条款参照双方签订的《保密协议》来执行。
Both parties commit to keep confidence for the contract exist and the contract content. The other secrecy terms follow the NDA signed by both parties.

6． 政府法规，管辖以及争议的解决
Laws

此协议受香港法律的约束。任何外来的或与此协议有关的争议、争论、解释、违约、终止、有效性等双方将通过友好协商来解决。 任何双方不能解决的争论、异议都以香港的仲裁条例在香港国际仲裁中心解决。
This agreement restricted by Hong Kong’s law. Both parties will consult friendly to settle down the dispute, explanation, termination, validity. All dispute which can not be consulted by both parties need to be settled by Hong Kong Arbitrage International.

7． 协议的生效、更改、有效期
Effective date, modification, expiration

a) 此协议一式两份。双方各执一份。两份具有同样的法律效力。
This agreement has two original copies. Each party keep one original copy. The two copies has the same force and effect.

b) 此协议从双方签字盖章之日起生效。
This agreement will be effective from the date both parties signed.

c) 此协议有效期两年。
This agreement will be expired two years after the effective date.

d) 任何对此协议的更改都需要双方友好协商并且双方书面确认盖章才能更改。
Any modification of the agreement must be written approved by both parties.

e) 如果在此协议失效前的两个月前双方均没有提出异议，此协议将自动延长一年。
This agreement will be prolong one year automatically if both parties has no objection two months before the expiration date.
