THIS AGREEMENT FOR THE ASSIGNMENT OF MCO PERSONNEL TO THE PTCN COMPANY LIMITED IRAQ BRANCH (“the Assignment Agreement”) is made effective as of ________________, 2010 (the "Effective Date") between PTCN Company Limited Iraq Branch (hereinafter referred to as the "PTCN ") on the one hand, and MCO of the Republic of Iraq (“MCO”) on the other hand, and is premised on the fact that:

此份派遣MCO人员到PTCN有限公司伊拉克分公司的协议（此派遣协议）自2010年 （生效日期）起生效，一方为PTCN有限公司伊拉克分公司（以下称为“PTCN”），另一方为伊拉克共和国MCO（以下称为“MCO”）。此协议的达成基于以下事实：

(A) PTCN Company Limited, on behalf of PETRONAS Carigali Sdn. Bhd., Total E&P Iraq and South Oil Company, has entered into that certain Development and Production Service Contract for Halfaya Contract Area (the “DPSC”) which has taken effect on 1st March,2010 (the “DPSC”);

(B) Through amicable discussion, PTCN agrees to inherit the existing manpower unit in the Halfaya Field and accept the qualified and experienced personnel assigned from MCO, including from its Affiliates, to fill certain positions in the PTCN for the conduct of Petroleum Operations in accordance with this Assignment Agreement;
经过友好协商，PTCN同意接过Halfaya油田现有的人力资源单位，并接受从MCO，包括其隶属机构，派遣的合格熟练人员，来担任PTCN的某些职位，以便依照派遣协议实施石油作业。

(C) MCO accepts that an assignment of MCO employees to the PTCN is expressly subject to the provisions of this Assignment Agreement, including all attachments and exhibits hereto.

In consideration of the premises set out above and the provisions set out below the Parties agree as follows:

2.1 Definitions 定义
Capitalized terms used in this Assignment Agreement and not otherwise defined herein shall have the meaning given to such terms in the DPSC,

(A) “Assigned Personnel" or “Assignee” means a person named in an Assignee Designation who is employed by the MCO.

(B) “Assignee Costs” has the meaning set out in Section 3.1.

(C) “Assignee Designation” means an instrument in the form attached as Attachment A executed by the authorized manager of the PTCN and the authorized officer or Director General of MCO with respect to a particular MCO employee assigned to the PTCN.

(D) “Assignment Period” means the period specified in the applicable Assignee Designation, during which the assigned employee of MCO is to perform the Services for and on behalf of the PTCN.

(E) “Calendar Year” means a period of twelve (12) Months commencing with January 1 and ending on the following December 31 according to the Gregorian calendar.

(F) “MCO” means the MCO of the Republic of Iraq or its Affiliate.

(G) “Interest Rate” means interest compounded on a monthly basis at the rate per annum equal to LIBOR plus five (5) percentage points. If the aforesaid rate is contrary to any applicable usury law, the rate of interest to be charged shall be the maximum rate permitted by such applicable law.

(H) “LIBOR” means the interest rate determined as the arithmetic average (rounded upward to the nearest one thousandth of a percentage point) of the offered rates for deposits in Dollars for a period of three (3) Months as published by the Financial Times (London Edition) on the date which is one (1) business day prior to the beginning of the said three (3) Months period corresponding to each interest period. Should the Financial Times rate not be published for a period of seven (7) consecutive days, the Wall Street Journal (New York Edition) shall be used.

伦敦银行间拆放款利率 指的是期限为3个月的美元存款贷放利率的算术平均值（向上四舍五入成最接近的千分之一的百分点），即金融时代（伦敦版）在每个率期所对应的、上述3个月期限之前的一个营业日公布的数值。如果金融时代利率在7个连续营业日都没有公布，就是用华尔街日报（纽约版）的。

(I) “Monthly Charge” has the meaning set out in Section 3.2.

(J) "Services" means the duties and authorities described in the applicable Assignee Designation, to be performed by the Assigned Personnel of MCO.

(K) “Work Location” means the location specified in the applicable Assignee Designation within the Republic of Iraq (or as otherwise required by the PTCN) where the MCO employee is assigned to perform the Services during the Assignment Period.

1.2 References and Interpretation.

Unless expressly provided to the contrary, in this Assignment Agreement:

(A) Reference to any Article or Section means an Article or Section of this Assignment Agreement;

(B) Reference to any Attachment means an Attachment to this Assignment Agreement, all of which are incorporated into and made a part of this Assignment Agreement;

(C) “hereunder”, “hereof”, “herein”, and words of similar import are references to this Assignment Agreement as a whole and not any particular Section or other provision of this Assignment Agreement;

(D) Reference to Assignee and Assignee Personnel includes dependents where applicable; and

(E) Heading of Articles are for convenience only and shall not be considered a part of or affect the construction or interpretation of any provision of this Assignment Agreement.

ARTICLE 3: Terms of ASSIGNment

3.1 Assignment.

(A) MCO represents that each Assigned Personnel is an employee of MCO or an Affiliate of MCO and has the qualifications and experience summarized on the applicable Assignee Designation. If the Assigned Personnel is an employee of an Affiliate of MCO, the Assigned Personnel shall nevertheless be considered to be an employee of MCO for purposes of this Assignment Agreement.
MCO提出每个派遣人员都是MCO或者MCO附属公司的雇员，并且具备适用派遣协议中概述的资历。如果派遣人员是MCO附属机构的雇员，就本协议而言，该派遣人员应当被认为是MCO的雇员。

(B) MCO shall designate the Assigned Personnel to fill the position specified on the applicable Assignee Designation in substantially the form of which is attached hereto as Attachment A within the PTCN, assist the PTCN with the integration of the Assignee into the PTCN for the purposes of this Assignment Agreement, and authorize the Assignee to perform the Services at the Assignment Location for the Assignment Period in accordance with this Assignment Agreement.

(C) MCO shall assign each Assigned Personnel to perform the Services at the Assignment Location for the Assignment Period, and MCO shall instruct each Assigned Personnel to report to the PTCN management in accordance with this Assignment Agreement. MCO shall enter into a Letter of Assignment with each of its employees assigned to the PTCN in substantially the form attached hereto as Attachment B.

(D) The PTCN management shall have the right to specify the scope and nature of Assigned Personnel’s work and the results to be achieved, and to direct the Assigned Personnel in the performance of the Services.

3.2 Conduct.

(A) The Assigned Personnel shall be integrated into the PTCN for the Assignment Period and consequently shall be subject to:

(1) The supervision and control of the PTCN management;

(2) All applicable rules, regulations, policies, and other procedures, processes, and practices established by the PTCN for personnel assigned to the PTCN, except as otherwise expressly provided herein;

(3) All applicable laws and regulations; and

(B) MCO shall use all reasonable efforts to ensure that:

(2) The Assigned Personnel of MCO shall perform the Services contemplated by this Assignment Agreement and the applicable Assignee Designation with due diligence and in a good, competent, professional and safe manner in accordance with Best International Petroleum Industry Practices;

provided always that MCO promptly shall remove any of its Assigned Personnel who in the reasonable opinion of PTCN management does not comply in any material respect with the provisions of this Section 2.2 or does not possess the requisite qualifications and experience for the designated position within the PTCN, the PTCN management having notified MCO in writing that this is the case; and, if requested by PTCN management, to replace such Assignee with another suitably qualified and experienced MCO employee as soon as possible thereafter.

3.3 Status of MCO and its Assigned Personnel. MCO及其派遣人员的地位
(A) MCO shall be an independent contractor engaged by the PTCN to make its Assigned Personnel available for the purposes of this Assignment Agreement, and neither MCO nor its Assigned Personnel shall be a servant or employee of the PTCN or any of the PTCN Parties other than MCO.

(B) Notwithstanding that for the duration of the Assignment Period the PTCN management shall have the right to exercise supervision and control over the Assignee, the Assignee shall be an employee solely of MCO for all purposes, including remuneration, promotion, and career planning, and shall not be a servant or employee of the PTCN or any of the PTCN Parties other than MCO. The PTCN shall refer to MCO any complaint brought to the PTCN management’s attention by Assignee relating to the Assignee’s compensation and employee benefits.
