Employment of Long-term Legal Counseling Agreement

兹本协议之甲方同意聘用乙方作为常年法律顾问, 并乙方同意接收甲方聘用提供常年法律顾问服务, 双方经过协商以后, 同意协议以下:
This Agreement is hereby to certify that Party A agrees to assign Party B as its long- term law consultant, and Party B is willing to accept the consignment and provide long- term legal counseling service. After friendly negotiation, the parties agreed to the following terms and conditions on the consigning.

第一条 :
Article 1
意向及总则
Intention and general principle

甲方同意聘用乙方作为常年法律顾问, 乙方同意接收甲方聘用提供常年法律顾问服务。
Party A agrees to assign Party B as its long- term law consultant, and Party B is willing to accept the consignment and provide long-term legal counseling service.

第二条 :
Article 2
顾问律师
Consulting lawyers

乙方指派以 黄海栩 律师为主体顾问组担任甲方之根据第一条所确定常年法律顾问。同时, 因应甲方法律事务, 乙方得以安排对应专业律师为甲方提供法律服务, 维护甲方正当权益, 甲方接收乙方指派之律师。
The Party B assign Lawyer Haixiang Huang as leading role in the consultant group to provide long-term counseling service for Party A as Article 1 mentioned. Meanwhile, should Party A request, Party B shall arrange corresponding professional lawyer to provide legal counseling service on legal affairs of Party A, protect legal rights of Party A, and Party A shall be willing to accept the lawyers designated by Party B.

Article 3
聘期
Employment periods

双方同意聘期为一年, 自 年 6 月 21 日始至 年 6 月20 日止。
Both parties agree that the consignment period is two years from June 21, to June 20, . The agreement will terminate after expiration.

第四条 :
Article 4
乙方职责
Responsibility of Party B

1: 为甲方日常业务提供法律咨询及法律依据, 具体包含:
Party B shall provide Party A with legal counseling and legal rationale for its current undertaking, specifically including:

A、 为甲方起草、 审查、 修改各类法律文书;
Draft, review and amend any kind of legal documents.
B、 依据甲方经济、 商务谈判, 为甲方完善各类常见格式协议;
Improve and perfect any kind of common standard form of contract on the basis of Party A’s economic and commercial negotiation.
C、 为甲方事务出具法律意见书、 律师函、 律师申明等文件;
Provide Party A with legal advisory paper, lawyer’s letter and counseling statements and other documents for Party A’s affairs.
D、 为甲方经营管理决议提供法律论证;
Provide Party A with legal argument for Party A’ s managerial decision-making.
E、 为甲方进行必需法律教导
Provide Party A with necessary legal tutoring.
F、 帮助甲方处理劳资关系。
Assist Party A with Labor Relations.

2: 依据甲方另外授权委托代理甲方参与各类纠纷协商、 调解、 诉讼、 仲裁;
According to Party A’s additional authorization delegation, Party B shall participate in negotiation, mediation, litigation and arbitration of all kinds of disputes.

3: 依据甲方另外授权委托对甲方重大商务行为或者项目提供法律服务。
According to Party A’s additional authorization delegation, Party B shall provide legal services to Party A’s major business activities or projects.

第五条 :
Article 5
甲方责任
Responsibility of Party A

1、 甲方应该如实向乙方提供相关文件、 资料以及反应其她情况, 甲方必需确保所提供文件、 资料、 信息真实性, 如因甲方有意或过失向乙方提供虚假文件、 资料, 或有意隐瞒相关事实, 而造成乙方无法作出正确口头或者书面法律意见, 由此所造成损失, 均由甲方负担。
Party A shall provide Party B with relevant authentic files, documents and reflect other situations accurately. Party A shall ensure that all files, documents and information are in accordance with the fact. If Party A has intentionally or negligently provided false documents, information, or intentionally concealed the facts to Party B, which causes Party B unable to make correct oral or written legal advice, Party A shall bear the corresponding economic loss by itself.

2、 为乙方开展工作提供必需条件与帮助。
Provide Party B with necessary conditions and assistance for Party B doing its job.

3、 准期如数支付法律顾问费用及应由甲方负担法律事务开支。
Shall make payment of legal adviser fee as scheduled and in exact amount, and bear the legal expenses incurred by Party A.

第六条 :
Article 6
法律顾问费用
Legal consultant fees

1 甲乙双方同意, 就此次甲方聘用乙方作为常年法律顾问, 甲方应该向乙方支付顾问费用为每年人民币壹万肆仟元(RMB14,000)。
In this Agreement, Party A agrees to assign Party B as its long-term law consultant, both parties agree that Party A shall pay RMB 14,000 to Party B for the consultant fee every year.

2、 前述年度费用自本协议书签署之时给付。
The aforementioned annual fee shall be paid from the time of signing of this Agreement.

3、 如乙方应甲方要求指派律师参与诉讼、 仲裁或者重大商务行为、 项目提供法律服务时, 乙方根据律师协会相关要求另行优惠收费。
If Party B is required to assign a lawyer to participate in litigation, arbitration or major business conduct and project and provide legal services, Party B shall charge extra fees according to the relevant preferential provisions of the bar association.

4、 发律师函、 调查取证等包含行政机关收费、 快递费用, 由甲方负担。
Party A shall bear the fees on sending lawyer’s letter, investigating and collecting evidence and any other payments related to administration fees and postal fees, etc.

5、 甲方每笔单项业务费用, 由双方依据实际情况另行协商。
The individual business expenses of Party A shall be negotiated separately by the two parties according to the actual situation.

第七条 :
Article 7
相关乙方渎职责任
Negligence liability of Party B

乙方应对其所出具书面法律意见正确性负责, 如因乙方出具书面法律意见缺乏正确性而造成甲方决议失误, 乙方对由此所造成甲方损失, 应该负担赔偿责任。
Party B shall be responsible for the accuracy of the written legal advice that it provides.
Party B shall be liable for any loss caused by Party B due to the lack of correctness in Party A's written legal opinion.

乙方律师在担任法律顾问期间, 如未能勤勉尽责、 严密谨慎地忠实推行职责, 甲方有权提前终止本协议。
Party B shall have the right to terminate this contract in advance if he fails to perform his duties with due diligence, strict and prudent fulfillment of his duties during his term of office as legal adviser.

第八条 :
Article 8
乙方工作地点及方法
Party B’s work location and mode of work

乙方律师办公地点在乙方法定地址办公。
Party B's office is located at the legal address of Party B.

第九条 :
Article 9
保密责任
Confidentiality obligations

双方同意, 在此次项目进行过程中, 除非权利方同意, 任何一方不得将因为推行本协议所取得相关对方任何信息、 资料、 数据或者其她商业秘密, 以及甲方从乙方取得且乙方已经作出申明限制使用任何专业意见（不管书面或者口头）对无关人员泄露。
In the process of this project, both parties reach an agreement that, without the consent from either party, neither party shall disclose to any third Party or irrespective persons any information, documents, data or other business secrets of either party gained during the execution of the agreements. Meanwhile any kind of professional advice (oral or written) that Party B has made a statement requesting restricted usages of, which is obtained by Party A, shall not be disclosed to any irrespective persons.

第十条 :
Article 10
争议处理及补充协议
Dispute settlement and supplementary agreement

甲乙双方在实施本协议书过程中产生争议时, 双方应该友好协商, 协商不成时任何一方均能够向中山市有管辖权法院提起诉讼处理。
Any disputes arising during the execution of the agreement shall be settled through friendly negotiation by both parties. If the disputes are not settled by mutual agreement, either party may institute legal proceedings in the courts in Zhongshan, which owns jurisdiction over the parties.

甲乙双方在实施本协议书过程中假如发觉需要对相关事项作出补充时, 在取得双方同意以后能够签订补充协议。
In the process of carrying out this Agreement, if it is found that the relevant matters need to be added, a supplementary agreement may be made with the consent of both parties.

第十一条 :
Article 11
生效及其她
Validity and others

本协议签订、 生效、 解释、 推行、 争议处理等事项完全适用中国法律。
The law of the People’s Republic of China shall govern this Agreement for its formation, validity, explanation, performing and dispute settlement, etc.

本协议自甲、 乙双方及其授权代表签字、 盖章及顾问费付清之日起生效。
This Agreement shall become effective when signed, stamped by the authorized representatives of both parties, as well as when the counseling fee has been paid in full.

本协议正本一式贰份, 甲、 乙双方各执壹份, 该各份协议书正本均具相同法律效力。
This contract is in duplicate. Both Party A and B hold one original copy of the contract that holds the same legal effect.
